Grantor herein reserves unto itself, its successors and assigns, all of the oil, gas and other
minerals, including sand and gravel, coal and lignite, etc., on, in and under and that may
be produced from said Property, so that there is hereby conveyed unto the. said Grantee,
and Grantee's successors assigns, the surface only of the hereinabove described Property.
Grantor does hereby expressly release and waive, on behalf of itself and its successors
and assigns, all rights to use the surface of the Property or any part thereof, including,
without limitation, the right to enter upon the surface of the Property for the purpose of
exploring for, developing, drilling, producing, transporting, treating, storing, or any other
purpose instant to the development or production of the oil, gas and other minerals in, on
and under the Property. Development may be obtained by directional drilling.

Exceptions to Conveyance and Warranty:
This conveyance is made and accepted subject to certain matters referred to by the parties herein as the
"Permitted Exceptions", as set forth on EXHIBIT "A" attached hereto and made a part hereof.
Grantor, for the Consideration and subject to the Reservations from Conveyance and the Exceptions to
Conveyance and Warranty, grants, sells, and conveys to Grantee the Property, together with all and
singular the rights and appurtenances thereto in any way belonging, to have and to hold it to Grantee
and Grantee's heirs, successors, and assigns forever. Grantor binds Grantor and Grantor's heirs and
successors to warrant and forever defend all and singular the Property to Grantee and Grantee's heirs,
successors, and assigns against every person whomsoever lawfully claiming or to claim the same or any
part thereof when the claim is by, through, or under Grantor but not otherwise, except as to the
Reservations from Conveyance and the Exceptions to Conveyance and Warranty.
