Item 4BCITY OF SOUTH LAKE MEMORANDUM (November 4, 2014) To: Shana Yelverton, City Manager From: Shannon Hamons, CEcD, Development and Tourism Director of Economic Subject: Item 413: Community Services Agreement with the Southlake Chamber of Commerce. Action Requested: Approve Consent Agenda item as noted above. Background Information: This item is a continuation of a Community Services Agreement that the City has had with the Southlake Chamber of Commerce dating back to at least 2007. The previous agreements outlined cooperative work efforts between the City and the Chamber in support of the City's Economic Development programs. This represents an enhancement of those previous agreements by adding five scope of work items without adding any additional City cost over FY 2014. One of these new scope items is the very important, refined Business Retention & Expansion Program. The enhanced FY 2015 program also includes a formal agreement document to be executed by the Mayor and Chamber that further defines responsibilities of both the City and the Chamber. City Council approved a total of $22,500 in the FY 2015 Budget for the Chamber of Commerce work efforts to support the strategic goals of the Department of Economic Development and Tourism (EDT). The approved FY 2015 amount is the same as the amount approved in FY 2014. The Chamber/EDT agreement to be approved by City Council and the Chamber Board contains an Appendix/Scope of Services that specifies 13 work items to be completed in FY 2015. Additionally, the Scope of Services notes for each work item the 2030 EDT Master Plan connection; the Chamber's Strategic Plan link; and performance metrics. L:\Economic Development\Chamber of Commerce\Nov 4 Consent Agenda item 4B memo - Corrected.docX FY 2015 Agreement with the Southlake Chamber of Commerce Approved by City Council on Date Page 2 of 17 The work items for FY 2015 that represent a continuation of programs that were implemented in FY 2014 are: • Chamber to host the annual awards banquet to include awards for "Small Business of the Year" and "Corporate Business of the Year" • Chamber Networking/Business Exchange programs and Chamber luncheons • Promotion of the City to prospective leads and their representatives • City/Chamber linkages in websites and publications • Coordination of Chamber work plan to partner with Southlake Executive Forum and other business - related organizations • Chamber coordination and implementation of Leadership Southlake • Chamber to coordinate and host an event (Oktoberfest) within the City of Southlake and coordinate and implement the marketing and advertising program for Oktoberfest with the Tourism Division's collaboration. • Coordinate the production of the City map and directory with City's input The work items that represent new items for FY 2015 are: • Chamber assistance with implementation of a formal Business Retention & Expansion Program with creation and distribution of a new survey document; company visits to 50 of the top 100 Southlake business tax payers; and issuance of BR&E report to Council • Chamber presentation of monthly reports at the City Council meetings (to replace one Local Business Report) • Chamber to co -host with the City a prominent speaker event that is promoted city-wide to business and community leaders • Chamber to co -host with the City at least two regional breakfast events for commercial and residential brokers • Chamber and City to coordinate business -related educational courses designed to promote business management and entrepreneurship Nov 4 Consent Agenda item 413 memo - Corrected Page 2 FY 2015 Agreement with the Southlake Chamber of Commerce Approved by City Council on Date Page 3 of 17 Financial Considerations: Funding for the Chamber of Commerce' Economic Development efforts was approved in the FY 2015 budget in the amount of $22,500. This amount is the same as was approved in FY 2014. Of the $22,500, an amount of $7,500 will come from the Economic Development Budget for joint City -Chamber ED work; $7,500 will come from HOT funds to support tourism through production of City maps, City directories and other visitor support communication and amenities; and $7,500 will also come from HOT for marketing and advertising efforts in direct support of the annual Oktoberfest. The Chamber must provide a breakdown of all marketing/advertising in direct support of Oktoberfest. Strategic Link: The item links to the city's strategy map relative to focus areas of Partnerships and Quality Development. The specific corporate objectives that are met by this cooperative agreement are: to collaborate with select partners to implement service solutions, attract and keep businesses to drive a dynamic and sustainable economic environment; and enhance the sense of community by providing excellent customer service and citizen (business) engagement opportunities. The critical business outcome is to optimize resources through collaboration and partnerships to reduce costs and add service value. Staff Contact: Shannon Hamons, Director of Economic Development & Tourism FY 2015 AGREEMENT BETWEEN CITY OF SOUTHLAKE AND SOUTHLAKE CHAMBER OF COMMERCE STATE OF TEXAS § COUNTY OF TARRANT § THIS AGREEMENT is entered into by and between the City of Southlake, Texas, a home rule municipal corporation located in Tarrant County and Denton County, Texas, acting by and through its duly authorized Mayor (hereinafter referred to as "City"), and the Southlake Chamber of Commerce, a non-profit corporation of Texas, acting by and through its duly authorized President (hereinafter referred to as "Chamber"), an organization exempt from taxation under Section 501(c)(6) of the Internal Revenue Code. NOW, THEREFORE, City and Chamber, in consideration of the mutual undertakings set forth in this Agreement, do hereby covenant and agree as follows: SECTION 1 SCOPE OF SERVICES & JOINT PROJECTS Chamber shall provide certain services and shall cooperate in good faith to complete the joint City and Chamber projects as outlined in Section A of the attached Appendix, which is incorporated into this Agreement for all purposes. Such payment shall be made no later than September 1, 2015 and shall be payable upon receipt of invoice from Chamber. • $7,500 of HOT funds to support the marketing and advertising program of the Chamber of Commerce for the Oktoberfest event. The Chamber must provide a breakdown of all advertising outlets and costs following the event for reimbursement. SECTION 5 REPORTING Chamber shall generate and provide quarterly reports regarding the performance measures outlined in the attached Appendix to the Director of Economic Development and Tourism for City. A report template shall be provided to Chamber by City's liaison. SECTION 6 INSURANCE AND INDEMNIFICATION CHAMBER AGREES TO INDEMNIFY, HOLD HARMLESS AND DEFEND CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, FROM AND AGAINST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY DAMAGE OR LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS, OF WHATSOEVER KIND OR CHARACTER, WHETHER REAL OR ASSERTED, (INCLUDING, WITHOUT LIMITATION, REASONABLE FEES AND EXPENSES OF ATTORNEYS, EXPERT WITNESSES AND OTHER CONSULTANTS), ARISING OUT OF OR IN CONNECTION WITH, DIRECTLY OR INDIRECTLY, THE NEGLIGENT ACT OR OMISSION OF CHAMBER, ITS OFFICERS, EMPLOYEES AND AGENTS, IN THE PERFORMANCE OF SERVICES UNDER THIS AGREEMENT. City shall have no power to direct or supervise Chamber's activities in carrying out its responsibilities under this Agreement. Neither party shall have the authority to make binding representations or agreements on behalf of the other. SECTION 8 TERM OF AGREEMENT AND REVIEW OF PERFORMANCE A. The term of this Agreement shall be for a period beginning October 1, 2014 and ending September 30, 2015. B. At the end of the term, City will undertake a review of the performance based upon performance and quality measures outlined in the attached Appendix. C. Notwithstanding any provision herein to the contrary, either party may terminate this Agreement upon 30 days written notice to the other. Upon termination, Chamber shall return to City any unexpended funds paid pursuant to this Agreement. SECTION 9 NO WAIVER OF GOVERNMENTAL IMMUNITY Notwithstanding any provision of this Agreement to the contrary, nothing contained in this Agreement shall be construed to limit or waive any governmental or sovereign immunity of City, or any immunity applicable to its officers, agents, servants or employees. To the extent there may be a waiver of immunity under state law, the remedies available to enforce this Agreement are limited to mandamus, specific performance or injunctive relief. All other remedies, including suits for damages and recovery of attorney's fees, are specifically waived by both parties. SECTION 10 CITY OF SOUTHLAKE — STRATEGIC LINK City has adopted a Strategic Management System to improve the organization's ability to define and execute its strategy. Effective strategic management systems provide the mechanism to link the mission, strategy, department goals, citizen perceptions, and service delivery efforts in a continuous feedback loop. While perceived failure to adhere to, comply with, or take action consistent with these values should be reported to an appropriate City official, staff member, or employee, such action or failure to act shall not be considered a breach of this Agreement. SECTION 12 MISCELLANEOUS This Agreement sets forth all the agreements between the parties and no modification shall be effective unless reduced to writing and signed by both parties to this Agreement.
