WHEREAS, the White's Chapel United Methodist Church (hereinafter called "First Party ")
owns the following real estate situated in Tarrant County, Texas:
Being an approximately 0.0707 acre tract of land out of the Hiram
Granberry Survey, Abstract 581, City of Southlake, Tarrant County,
Texas, and being a portion of a 1.004 acre tract of land conveyed to
White's Chapel United Methodist Church by the deed recorded in
Volume 13678, Page 327 of the Deed Records of Tarrant County,
Texas, and being more particularly described by metes and bounds in
Exhibit "A" attached hereto; and
Being a strip of land out of the Hiram Granberry Survey, Abstract
581, City of Southlake, Tarrant County, Texas said strip being out of
a tract of land conveyed to White's Chapel United Methodist Church
by deed recorded in Volume 13678, Page 327 of the Deed Records of
Tarrant County, Texas said strip of land being described as a
proposed variable width Permanent Street Right -of -Way and being
herein more particularly described by metes and bounds in Exhibit
"B" attached hereto;
such real estate, together with all and singular the rights and appurtenances pertaining thereto, being
herein referred to as the "First Property "; and
WHEREAS, the City of Southlake, Texas (hereinafter called "Second Party ") owns the
following described real estate situated in Tarrant County, Texas:
Being an approximately 0.0647 acre tract of land out of the Hiram Granberry Survey,
Abstract 581, City of Southlake, Tarrant County, Texas, and being a portion of a
0.998 acre tract of land, conveyed to the City of Southlake, by deed rccorded in
Volume 13655, Page 93 of the Deed Records of Tarrant County, Texas, and being
more particularly described by metes and bounds in Exhibit "C" attached hereto;

such real estate, together with al] and singular the rights and appurtenances pertaining thereto, being
herein referred to as the "Second Property "; and
WHEREAS, the First Party and the Second Party desire to make an even exchange of the
First Property and the Second Property under the terms and conditions provided herein
NOW, THZREFORE, KNOW ALL MEN BY THESE PRESENTS:
I. EXCHANGE OF PROPERTY
First Party hereby sells and agrees to convey the First Property to Second Party. Second
Party hereby sells and agrees to convey the Second Property to First Party. This is an even exchange
of property and no additional consideration is due from either party.
IL CLEAR TITLE
A. First Party warrants and represents to Second Party that at the tune of Closing he will
have and will convey to Second Party good and marketable title to the First Property, free and clear
of any and all encumbrances.
B. Second Party warrants and represents to First Party that at the time of Closing he will
have and will convey to First Party good and marketable title to the Second Property, free and clear
of any and all encumbrances except those expressly permitted hereby.
C. Any Iiens for current taxes shall not be deemed to be title defects.
III. TITLE INSURANCE
Each party agrees with respect of the property which he is conveying that he will, at his sole
expense, furnish to the other party an Owner's Title Policy issued by Stewart Title Company,
conveying the property being conveyed by him and containing no exceptions other than those
accepted herein, with the survey exception to be deleted except for shortages in area.
IV. CLOSING
The Closing hereunder shall take place on or before , 2000, provided
if on such date the title company has riot yet approved the title to the First Property or the Second

Property, or if there are title objections relating to the First Property or the Second Property which
have not yet been cured, the Closing da:e shall be postponed not less than five nor more than thirty
days to such date as shall be designated by the party selling the property to which title is not yet
approved or to which such title objections relate, by written notice to the other party. At the Closing:
A. First Party shall deliver to Second Party a Special Warranty Deed covering the First
Property, in appropriate form to convey the First Property to Second P

or encumbrances except expressly Permitted hereby.
B. Second Party shall deliver to First Party a Special Warranty Deed covering the
Second Property in appropriate form to convey the Second Property to First Party, free and clear of
any liens or encumbrances except those expressly permitted hereby.
V. POSSESSION
Possession of the First Property and the Second Property shall be &livered by the respective
selling party to the respective purchasing party on the date of Closing.
VI. PRORATIONS
Rents and Iease commissions, interest, and ad valorem taxes for the current year shall be
prorated at the Closing effective as of the date of Closing. If the Closing shall occur before the tax
rate is fixed for the then current year, the apportionment of the taxes shall be upon the basis of the
tax rate for the preceding year applied to the latest assessed valuation, but any differences in ad
valorem taxes for the year of sale actually paid by Purchaser shall be adjusted between the parties
upon receipt of written evidence of the payment thereof. All taxes imposed because of a change of
use of the property after the Closing shall be the responsibility of the purchasing party.
VII. INSPECTION
Each party acknowledges that he has inspected all buildings and improvements situated on
the property which he is purchasing and is thoroughly familiar with their condition and each party
hereby accepts the property which he is purchasing and the buildings and improvements situated
thereon, in their present condition, with such changes therein as may hereafter be caused by
reasonable deterioration.
VIII. TERIMINATION
In the event either party is unable to convey good and marketable title or deliver a title policy
in accordance with Paragraphs 2, 3, and 4, the purchasing party may, at his option, terminate this
contract by written notice to the selling party delivered at or before closing. If this contract is

terminated pursuant to this paragraph, all amounts theretofore paid by the parties on the purchase
price of the First Property or the Second Property shall be promptly refunded to the purchasing party,
and the parties shall have no further obligations or Liabilities one to the other.
IX. SPECIFIC PERFORMANCE
In the event that either party should fail to consummate this contract for any reason, except
for the default of the other party or the termination of this contract pursuant to Paragraph 8 hereof,
the other party may enforce specific performance of this contract or may bring suit for damages
against the defaulting party.
X. COMPLETE AGREEMENT
This contract embodies the complete agreement between the parties hereto and cannot be
varied or terminated except by the written agreement of the parties.
XI. NOTICES
Any notice required or permitted to be delivered hereunder shall be deemed to be delivered,
whether actually received or not, when deposited in the United States mail, postage prepaid, certified
mail, return receipt requested, addressed to First Party or Second Party, as the case may be, as
follows:

tract, 23.90 feet to a point, said point being on the north property line of a tract of land conveyed to Southlake

H. Granberry No. 581 Addition, being an addition to the City of Southlake according to the plat as recorded in
Cabinet A, Slide 1628 of the Plat Records of Tarrant County, Texas, said point also being at the beginning of a
curve to the left whose center bears North 71 degrees 51 minutes 17 seconds West, 1,146.50 feet;
THENCE, in northerly direction along the said curve, through a central angle of 0 degrees 41 minutes 35
seconds and an arc length of 13.87 feet to a point at the beginning of a curve to the left whose center bears North
72 minutes 32 seconds 52 seconds West at 546.50 feet;
