Item 8ICITY OF SOUTHLAKE MEMORANDUM August 14, 2008 To: Shana Yelverton, City Manager From: Lori Payne, City Secretary Subject: Resolution No. 08-038, Appoint members to the Southlake Parks Development Corporation Action Requested: Appoint members to the Southlake Parks Development Corporation. Background Information: Pursuant to the authority granted by the Department Corporation Act of 1979, Article 5190.6, Texas Revised Statutes as amended (the "Act"), the City Council found it advisable to authorize the creation of a non-profit corporation to be named the Southlake Park Development Corporation to act on its behalf in financing, under the Act, eligible "projects" deemed to be for the benefit of the public. The Board of Directors shall be appointed by the City Council and be composed of seven persons; four (4) of the Board of Directors shall be members of the City Council and the three (3) remaining Directors must not be employees or officers of the City or members of the City Council, and at least one (1) of the remaining Directors must be a member of the Southlake Parks and Recreation Board. Terms of the Directors shall be for two (2) years, expiring on May 31 of odd numbered and even numbered years, respectively. Directors may be appointed to succeed themselves. Each Director shall serve until a successor is appointed. The terms for Gregory Jones (City Council Representative), John Slocum (Parks Board Representative), and a vacant City Council Representative position (vacated by Councilmember Carolyn Morris upon her term ending on City Council) expired in May 2008; and a vacant position (Citizen Representative) will expire May 2009. All of the findings in the preamble are found to be true and correct and the City Council hereby incorporates said findings into the body of this resolution as if copied in their entirety. Section 2. The City Council hereby appoints the following person to the Board of Directors for the Southlake Parks Development Corporation: City Council Rep. (term ends May 2010) City Council Rep. (term ends May 2010) Parks Board Rep. (term ends May 2010) Citizen Rep. (term ends May 2009) Section 3. This resolution is effective upon passage by the City Council.
