Subject: Ordinance No. 964 ordaining the City's participation in the Texas
Enterprise Zone Program pursuant to the Texas Enterprise Zone Act,
Chapter 2303, Texas Government Code, providing tax incentives,
designating a liaison for communication with interested parties, and
nominating Sabre Inc. at 3150 Sabre Drive and Travelocity.com LP at
3120 Sabre Drive, both in Southlake, to the Office of the Governor
Economic Development & Tourism through the Economic
Development Bank as Enterprise Projects.
Action
Requested: Approve Ordinance No. 964 as noted above.
Background
Information: The State of Texas Governor's Office, Division of Economic
Development & Tourism, administers the Texas Enterprise Zone
program as authorized by Chapter 2303 of the Texas
Government Code. The component applicable to these
nominations is the reimbursement of the State's portion of the
Sales and Use taxes paid on new project related capital
investments.
Sabre Holdings Corporation has asked the City to nominate two
of their divisions as Enterprise Projects; Sabre Inc. and
Travelocity.com LP. Their applications are based on the
retention of existing jobs. There are different levels of project
classification. Both of their projects intend between $5M and
$10M in capital investments with approximately 500 jobs to be
retained. The potential types of capital investments include an
additional parking garage / lot, capitalized software, computers
(servers, etc.), leasehold improvements and furniture and
fixtures. Reimbursements are limited to $2,500 per job retained
not to exceed $250,000 per year and $1,250,000 over five
years.
The program is a competitive application program that allows for
105 awards per biennium. Each community can have no more
than six awards. Calls for applications are quarterly with the
next application being March 1, 2010.
The City would have to annually fill out a questionnaire from the
Governor's Office but the annual job certifications would be the
responsibility of Sabre.

Financial
Considerations: This program is an incentive provided by the State of Texas and
as such will not have a financial impact on the City.
Strategic Link: The primary Strategic Link for this initiative is C4: Attract and
keep top -tier businesses to drive a dynamic and sustainable
economic environment.
Strategy No. 6 in the Business Retention & Expansion Strategic
Plan advocates strengthening City and Corporate alliances.
Our relationship with Sabre is the model for the establishment of
the Southlake Business Council. This initiative both supports
our largest employer and motivates them to retain a significant
number of jobs in the City of Southlake.

Project Summary
Sabre Inc. ( "Sabre ") respectfully requests consideration for Enterprise Project Retention
Designations under the State of Texas Enterprise Zone Program. Sabre currently employs over
1,500 full -rime employees at its facility mi the City of Southlake, The Retention Designation will aid
the company's growth strategy over the next several years.
The City of Southlake is the primary location for our employees located in the State of Texas. Sabre
attracts employees who reside throughout Tarrant County. The company's workforce consists of
highly educated executives and managers, skilled, semi - skilled and support individuals.
Sabre's Southlake facility investment will allow the Company to maintain its service lines, which will
allow the Company to maintain its existing workforce. These individuals come from all sectors of
the Tarrant County economy including employees living in eligible enterprise gone census tracts and
individuals considered "disadvantaged" according to Enterprise Zone guidelines. The result will
enable Sabre to replace existing employees, should turnover occur, at a minimum rate of 35% with
Enterprise Zone qualified employees. This action is in accordance with Section 2303.402 of the
Texas Enterprise Zone statute.

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF
SOUTHLAKE, TEXAS, ORDAINING THE CITY'S PARTICIPATION IN

BOTH IN SOUTHLAKE, TEXAS, TO THE OFFICE OF THE GOVERNOR
ECONOMIC DEVELOPMENT & TOURISM (EDT) THROUGH THE
ECONOMIC DEVELOPMENT BANK (BANK) AS ENTERPRISE
PROJECTS (PROJECTS).
WHEREAS, the City Council of the City of Southlake, Texas (City) desires to
create the proper economic and social environment to induce the investment of private
resources in productive business enterprises located in distressed areas of the City and
to provide employment to residents of such areas; and
WHEREAS, the Projects or activities are not located in an area designated as an
enterprise zone; and
WHEREAS, pursuant to Chapter 2303, Subchapter F of the Act, Sabre Inc. and
Travelocity.com LP have applied to the City for designation as enterprise projects
(Projects); and
WHEREAS, the City finds that the Projects meet the criteria for tax relief and other
incentives adopted by the City on the grounds that they will be located at the qualified
business sites, will maintain economic vitality, activity and stability through the retention
of jobs; and
WHEREAS, a public hearing to consider this ordinance was held by the City
Council on ;
NOW, THEREFORE BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF SOUTHLAKE, TEXAS THAT:
Section 1: The City nominates the following Projects for enterprise project status.
a) Sabre Inc.
b) Travelocity.com LP
Section 2: The following local incentives, at the election of the governing body, are or
will be made available to the nominated projects or activities of the
qualified businesses:

a) The City may abate taxes on the increase in value of real property
improvements and eligible personal property that locate in a
designated enterprise zone. The level of abatement shall be based
upon the extent to which the business receiving the abatement
creates jobs for qualified employees, in accordance with the City Tax
Abatement Policy, and with qualified employee being defined by the
Act.
b) The City may provide regulatory relief to businesses, including:
1) zoning changes or variances;
2) exemptions from unnecessary building code requirements, impact
fees, or inspection fees; or
3) streamlined permitting.
c) The City may provide enhanced municipal services to businesses,
including:
1) improved police and fire protection;
2) institution of community crime prevention programs; or
3) special public transportation routes or reduced fares.
d) The City may provide improvements in community facilities,
including:
1) capital improvements in water and sewer facilities;
2) road repair; or
3) creation or improvement of parks.
e) The City may provide business and industrial development services,
including:
1) low- interest loans for business;
2) use of surplus school buildings or other underutilized publicly
owned facilities as small business incubators;
3) provision of publicly owned land for development purposes,
including residential, commercial, or industrial development;
4) creation of special one -stop permitting and problem resolution
centers or ombudsmen; or
5) promotion and marketing services.
f) The City may provide job training and employment services to
businesses, including:
1) retraining programs;
2) literacy and employment skills programs;
3) vocational education; or
4) customized job training.

Section 3: The City of Southlake City Council directs and designates its Director of
Economic Development as the City's liaison to communicate and
negotiate with the EDT through the Bank regarding the enterprise Projects
and to oversee zone activities and communications with qualified
businesses and other entities in an enterprise zone or affected by an
enterprise project.
Section 4: The City finds that the Projects meet the criteria for designation as
enterprise projects under Chapter 2303, Subchapter F of the Act on the
following grounds:
(a.) The Projects are each individually a "qualified business" under
Section 2303.402 of the Act since each will be engaged in the
active conduct of a trade or business at a qualified business site
within the governing body's jurisdiction, located outside of an
enterprise zone and at least thirty -five percent (35 %) of the project
related business' new employees will be residents of an enterprise
zone or economically disadvantaged individuals; and
(b.) There has been and will continue to be a high level of cooperation
between public, private, and neighborhood entities in the area; and
(c.) The designation of the Projects as enterprise projects will contribute
significantly to the achievement of the plans of the City for
development and revitalization of the area.
Section 5: The enterprise Projects shall take effect on the date of designation of the
enterprise projects by EDT and terminate on March 1, 2015.
Section 6: This ordinance shall take effect from and after its passage as the law and
charter in such case provides.

VII. Community Effort
Briefly describe efforts by the governing jurisdiction during the last year to encourage
participation by residents, neighborhood groups, and other businesses in the area. Identify
governing jurisdictions efforts to revitalize the area.
- SPIN The City of Southlake for several years has administered a City -wide program called
Southlake Program for the Involvement of Neighborhoods (SPIN). This program identifies
representatives for eleven unique geographical areas of the City (Standing Committee) who meet
monthly to discuss and identify community issues and work with City representatives toward
betterment of the community. These representatives then communicate directly with constituents
of their areas.
- Senior Center Refurbishment City staff coordinated the refurbishment of our Senior Center in
cooperation with local residential developers. Total project costs were $36,190 and included
increased parking spaces, parking lot light additions, community room enlargement, additional
bathrooms and enhancements to audio equipment. Local residential developers contributed to
design, engineering and construction costs.
- Neighborhood Sewer Program The City administers a program to revitalize neighborhoods by
either upgrading sewer systems or in most cases installing sewer systems in order to eliminate
individual resident septic systems. A sanitary sewer line costing approximately $1M was
constructed in the neighborhood of Woodland Heights (approximately 35 homes). At this point
just over 75% of the residents have converted from septic to the public sewer line.
- Neighborhood Street Program The City administers a program to revitalize neighborhoods by
reconstructing streets and improving drainage issues. The City reconstructed approximately 3/4
mile of Shumaker Drive and Sunshine Lane and also improved drainage related to the roadways
for a cost of approximately $1M.
- Utility ystem Enhancements The City replaced an existing 6" water line in Continental
Avenue with a 12" line at a cost of approximately $200,000. A 6" water line in Highland Street
was replaced with a 12" water line at a cost of approximately $1M.
- Southlake 2030 Plan The City, by Charter, updates its Comprehensive Plan components every
five years. This past year kicked off the next update. Committees of residents and business
leaders have been established. Public Meetings have been held establishing Vision, Goals and
Objectives. A website link ( www.Southlake2030.com ) and Community Video have been
established to facilitate community involvement. Various master plan components are currently
underway.
VII. Business Activity in the Area
Briefly describe the type of business activity that has occurred during the last two years to

- Champion Crossing The vacant Champion Crossing light industrial development has
experienced the following leases in the last two years: INPROV (15,246 sf, $685,010 valuation),
DBG Data Design Solution (5,106 sf, $149,000 valuation), S & K Sales (5,865 sf, $156,000
valuation), Del Frisco (5,120 sf, $91,000 valuation), Adams Engineering (13,750 sf, $327,855
valuation).
- Fidelity Investments Fidelity investments leased approximately 100,000 square feet of the
vacant Cedar Ridge building and finished out 76,000 sf with valuation of $3,721,700.
- Verizon Wireless Verizon Wireless completed many remodel projects of approximately
23,547 square feet having a value estimated at $1,708,902. This facility relocated to the City as a
result of incentives including tax abatement, fee reductions, streamlined permitting, etc. and
employs approximately 280 people.
- Wildwood Tavern A City resident has begun the redevelopment of a vacant 4,183 square foot
restaurant building into a new Wildwood Tavern dining establishment. Finish out valuation of
approximately $38,458.
- Batteries Plus Received zoning change allowing for the re- tenanting of a vacant building.

Going back to 1999 Travelocity has been a longstanding partner in the Southlake community. Our strong
relationship has culminated in community impact, mutual respect and fruitful, collaborative in -kind
contributions.
Monetary contributions:
• Travelocity has funded annual corporate contributions ranging from $25,000 - $40,000 to support
education and community enrichment programs specifically in Southlake.
• At a Dallas -Fort Worth regional level, Travelocity has contributed up to $250,000 in corporate
contributions and matching of employee contributions to Metroplex charitable organizations.
• Pro bono consulting — Travelocity shares corporate best practices on topics like strategic
planning, innovation, environmental sustainability and wellness.
Company- sponsored outreach programs:
• Volunteerism: Travelocity has a very strong culture of giving back to our local community.
Travelocity employees are allowed to volunteer six hours per quarter on company time. Our
annual volunteer week provides in excess of 5,000 volunteer hours for the Southlake and
Metroplex community.
• Southlake Chamber of Commerce — members since 1999 and sponsored several Chamber
events
• Carroll ISD Education Foundation — provided annual $5,000 grant and board volunteers
• Environment — Travelocity's building is a silver award winner from the U.S. Green Building
Council's Leadership in Energy and Environmental Design (LEED) program for sustainability,
water efficiency, environmental quality, materials and resources, and design excellence.
Employees participate daily in campus -wide recycling programs including paper, plastic and
aluminum, which benefit the Southlake community.
• Carter BloodCare — Travelocity has hosted quarterly blood drives since 2000.

The nominated Enterprise Project hereby certifies and agrees that it;
is located in, or has committed to locate in City of Southlake ,, Texas, in Tarrant County, Texas; and
2. will maintain separate payroll and tax records of the business activity conducted at the qualified business site, or
other information as required by local and state government units; and
3. commits to participate in local efforts to achieve development and revitalization of the area; and
4. understands that before obtaining a state benefit, the qualified business must submit to the Bank a certified report of
the actual number of jobs created and/or retained and the capital investment made; and
S. understands that to be a qualified business eligible for enterprise project designation, twenty -five percent (25 %) of
the new or additional employees hired must be residents of an enterprise zone or economically disadvantaged
persons if the qualified business site is located in an enterprise zone, or thirty-five percent (35 %) if the qualified
business site is located outside of an enterprise zone; and
6. commits that 35 percent of its new employees will be residents of an enterprise zone or economically
disadvantaged persons; and
7. understands that the project must maintain the level of employment and the jobs for which a refund has been
received to the end of the designation period or for at least three (3) years from the date of refund of state sales and
use taxes, whichever is later, or it may become liable for recapture of refunded taxes and interest by the Texas
Comptroller of Public Accounts (Comptroller); and
8. will report to the Comptroller the status and effectiveness of designation; and
9. certifies that the project, or a branch, division, or department of the business, does not and will not knowingly employ
an undocumented worker; and
10. understands that the state sales and use tax refund is subject to approval by the Comptroller and the requirements of
the Tax Code and applicable Administrative Rules — specifically Section 151.429 of the Tax Code and Title 34 Texas
Administrative Code, Section 3.329. Construction contracts must be `separated" (i.e. contract in which the agreed
contract price is divided into a separately stated agreed contract price for incorporated materials and a separately
stated agreed contract price for skill and labor) and not "lump -sum" in order to claim a refund of state sales tax.
This certification and agreement is effective from the date of designation through the date of expiration as an
enterprise project.
