Item 4F-4I - Amendment to PSA - MSC Ramel Construction PM Services - RG ExecutedAMENDMENT TO PROFESSIONAL SERVICES AGREEMENT FOR CONSTRUCTION MANAGEMENT SERVICES This Amendment to Professional Services Agreement for construction management services ("Amendment") is entered into as of the day of June 2025 (the "Amendment Effective Date"), by and between the City of Southlake, a Texas home -rule municipality (the "City" or the "Owner"), and Ramel Company, LLC (the "Consultant") (the "City" and "Consultant" may sometimes be referred to individually as a "Party" or collectively as the "Parties"). WHEREAS, the Parties entered into a Professional Services Agreement for design management services on the 2y,d day of August 2024 (the "Agreement"); and WHEREAS, the Parties desire to amend the Agreement to increase the scope of work as set forth in this Amendment; and WHEREAS, the recitals, terms, and conditions of the Agreement are incorporated into this Amendment as if fully set forth herein, and defined terms shall have the meaning as assigned to such terms in the Agreement, unless otherwise defined herein. NOW, THEREFORE, for and in consideration of the premises and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: Additional Service Request: The Parties agree that the Agreement is hereby amended as provided in the attached Exhibit A ("Additional Service Request"), which identifies the additional scope of services needed to provide construction -phase project management services for the City's Municipal Service Center and Public Safety Training Tower Project and the agreed upon not -to -exceed cost for the additional services is $446,130 as more fully shown in Exhibit A. 2. Except as amended herein, all other terms and conditions of the Agreement shall remain in full force and effect. This Amendment may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. The execution of this Amendment may be accomplished by facsimile or electronic signatures and shall be deemed fully executed upon the exchange among the parties of signed facsimile or electronic copies of this Amendment. Ramel will work with Southlake to review decisions that need to be made during the progress of the project. Ramel will manage the project in the best interest of the City of Southlake. Scope of work includes: - Provide twice -a -week (minimum) project site walks - Engage with CMaR for onsite coordination and communications of progress - Attend and participate in all Owner, Architect, and Contractor coordination meetings - Facilitate the owner review of product data, samples, and mock-ups - Review all monthly Application for Payments and vendor invoices on behalf of Southlake and formally advise when acceptable to fund - Review and advise Southlake on change orders that are submitted - Facilitate budget revisions and updates throughout the project - Manage the facilitation the utilizing contingencies - Review and provide comments to the CMaR regarding the monthly updated project schedule - Review and advise Southlake on schedule changes - Review and advise Southlake on Request for Information (RFIs) that are submitted throughout the project for Southlake to address - Coordinate consultant observation reports - Manage the correction of deficiencies throughout the project - Coordinate with Southlake vendors for delivery of, but not limited to: o Furniture o Equipment o Vending machines o Unique Building System - Coordinate and facilitate the creation of punch list - Coordinate and facilitate the acceptance of completed punch list items - Coordinate special inspections o TDLR/TAS Inspections o Excludes trade inspections managed by the CMaR - Coordinate the commissioning of specialty systems (as directed in the specifications) - Coordinate and facilitate 11-month warranty walk - Coordinate and facilitate the acceptance of the completed 11-month warranty items - Provide monthly progress reporting - Provide drone images of project site twice -a -month - Work with Southlake in budget management COMPENSATION: In exchange for the Construction Management Services, Ramel proposes a lump sum fee. Four Hundred Forty -Six Thousand Once Hundred Thirty Dollars ($446,130.00), funded monthly (18 Months) in the amount of Twenty -Four Thousand Seven Hundred Eighty -Five Dollars ($24,785.00). Page 2 of 3 TERMS: Ramel proposes the following terms for each phase: Construction Management Phase: 18 months Fee for each phase is proposed as a lump sum funded across the allocated timeframe. If a phase extends past the noted timeline, Ramel will work with the City of Southlake to establish a monthly rate to complete the project. If a phase is less than noted, Ramel will only bill for the months that services were rendered. INCLUSIONS: - Cost associated with transportation and parking within the DFW Metroplex - Standard Computer Hardware & Software necessary to complete the proposed scope of services - Standard Telecommunications System(s) necessary to complete the proposed scope of services - All payroll taxes and fees - Franchise Taxes - Overhead Costs - Cost associated with required Insurance (Worker's Compensation, Auto, General Liability) EXCLUSIONS: - Construction Costs - Permit Costs - Special Travel Costs (Out of DFW Metroplex) - Materials Testing - TDLR Plan Review and In -place Inspection - Commissioning Agent - Engineering or Designing Services - Subject Matter Specialist - Other Project Related Consultants Page 3 of 3
