FOR BUILDING SYSTEM COMMISIONING SERVICES
This Amendment to Professional Services Agreement for construction phase building systems
commissioning (Cx) services ("Amendment") is entered into as of the day of June 2025 (the "Amendment
Effective Date"), by and between the City of Southlake, a Texas home -rule municipality (the "City" or the
"Owner"), and Matador Engineering, Inc. (the "Consultant") (the "City" and "Consultant" may sometimes be
referred to individually as a "Party" or collectively as the "Parties").
WHEREAS, the Parties entered into a Professional Services Agreement for commissioning (Cx)
services on the 41 day of March 2025 (the "Agreement"); and
WHEREAS, the Parties desire to amend the Agreement to increase the scope of work as set forth in
this Amendment; and
WHEREAS, the recitals, terms, and conditions of the Agreement are incorporated into this Amendment
as if fully set forth herein, and defined terms shall have the meaning as assigned to such terms in the Agreement,
unless otherwise defined herein.
NOW, THEREFORE, for and in consideration of the premises and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
Additional Service Request: The Parties agree that the Agreement is hereby amended as provided in
the attached Exhibit A ("Additional Service Request"), which identifies the additional scope of services
needed to provide construction phase building systems commissioning services for the City's Municipal
Service Center and Public Safety Training Tower Project and the agreed upon not -to -exceed cost for
the additional services is $71,648 as more fully shown in Exhibit A.
2. Except as amended herein, all other terms and conditions of the Agreement shall remain in full force
and effect. This Amendment may be executed in any number of counterparts, each of which shall be
deemed an original, but all of which together shall constitute one and the same instrument. The
execution of this Amendment may be accomplished by facsimile or electronic signatures and shall be
deemed fully executed upon the exchange among the parties of signed facsimile or electronic copies of
this Amendment.
IN WITNESS WHEREOF, the Parties hereto have caused this Amendment to be executed by their duly
authorized officers and to be effective as of the Amendment Effective Date.

PROJECT SCOPE
Matador Engineering Inc. (Matador) shall perform the following services for the City of Southlake, Texas
(Client): act as the commissioning consultant and provide CONSTRUCTION PHASE commissioning
services for the Southlake Municipal Service Center and Public Safety Training Tower project located at
1630 Brumlow Avenue in Southlake, TX. This scope is prepared based on the 100% construction drawings
and specifications dated 3/28/25.

SERVICES AND DELIVERABLES
Base Commissioning Scope (Complies with IECC 2021 Requirements)
Matador will provide the following services and deliverables related to the base commissioning scope including all on -
site activity required to produce such. The quantity and date/milestone of delivery is subject to change as the project
schedule dictates, or upon the direction of the Client and issuance of a change order inclusive of any adjustment in
compensation.
(1) 1 x Submittal Review Log (Upon submittal approval for systems in scope)
(2) 1 x Final Cx Plan (Upon submittal approval for systems in scope)
(3) 1 x set of Pre -Functional Checklist forms for review and completion by the installing contractors. (Upon
submittal approval for systems in scope)
(4) 1 x set of Functional Performance Test scripts for review by the construction team. (Upon submittal and
any Sequence of Operation RFI approvals for systems in scope)
(5) Weekly Cx Issues Logs during the construction phase detailing the following:
(a) Construction site visit observations (max 6) and;
(b) Observations/defi ciencies encountered during commissioning and testing (no max).
(6) 1 x Preliminary Cx Report (upon testing completion)
(7) 1 x Review of project Testing, Adjusting and Balancing Report
(8) 1 x Opposite Season Site Visit Report (during opposite season testing)
(9) 1 x Final Cx Report (upon correction/acceptance of all issues and opposite season verifi cation.
Services will also include the following meetings that will be attended by Matador.
(1) 10 x Project/Cx Meetings
(2) 1 x Cx Kickoff
(3) 6 x Project Progress / OAC Meetings
(4) 3 x Specific Cx meetings requested by the Client
ADDITIONAL SERVICE: BUILDING ENVELOPE COMMISSIONING (BECx)
Services described below include BECx for both the Administration and Service Buildings in alignment with the
NEBB 5110 Whole Building Technical Commissioning of New Construction standard referenced in the project
specifications.
SHOP DRAWING & SUBMITTAL REVIEW:
• Technical review of six building envelope sub -contractor shop drawing/submittal packages.
QUALITY ASSURANCE OBSERVATIONS:
• Three (3) on -site quality assurance observations with reports.
QC CHECKLISTS:
• Preparation and submittal of six commissioning checklists for primary building envelope systems.
AIR BARRIER TESTING:
• Air barrier test plan development
• Plan and building preparation conference call
• Building preparation verifi cation
• Pre -test meeting with client and owner (concurrent with air barrier testing)
• Air barrier performance testing
• Immediate data analysis and results
• Infrared thermography diagnostics
• Supplemental smoke diagnostics (if requested/necessary)
• Final report
• Includes one mobilization for testing conditioned spaces on Service Building (if necessary)

ADDITIONAL SERVICE: ELECTRONIC SAFETY AND SECURITY COMMISSIONING
Services described below include fi re protection and fi re alarm commissioning services for both the Administration
and Service Buildings.
Fire Protection and Fire Alarm Commissioning scope includes:
• Shop Drawing Submittal Review
• One (1) 75% Construction Progress Site Survey
• Witness one (1) fi re protection system acceptance test
• Witness one (1) fi re alarm system acceptance test
ADDITIONAL SERVICE: ELECTRICAL POWER QUALITY COMMISSIONING*
Services described below include electrical power quality commissioning services for both the Administration and
Service Buildings.
• Visually inspect any main panel metering and surge suppression systems that are installed.
*This service will consist of verifi cation of power quality via observation of power quality meters for
monitoring and/or surge suppression equipment installed, neither of which are referenced in the 100%
construction documents.
ADDITIONAL SERVICE: LANDSCAPE IRRIGATION COMMISSIONING
Services described below include landscape irrigation commissioning services for the project site.
Our fi mi will provide independent third -party commissioning services for the landscape irrigation system to verify
functionality, performance, and compliance with project specifi cations. Our scope includes the following:
Functional Performance Testing:
• Conduct site inspections to confi rm proper installation of irrigation components, including controllers,
valves, sensors, and distribution systems.
• Witness pressure and fl ow rate verifi cation measurements at key points in the system (performed by
others).
• Witness sensor functionality verifi cation, including rain sensors, soil moisture sensors, and fl ow sensors
(performed by others).
• Verify zoning and scheduling logic.
• Witness verifi cation of controller programming, including seasonal adjustments and automation features
(performed by others).
Deficiency Identification & Resolution:
• Document any defi ciencies and provide recommendations for corrective action.
• Re -test corrected defi ciencies to confi rm compliance with specifications.
Final Documentation & Reporting:
• Included into the fi nal commissioning report, including test results, identifi ed defi ciencies, corrective
actions, and recommendations for ongoing system optimization.
• Witness owner training to ensure proper operation and maintenance of the irrigation system (performed by
others).

ADDITIONAL SERVICE: ENHANCED OWNER TRAINING
Matador offers innovative enhanced owner training services designed to aid the building operation and maintenance
team in understanding the operation of the building systems.
Matador has offered this service for a variety of clients and projects, from high rise office buildings, municipal and
county facilities, and airport specialty systems.
The following section provides a description of the enhanced owner training modules.

EXCLUSIONS AND CLARIFICATIONS
Base Commissioning Scope (Complies with 1ECC 2021 Requirements)
Exclusions & Clarifications
1) Matador Engineering Inc. has no contractual relationship or authority to direct others regarding scheduling
and is totally dependent on the design and construction teams to have the work ready for commissioning.
a) Mechanical commissioning for any unit will only commence after:
i) Mechanical start-up has been completed, with all associated forms submitted.
ii) Test and balance (T&B) has been completed, with results submitted.
iii) All required pre -functional forms have been completed and submitted.
2) Matador Engineering Inc. scheduled start dates and resulting fi nish dates depend on the design consultants
and construction trades completing their work as indicated in the project schedule. Once equipment systems
are installed, started, and automated, Matador Engineering Inc. shall coordinate with the responsible trades in
order to perform the work in a mutually agreeable time frame.
3) Matador Engineering Inc. shall staff the project as necessary to meet the agreed -upon construction work
dates. However, Matador Engineering Inc. has no responsibility to meet the project scheduled work dates
when the contractors exceed their deadlines for construction, installation, start-up, and functional automation.
4) HVAC testing, adjusting, and balancing (TAB) services are not included in this proposal.
5) Regular weekly meeting attendance is not included in the scope; only meetings specifi cally listed in this
proposal will be conducted.
Additional Service: Building Envelope Commissioning (BEQ)
Exclusions & Clarifications
SHOP DRAWING & SUBMITTAL REVIEW
• Shop drawings and submittals will be reviewed as whole packages; if an online workfl ow system is to be
utilized, the system and process may increase the level of effort to perform reviews and our services will be
repriced accordingly.
QUALITY ASSURANCE OBSERVATIONS
• The quality assurance observations are intended to help align contractor efforts with the client's objectives,
design intent, and the industry standard of care.
• It is not practical for Matador to observe 100-percent of all conditions present due the part-time nature of
our quality assurance observations.
• The intent of our quality assurance observations and subsequent reports should not be construed as a
detailed punch -list on a unit -by -unit basis or as quality control.
• It is beyond the scope of our services to visually verify that all corrections have been made. Matador will
review corrected work on visually observed items but cannot comment on work that has been covered by
subsequent construction.
• Our observations should not replace any required or recommended engineering observations and
inspections by the primary design professionals to ensure compliance with their plans and specifi cations.
• Furthermore, our observations are not intended to replace the observations and inspections required by the
authority having jurisdiction.
• Matador's proposal to accomplish a limited number (one) quality assurance observations prior to air barrier
testing in no way guarantees that the building will meet the specifi cations performance requirement when
tested.

AIR BARRIER TESTING
• Follow-up air barrier performance testing can be conducted should the specifi ed air leakage requirement
not be achieved; however, the cost for these services is not included in this proposal.
• Building preparatory tasks identifi ed in the attached Contractor Building Preparation Measures for Air
Leakage Testing are excluded; however, any preparations not completed prior to our arrival and scheduled
testing shall be subject to additional fees.
• Identifying the boundary of the building air barrier (plane of air tightness) and the test envelope square
footage is the responsibility of the designer of record. This information must be provided to Matador prior to
our development and delivery of our air barrier test plan submittal package.
• A minimum of 10-degrees differential between inside and outside temperature is recommended for effective
thermographic imaging of air leakage. This proposal does not include temporary heating or cooling if the
installed HVAC system is not operable at the time of testing.
• Matador's proposal assumes IR Thermography and Smoke Diagnostics (if required) are to be conducted
during the same mobilization as Air Barrier Performance Testing.
INFRARED THERMOGRAPHY
• Observation of test cores to verify scan results is currently excluded. Upon request, Matador can provide a
supplemental proposal to observe and document test cores (if applicable) as completed/repaired by others.
• Identifying and repairing the source(s) of water penetration is excluded. Rather, services include identifying
the extents of moisture present within the assembly.
• IR scanning will have limited effectiveness in detecting sections of elevated water content in substrate
materials for green roof assemblies, roof paver areas, ballasted roofs, areas where photovoltaic panels are fl
ush mounted, or areas where walkway pads are installed.
• For most accurate readings, the roof surface must be dry and in `swept -clean' condition, as the presence of
water, dirt and debris will skew IR images.
• Access and tie -off points (where necessary) on roof areas are to be provided by others.
• Matador will attempt to perform the roof IR scan in optimal conditions (i.e. adequate temperature
differential, low wind speed and other desired weather conditions); however, Matador cannot guarantee that
all conditions will be ideal on the confi rmed day of testing.
• Matador requests that roof plans (if available) be provided to Matador prior to performing the survey.
Additional Service: Building Envelope Commissioning (BECx)
Exclusions & Clarifi cations
• Our services do not include the design, installation, or direct repair of irrigation components.
• We do not provide verifi cation of landscape design intent beyond irrigation functionality.
• Testing is limited to accessible components; buried or non -visible piping/components will not be pressure -
tested or inspected beyond visual verifi cation.
• Adjustments to programming, zoning, or sensor calibration will be recommended but not implemented by
our team.
• Seasonal variability in irrigation performance due to weather conditions is not considered a commissioning
defect.
• Any additional testing or retesting required due to issues beyond our control (e.g., installation defi ciencies,
unavailability of water supply) may be subject to additional fees.
• Our scope assumes that a properly installed and functional irrigation system is provided by the contractor
before commissioning begins.

COMPENSATION
The table below provides a summary of the total not -to -exceed fee for each service, including the fees for
preconstruction and construction phases.
Payment shall be invoiced monthly on a percentage (%) completion basis.
