THIS AMENDMENT TO AMENDED AND RESTATED DECLARATION OF
COVENANTS, RESTRICTIONS, AND EASEMENTS FQR SOUTIILAKE TOWN SQUARE
( Amendment ) is made and executed effective as'of theopti clay of May, 2003,by Southlake
Venture West, L.P., a Texas limited partnership ("SVW"), Southlake Central Venture, a Texas
joint venture ("SCV"), Southlake Venture East, L.P., a Texas limited partnership ("SVE"),
• Southlake Venture West II, L.P. ("SVWII"), and Southlake Central Venture II, L.P. ("SCVII"),
(SVW, SCV, SVE, SVWII, and SCVII being herein referred to collectively as the "Existing
Owners").
RECITALS:
A. This Amendment amends that certain Amended and Restated Declaration of
Covenants, Restrictions, and Easements for Southlake Town Square (as amended, the
"Declaration") dated effective as of August 23, 2001, and recorded on August 24, 2001 under
Instrument No.D201206507 of the Official Records of Tarrant County,Texas. Any capitalized
term used in the below Amendment which is not otherwise defined in this Amendment shall
have the meaning ascribed to such term in the Declaration.
B. The Existing Owners are Members of the Association, by virtue of their
ownership as record owners of fee simple interest in Parcels within the Project,and such Existing
Owners are entitled to cast at least two-thirds of all the votes which can be cast pursuant to
Section 2.4 of the Declaration. The Existing Owners desire to amend the Declaration in the
manner and for the purposes described hereinbelow, and the amendment of this Declaration by
the undersigned Existing Owners represents an amendment with the Approval of Two-Thirds of
the Members,as provided under Section 15.2 of the Declaration.
C. Pursuant to the requirements of the Developer's Agreement between the City of
Southlake, Texas ("City") and SVW, the City has requested the parties and the parties wish to
amend the Declaration to remove certain property, subject to certain restrictions, from the
property to be covered by the Declaration,which removal is allowed pursuant to Article XIV of
the Declaration.
AGREEMENT
f NOW, THEREFORE, for and in consideration of the above and foregoing premises and
= other good and valuable consideration, the receipt and sufficiency of which consideration is

hereby acknowledged, the Declaration is hereby amended, supplemented and modified as
follows:
1. Section 1.3 of Article 1 is hereby amended to read as follows:
:L "Property Subject to Declaration. The Property initially covered
by this Declaration is described in Exhibit "A-1" and "A-2"
attached hereto, except as otherwise provided in this subsection.

Any right, title and interest in the Project owned or held by any
-.R person shall be subject to this Declaration and the covenants,
conditions, restrictions, easements, charges and liens set forth
•
herein during the time period in which such real estate is included
• within the Project, as the same may be added to, modified or
deleted in accordance with the provisions of this Declaration. The
•
terms of this Declaration do not apply to Block 6 of the Southlake
Town Square Addition except for Articles XI, XIII, and X1V, as
they exist upon execution of this Amendment. Block 6 is not
subject to any other terms or conditions of the Declaration. Block
6 may not be subjected to the other terms of.the Declaration
without the written consent of the City of Southlake and the
County of Tarrant. Notwithstanding the foregoing, the terms of
this Declaration do not apply to the streets and Blocks 7 and 8 in
the Addition, which streets and Blocks are depicted on Exhibit
«B»
2. Article VII of the Declaration is hereby amended by the addition of the following
paragraph,which shall be and become a part of the Declaration for all purposes thereof:
"The provisions of this Article VII shall be subject and subordinate
to the rights granted to the City of Southlake pursuant to the
Irrevocable Parking License,Management and Use Agreement(the
"Parking Agreement") between the Owners and the City of
Southlake. In the event of a conflict between this Article VII and
the Parking Agreement, the terms of the Parking Agreement shall
control."
3. Subparagraph "a." under Article XI of the Declaration shall be and is hereby
amended and replaced in its entirety by the following provision, which shall be and become a
part of the Declaration for all purposes thereof:
"a. The parcel identified as Block 6 on Exhibit`B", a plat of the
Southlake Town Square Addition, shall be restricted to the uses
and for the term as provided below.
The parcel identified as Block 6 on Exhibit `B", a plat of the
Southlake Town Square Addition, shall be restricted to
= government uses and government sponsored activities (the
"Permitted Uses"); provided that Permitted Uses shall not include

use for probation services or activities, jail, penitentiary,
io correctional facility or penal facility, which uses are expressly
_? prohibited. The foregoing use restriction will terminate and no
longer bind the Property on or after September 30,2018.
• After September 30, 2018, as provided in ARTICLE XII, there
shall be no restriction upon the uses permitted in Block 6."

4 4. Pursuant to Article XIV of the Declaration, Blocks 7 and 8 of the Addition,
together with the streets depicted on the plat, are hereby removed from the jurisdiction of the
Declaration effective immediately. Block 6 of the Addition is hereby removed from the
jurisdiction of the Declaration effective September 30,2018.
• 5. Article XIII of the Declaration,entitled"Right of Reverter," shall be and is hereby
deleted in its entirety.
6. Except as expressly modified by this Agreement, the terms and provisions of the
Declaration are hereby ratified and shall remain unchanged and in full force and effect.
7. This Agreement may be executed in multiple counterparts, each of which will be
an original,and all of which--taken together--will constitute one instrument.
8. The Existing Owners' execution of this Amendment constitutes the express
written consent and Approval of Two-Thirds of the Members to and of the terms and provisions
of this Amendment,in accordance with Section 15.2 of the Declaration.
9. The undersigned Existing Owners execute this Amendment to evidence their
consent to and approval of the terms and provisions of this Amendment. The undersigned
Identified Mortgagees hereby join in this Agreement for purposes of evidencing their approval of
the Existing Owners', SVWII's, and SCVII's agreement to remove the Property from the
jurisdiction of the Declaration,subject to the terms herein.
10. Except as expressly modified by this Amendment,the terms and provisions of the
Declaration are hereby ratified and shall remain unchanged and in full force and effect.
11. This Amendment shall be construed in accordance with and governed by the
applicable laws of the State of Texas.
