KNOW ALL MEN BY THESE PRESENTS
That We, MTP - IBM Phase II and III Joint Venture (IIGrantorll), for and in consideration of
the sum ofTen ($10.00) Dollars and other good and valuable consideration in hand paid by Grantee,
the receipt and sufficiency of which is hereby acknowledged and confessed, have granted, sold and
conveyed, and by these presents do grant, sell and convey to the CITY OF SOUTHLAKE ("Grantee"),
of Tarrant and Denton Counties, Texas a permanent and perpetual easement for the purpose of
installing, repairing, maintaining, altering, replacing, relocating, and operating a sanitary sewer line and
other public utilities in, into, upon, over, across and under that land in Tarrant County, Texas, described
as follows, to-wit:
A non-exclusive 20 foot wide permanent Public Utility Easement as more particularly
described on Exhibit IIA" attached hereto and shown on Exhibit IIBII attached hereto,
together with the right of ingress and egress as necessary for such purposes.

Grantor covenants and agrees that Grantee shall have the right to excavate and fill upon said
permanent easement and to remove from said permanent easement, any fences, buildings or other
obstructions as may now be found upon said permanent easement.
Grantor has this day additionally granted, sold and conveyed and by these presents does hereby
grant, sell, and convey to Grantee an additional contiguous temporary construction easement for a
period of one (1) year from the date the easement is filed of record with the County Clerk or until
completion of the installation, for the purpose of installing utilities within the permanent easement, said
temporary construction being described as follows, to-wit:
A temporary 20 foot wide Construction Easement, said easement being located immediately
adjacent to the above-described permanent easement in a configuration as shown on the
attached Exhibit liB II .
Such Temporary easement shall include the right to excavate and fill upon said temporary
easement, but Grantee shall replace any fences or other fixtures upon said temporary easement without
':'0.st !o Grantor, and shall restore the grade of the property which is the subject of the temporary
construction easement, as nearly as possibk to it's grade prior to entry thereon.
Grantor covenants and agrees that Grantor and Grantor's heirs, representatives, successors and
assigns shall at no time erect, place or construct, or cause to be erected, placed or constructed, upon,
over or across the surface of the easement granted herein any temporary or permanent structures, but
the easement granted hereby is non-exclusive and Grantor, its successors and assigns, reserves the right
to permit other utility lines in the easement granted hereby.

Sewer line Easement Continued:
TO HAVE AND TO HOLD the above-described permanent easement forever and the above
described temporary easement for the period stated above, together with all and singular, the rights and
appurtenances thereto, any wise belonging unto Grantee, it's successors and assigns; and We do hereby
bind ourselves, our heirs and assigns, to warrant and to forever defend all and singular the premises
unto the said Grantee, it's successors and assigns, against every person whomsoever lawfully claiming
or to claim same or any part thereof, by, through or under Grantor, but not otherwise, subject to any
and all easements, encumbrances, restrictions, liens, and other matters of record in the Real Property
Records of Tarrant County or Denton County, Texas, plus any deed restrictions and liens filed of
record by Grantor after the date of this easement which right to file deed restrictions and liens in
connection with Grantor's development of its property and adjacent property owned by Grantor or
Grantor's affiliate(s) is specifically reserved by Grantor, its successors and assigns.

FIELD NOTES
Being a description of a 15 foot wide sanitary sewer easement
across that certain TRACT ONE-"A" (316.294 Ac.) located in the U.P.
Martin Survey, Abstract 1015, Southlake, Tarrant County, Texas,
conveyed to MTP-IBM, Phase II and III Joint Venture, by deed
recorded in Volume 8995, Page 1268, Deed Records, Tarrant County,
Texas (D.R., T.Co., Tx.), and being more particularly described by
metes and bounds as follows:
BEGINNING at a point in a common Southeast line of aforesaid Tract
One-"A" and Northeast right-of-way line of State Highway No. 114,
said point bears North 26 degrees 28 minute 37 seconds West
1,640-59/100 feet from the most easterly Southeast corner of that
certain tract of land conveyed to Maguire/Thomas Partners by the
deed recorded in Volume 8551, Page 1743, D.R., T.Co., Tx.;
THENCE departing said common line and with a line generally
parallel to an existing 20 foot public access and utility easement,
the following:
North 53 degrees 45 minutes 45 seconds East 9-52/100 feet to
a point and South 78 degrees 36 minutes 32 seconds East 209-
63/100 feet to a point;
Then with a line 17-5/10 feet from and parallel with existing
sanitary sewer line, North 27 degrees 03 minutes 08 seconds
East 128-20/100 feet to a point; then continuing with a line
common to existing 20 foot public access and utility easement,
the following:
North 67 degrees 46 minutes 05 seconds East 125-28/100 feet to
a point;
