For and in consideration of the sum of ten dollars ($10.00) in hand paid by the City of Southlake, Texas,
the receipt of which is hereby acknowledged, and other good and valuable consideration, including the
benefits that will accrue to my property, I (we), Whites Chapel Cemetery Association ('GRANTOR'(S)),
of Tarrant County, Texas, as the owner of that certain tract of land in Tarrant County, Texas depicted by
metes and bounds description in Exhibit "A", attached hereto and incorporated herein for all purposes of
this dedication, and as more particularly described by drawing as set forth in the "Drawing of Exhibit A",
attached hereto and incorporated herein for all purposes of this dedication, do hereby dedicate same to the
City of Southlake, Tarrant County, Texas for the use and benefit of the public as a perpetual right-of-way
and easement for the passage and accommodation of vehicular and pedestrian traffic, and the
construction, operation, use, maintenance, inspection, repair, alteration, and replacement of a paved road
within the boundaries of the right-of-way and easement area, and for all other purposes for which a public
street and right-of-way is commonly used, including installing, repairing, maintaining, altering, replacing,
relocating and operating utilities in, into, upon, over, across, and under said right-of-way, and including
but not limited to all such uses permitted by the Laws of the State of Texas and the Ordinances and
Charter of the City of Southlake, Texas.
TO HAVE AND TO HOLD said right-of-way and easement unto the City of Southlake, its successors
and assigns, and GRANTOR(S) hereby bind(s) itself (themselves), its (their) successors and assigns to
warrant and forever defend, all and singular, said premises unto the City of Southlake, its successor: and
assigns, against every person whomsoever lawfully claiming or to claim the same or any part thereof.
GRANTOR covenants and agrees that GRANTOR and GRANTOR'S heirs, representatives, successors
and assigns shall at no time erect, place or construct, or cause to be erected, placed or constructed in,
into, upon, over, across or under any easements granted herein any temporary or permanent structures,
and it is further agreed that the City of Southlake shall have the right to excavate and fill upon said
permanent easement, any fences, buildings or other obstructions as may now be found upon said
permanent easement.
It is further intended that the permanent right of way and easement herein granted to the City of
Southlake shall run with the land and forever be a right in and to the land belonging to GRANTOR, and
GRANTOR"S successors and assigns, and said grant is expressly excepted from any right of reversion of
said premises under any prior deeds in GRANTOR'S chain of title. The permanent right-of-way and
easement rights and privileges granted therein are exclusive, and GRANTOR covenants that it will not
convey any other easement or conflicting rights within the area covered by the grant to any other person.

That I, Whites Chapel Cemetery Association, GRANTOR herein, for and in
consideration of the sum of Ten ($10.00) Dollars and other good and valuable
consideration in hand paid by the CITY OF SOUTHLAKE, home rule
municipal corporation of the County of Tarrant, State of Texas, GRANTEE
herein, the receipt and sufficiency of which is hereby acknowledged and
confessed, do hereby grant, sell and convey unto the said GRANTEE a
permanent and perpetual easement for the purpose of installing, repairing,
maintaining, altering, replacing, relocating, rebuilding, removing, and
operating Public Amenity facilities in, into, upon, over, across, under and
through all that land in Tarrant County Texas described as follows, to-wit:
A Thirteen (13) foot wide Permanent Public Amenities Easement
containing approximately 0.016 acres, as more particularly described
in Exhibit "A" and shown on Exhibit "A" attached hereto and
incorporated herein.

ENCROACHMENT AGREEMEN FFICIAL RECORD

COUNTY OF TARRANT
This Agreement is made and entered into by and between the City of Southlake,
a home rule municipal corporation in Tarrant and Denton Counties, Texas, acting herein
by and through its duly authorized Mayor, hereinafter referred to as the "the City," and
Whites Chapel Cemetery Association, acting herein by and through its duly authorized
President, hereinafter referred to as "Grantee."
TERMS AND PROVISIONS
1. For and in consideration of Grantee's true and faithful performance of the
covenants herein contained, the City hereby grants to Grantee permission to encroach
upon, use and occupy portions of the public right-of-way and portions of the City known
as the Southeast Corner of Whites Chapel Cemetery, both as depicted on the survey or
drawing attached hereto as Exhibit A, attached hereto and incorporated herein, and
described in the legal description attached hereto as Exhibit B, such area hereinafter
referred to as "the "Encroachment Area," for the purpose of installing and maintaining a
fence. Both Exhibits A and B are incorporated herein by reference and are considered
part of this instrument.
2. Grantee shall maintain the Encroachment Area in strict compliance with
the requirements of this Agreement, the Charter, Ordinances and Codes of the City and
any other requirements and/or directions of the Director of Public Works of the City, or
the Director's designee for purposes of administering this Agreement.
3. The parties agree that Grantee shall not be entitled to any other or further
encroachments in, under, on, or above the property of the City, including its streets,
public rights-of-way and parks, without prior written consent of the City.
4. Grantee, at no expense to the City, shall make proper provision for the
relocation of any existing utilities, and any necessary provisions for the installation of
any future utilities affected by the encroachment, use and occupancy permitted herein,
including the securing of approval and consent from the utility companies and the
appropriate agencies of the State, County, or other governmental entities and/or political
subdivisions. In the event any installation, reinstallation, relocation or repair of any
existing or future utility or improvements owned or constructed by or on behalf of the
public or at public expense is made more costly by virtue of the construction,
maintenance or existence of the encroachment, use and occupancy permitted herein,

Grantee shall pay to the City an additional amount equal to such additional cost as
determined by the Director of Public Works of the City, or the Director's designee for
purposes of administering this Agreement.
5. During the term of this Agreement, the City may enter and utilize the
Encroachment Area at any time for the purpose of installing or maintaining
improvements necessary for the health, safety and welfare of the public or for any other
public purpose, and in this regard, the City shall bear no responsibility for liability for
damage or disruption of improvements installed by Grantee or its successors, but the
City will make reasonable efforts to minimize such damage.
6. The initial term of this Agreement shall be ninety-nine (99) years,
commencing on the date this Agreement is fully executed, subject to termination as
provided elsewhere herein. In addition, it is specifically understood and agreed that the
rights, duties, obligations and liabilities herein set forth shall be personal to Grantee,
and shall automatically terminate upon the sale, transfer, assignment or other
conveyance to any person or entity not a party to this Agreement, unless otherwise
agreed in writing by the City.
7. Upon the termination of this Agreement for any reason whatsoever,
Grantee shall, at the option of the City and at no expense to the City, remove all of the
improvements in the Encroachment Area.
8. In the event this Agreement is cancelled and terminated as provided in
Paragraph 9, the City will give Grantee ninety (90) days written notice of the City's intent
to utilize the Encroachment Area. Grantee shall remove any improvements in the
Encroachment Area permitted by this Agreement within such time period. The City will
make reasonable efforts to avoid interfering with Grantee's use of the Encroachment
Area until such time period has expired unless approved by Grantee.
9. It is further understood and agreed between the parties hereto that the
City's property and rights-of-way, which Grantee is hereby granted permission to use
and encroach upon, are held by the City for the benefit of the public; that the City
exercises such powers over such public property as have been delegated to it by the
Constitution of the State of Texas or by the Legislature; and that the City cannot
contract away its duty and its legislative power to control the right-of-way and property
for the use and benefit of the public. It is accordingly agreed that if the City Council of
the City should, at any time during the term hereof, determine in its sole discretion there
is a need for the use of the public property or rights-of-way or to use or cause or permit
the said portions of such public property or rights-of-way to be used for any other public
purpose, including but not limited to underground, surface or overhead communication,
drainage, wastewater collection, transfer and disposal, transmission of natural gas or
electricity or other utility lines, park purposes or other recreational facilities or any other
public purpose, whether presently contemplated or not, then this Agreement may be
automatically cancelled and terminated upon a majority vote of the City Council.

10. Grantee understands and agrees that the granting of permission for any
encroachment hereunder is not meant to convey to Grantee any right to use or occupy
property other than or in excess of the contemplated encroachment purposes, or extend
to a third party, regardless of whether Grantee attempts to assign or transfer any rights
under this Agreement to such third party.
11. Grantee agrees to comply fully with all applicable federal, state and local
laws, statutes, ordinances, codes or regulations in connection with the construction,
operation and maintenance of any improvements located in the Encroachment Area.
12. Grantee agrees to pay promptly when due all fees, taxes or rentals
provided for by this Agreement or by any federal, state or local statute, law or
regulation.
13. Grantee covenants and agrees that it shall operate hereunder as an
independent contractor as to all rights and privileges granted hereunder and not as an
officer, agent, servant or employee of the City; that Grantee shall have exclusive control
of and the exclusive right to control the details of its operations, and all persons
performing same, and shall be solely responsible for the acts and omissions of its
officers, agents, servants, employees, contractors, subcontractors, licensees and
invitees; that the doctrine of respondeat superior shall not apply as between the City
and Grantee, its officers, agents, servants, employees, contractors and subcontractors,
and nothing herein shall be construed as creating a partnership or joint enterprise
between the City and Grantee.
14. GRANTEE COVENANTS AND AGREES TO HOLD HARMLESS AND
INDEMNIFY, AND DOES HEREBY HOLD HARMLESS, INDEMNIFY, AND DEFEND
THE CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, FROM AND
AGAINST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY DAMAGE OR LOSS
AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL PERSONS,
OF WHATSOEVER KIND OF CHARACTER, WHETHER REAL OR ASSERTED,
ARISING OUT OF OR IN CONNECTION WITH, DIRECTLY OR INDIRECTLY, THE
OCCUPANCY, USE, EXISTENCE OR LOCATION OF THE ENCROACHMENT AREA
AND THE CONSTRUCTION, MAINTENANCE, REMOVAL OR ALTERATION OF ANY
IMPROVEMENTS IN THE ENCROACHMENT AREA, WHETHER OR NOT CAUSED,
IN WHOLE OR IN PART, BY ALLEGED NEGLIGENCE OF OFFICERS, AGENTS,
SERVANTS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS, LICENSEES
OR INVITEES OF THE CITY, INCLUDING ALL DAMAGES, COSTS, AND
EXPENSES, INCLUDING ATTORNEYS' FEES AND COURT COSTS; AND
GRANTEE HEREBY ASSUMES ALL LIABILITY AND RESPONSIBILITY FOR SUCH
CLAIMS OR SUITS. GRANTEE LIKEWISE HEREBY ASSUMES ALL LIABILITY
AND RESPONSIBILITY AND HEREBY INDEMNIFIES THE CITY FOR ANY AND ALL
INJURY OR DAMAGE TO CITY PROPERTY, ARISING OUT OF OR IN
CONNECTION WITH ANY AND ALL ACTS OR OMISSIONS OF GRANTEE, ITS
OFFICERS, AGENTS, SERVANTS, EMPLOYEES, CONTRACTORS,

CONSTRUCTION, MAINTENANCE, REMOVAL OR ALTERATION OF ANY
IMPROVEMENTS IN THE ENCROACHMENT AREA.
15. Grantee agrees to deposit with the City when this Agreement is fully
executed a sufficient sum of money to be used to pay necessary fees to record this
Encroachment Agreement in its entirety in the deed records. After being so recorded,
the original hereof shall be returned to the City Secretary of the City of Southlake,
Texas.
16. Grantee covenants and agrees maintain the Encroachment Area located
and described in Exhibits A and B, and construct, maintain, and repair any
improvements located therein by Grantee, in a neat, safe and good condition at all
times.
17. In addition to the other grounds for termination provided for in this
Agreement, this Agreement may be terminated by the City should Grantee breach any
terms or conditions set forth in this Agreement.
18. Grantee agrees that should any action, at law or in equity, arise out of the
terms of this Agreement or on account of Grantee's maintaining the encroachments
described herein, venue for said action shall be in Tarrant County, Texas. In any action
brought by the City for the enforcement of the obligations of Grantee, the City shall be
entitled to recover interest and reasonable attorney's fees.
19. All notices, demands, requests or replies provided for or permitted by this
Agreement shall be in writing and shall be deemed delivered when to the addresses
stated below by any one of the following methods: (1) by personal delivery; (2) by
deposit with the United States Postal Service by certified or registered mail, return
receipt requested, postage prepaid; (3) by prepaid telegram, or (4) by deposit with an
overnight express delivery service.

20. This Agreement and the exhibits incorporated and attached hereto
constitute the entire agreement between the City and Grantee for the uses granted. All
other agreements, promises and representations with respect thereto, unless contained

in this Agreement, are expressly revoked, as it is the intention of the parties to provide
for a complete understanding, within the provisions of this document, and the exhibits
incorporated and attached hereto, of the terms, conditions, promises, and covenants
relating to Grantee's use of the Encroachment Area.
21. The unenforceability, invalidity, or illegality of any provision of this
Agreement shall not render the other provisions unenforceable, invalid, or illegal.
22. No waiver of any covenant or condition or of the breach of any covenant
or condition of this Agreement shall be taken to constitute a waiver of any subsequent
breach of the covenant or condition nor to justify or authorize the nonobservance on any
other occasion of the same or any other covenant or condition hereof. It is expressly
understood that if at any time Grantee is in default in any of its conditions or covenants
hereunder, the failure on the part of the City to promptly avail itself of said rights and
remedies which the City may have, will not be considered a waiver on the part of the
City, but the City may at any time avail itself of said rights or remedies or elect to
terminate this Agreement on account of said default, unless expressly provided
otherwise herein.
23. Nothing in this Agreement shall be construed against either party, it being
understood that both parties contributed to the preparation of this Agreement.
24. Nothing in this Agreement shall be construed as a waiver of the City's
governmental immunity, or of any applicable limitation on damages, or any other legal
protection or defense or privilege of the City, except to the extent expressly provided
otherwise herein. A 1
