That the City of Southlake, Texas, a home rule city located in Tarrant and Denton
Counties Texas ("Grantor"), for and in consideration of the benefits obtained pursuant to a
program to promote local economic development and to stimulate business and commercial
activity in the municipality as described in section 380.001 of the Texas Local Government Code
and as evidenced by that certain Economic Development Program Agreement dated June 6, 2003
between Grantor and Southlake Phoenix Homes, Ltd., a Texas Limited Partnership located in
Southlake, Texas ("Grantee") and by that certain Residential Developer Agreement dated July 2,
2004 between Grantor and Grantee, HAS QUITCLAIMED and by these presents DOES
QUITCLAIM to Grantee, whose address is 726 Commerce St., Suite 109, Southlake, Texas
76092, all of Grantor's right, title, and interest in and to the property described in Exhibit "A"
attached to and made a part of this instrument ("Property").
TO HAVE AND TO HOLD all of Grantor's right, title, and interest in and to the
Property, together with all and singular the rights and appurtenances belonging in any way to
Grantor's right, title, and interest in and to the Property, to Grantee and its successors and assigns
forever, and neither Grantor nor Grantor's successors or assigns shall have, claim or demand any
right, title or interest in all or any part of the Property.
GRANTEE ACCEPTS THE PROPERTY ON AN "AS IS," "WHERE IS"
CONDITION AND BASIS WITH ALL FAULTS. GRANTEE ACKNOWLEDGES AND
AGREES THAT GRANTOR HAS NOT MADE AND SPECIFICALLY NEGATES AND
DISCLAIMS ANY REPRESENTATIONS, WARRANTIES, PROMISES, COVENANTS,
AGREEMENTS OR GUARANTIES OF ANY KIND OR CHARACTER WHATSOEVER,
WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, PAST, PRESENT OR
FUTURE, OF, AS TO, CONCERNING OR WITH RESPECT TO (A) THAT CERTAIN
WELL SITUATED ON THE PROPERTY, (B) THE INCOME TO BE DERIVED FROM
THE PROPERTY, (C) THE SUITABILITY OF THE PROPERTY FOR ANY AND ALL
ACTIVITIES AND USES WHICH GRANTEE MAY CONDUCT THEREON, (D) THE
HABIT ABILITY, MERCHANT ABILITY, MARKET ABILITY, PROFIT ABILITY OR
FITNESS FOR A PARTICULAR PURPOSE OF THE PROPERTY, (E) THE MANNER
OR QUALITY OF THE CONSTRUCTION OR MATERIALS, IF ANY,
INCORPORATED INTO THE PROPERTY, (F) THE MANNER, QUALITY, STATE OF

an approximately 11,739 square foot tract ofland (.2700 acres) being situated in
and being a part of the William H. Martin Survey, Tract No. 3A01A in Abstract
No. 1068, City of Southlake, Tarrant County, Texas, being the same tract of land
conveyed to the City of South lake, Texas pursuant to that General Warranty Deed
dated August 3, 1999 between the City of Southlake, Texas, as Grantee, and
AquaSource Utility, Inc., as Grantor, which is recorded at Volume 13995, Page
0021, Deed Records of Tarrant County, Texas.
