Being the owner of the herein-described property, I L�'`L 1 C ("Owner")
hereby grant to the City of Southlake, Texas (the "City ), and to the City's Contractors, a
temporary construction easement over a portion of a tract of land conveyed as a 50' emergency
access and utility & drainage easement across Lot 4 of Sabre Group Campus Block 1 Plat as
recorded in Instrument Number D201316267 of the Plat Records of Tarrant County, Texas, and
as shown in Exhibit A attached hereto, also known as Sabre Drive.
It is understood that during construction the Contractors will of necessity require the temporary
access to accommodate movement of personnel and equipment for handling and placement of
project materials to reconstruct White Chapel Road and operate the existing Trinity River
Authority (TRA) Lift Station facility. In no case shall the Contractor permit equipment to damage
existing concrete pavement or other permanent lot improvements. It is further understood that
the Contractor shall be required by the City to restore all areas of the lot, relative to fencing,
barriers, pavement, signing and other improvements to pre-existing conditions, or better.
This Temporary Construction Easement is subject to the following additional terms and
conditions:
A. The easement shall commence on the date the City issues a Notice to Proceed
to the construction Contractor for the N. White Chapel Blvd. project from North of
Bluestem Dr. to South of Wingate Ln.
B. The easement shall terminate on the earlier to occur of (i) final acceptance by the
City of the Contractors' work or (ii) 24 months after Notice to Proceed.
C. This temporary construction easement shall not be used for the detouring of
public traffic except as may be necessary for emergency purposes.
D. TRA may use the easement for access to City lift station facility adjacent to White
Chapel Road within the project limits.
Contractor covenants and agrees to and does hereby indemnify, hold harmless and defend, at
its own expense, Owner, its officers, officials, agents and employees, from and against any and
all claims or suits, judgments and costs and expenses for property loss or damage and/or
personal injury, including death, to any and all persons, of whatsoever kind or character,
whether real or asserted, arising out of the work and services to be performed hereunder by
Contractor, its officers, officials, agents, employees, SubContractors, licensees or invitees,
whether or not caused, in whole or in part, by the alleged negligence of the officers, agents, and

employees, of the Owner. Contractor likewise covenants and agrees to, and does hereby,
indemnify and hold harmless Owner from and against any and all injuries, damage, loss or
destruction to property of Owner during the performance of any of the terms and conditions of
this contract, whether arising out of in whole or in part, any and all alleged acts or omissions of
officers, agents, or employees of Owner. The provisions of this paragraph are solely for the
benefit of the parties hereto and not intended to create or grant any rights, contractual or
otherwise, to any other person or entity.
Solely as it relates to Facilities located within the Easement Tract, during construction and/or
installation of the Facilities, all of Grantee's agents, representatives, contractors, and/or
subcontractors will maintain commercial general liability insurance including bodily injury, death,
property damage, independent contractors, products/completed operations, contractual, and
personal injury liability, with a limit of at least $600,000 per occurrence and $1,000,000 in the
annual aggregate, and it shall be maintained until final acceptance of the project from the City.
Grantee will provide Grantor with a certificate of insurance reflecting said coverages by certified
mail, return receipt requested to:
