Subject: Item 4T, Approve contract with Tactical Systems Network (TSN) for
Town Hall and Champions Club Security.
Action
Requested: City Council approval of the renewal of a contract with
Tactical Systems Network for Town Hall and Champions
Club Security in an amount not to exceed $330,206.
Background
Information: The City previously entered into a contract with Tactical
Systems Network to provide armed security for Town Hall
and Champions Club. This annual renewal provides for the
continuation of the contract through December 2023 with a
$3.00 per hour rate increase. The Town Hall portion of
$140,328 is paid from the General Fund. The Champions
Club portion of $189,878 includes $168,000 paid out of the
Community Enhancement and Development Corporation
(CEDC) fund and $21,878 paid out of the General Fund. The
CEDC Board approved their portion of the total cost at the
September 27, 2022 CEDC meeting.
Financial
Considerations: Funding is accounted for in the FY23 General Fund and the
FY23 CEDC budget.
Financial Impact: This item is within budget.

ARMED/UNIFORMED COVERAGE
TSN Armed/Licensed/Uniformed security professionals at "The Marq," and "Town Hall" in
Southlake, Texas 76092: $35.00/hour
This new hourly rate supersedes the original rate at all locations
Effective date for new coverage: January 1, 2023.
Shift Requirement: TSN requires an 8-hour shift minimum

SECURITY SERVICES CONTRACT
This contract is entered into beginning 01/05/2016. between the City of Southlake, Texas,
herein referred to as the Client, and Tactical Systems Network, LLG, a duty licensed private
security imt in the State of Texas, hare4n referred to au TSN. The (client has retained TSN to
provide processional security and operational assessment servicesi related to the Town Had
operations located at 1400 Main Street, Southlake, Texas 70092. 'ESN agrees to execute ad
duties outlined within this contract in addition to any supplem"I duties attachod as
additional adden sums to this contract. An authorized representative of both the Glent and
TSN meat sign any addendum of supplemental and/or additional duties. TSN agrees to
perform sb duties In a timely and professional manner.
1. BINDING: This is a legally bind" contract whereby a failure to execute the actions
contracted by either party shall constitute a breach of contract and may subject the failinng
party to a cmi ectton. In the event that it is necessary for one party to enforce this contract,
the defaulting party agrees to pay all costs of suit incurred by the non -defaulting party, for
related hours and expert.9es incurred by the non -defaulting party, Including court costs and
attorney mated fees; whether suit is fled or not.
2. SEVERA$ILITY! If any section or provision of this contract is found to be invalid or
unenforceable to any extent, the remainder of this contract and Itite applicabons of such
provisions shad remain unaffected and thereby shall continue to be anforued to the greatest
extent permitted by law.
3. BILLABLE TIME: The Client has agreed to contract TSN aetvices. Client shall be ndtied
In advance if an overage is anticipated and no work by TSN shell be performed beyond the
corresponding agreement unless approval is granted in wrbtirxg by the Client In the event of
an imminent security -related issue or other matter requiring immediate action, TSN may
Ffioceed with a verbal approval from ltte Client or Principal; however, written approval must
follow by the end of the following business day.
4. SHORT NOTICE FEE: Should the Client require addiltonal seairity personnel for special
events cr other concern, TSN requires a minimum of ninety-six (96) hours advance notice.
This notice will ensure the proper custom staffing of the Clienrs pro�erty, event, or personnel
and allow for the avoidance of TSN Incurring unnecessary overtir le expenses. In the event
that the required advance notice is not given, TSN reserves the nglE to add a 20% surcharge
calculated by the 'per man- hou' rate indicated in tha costs section of this agreement
5. LATE PAYMENT FEE: TSN reserves the right to add a 5% surcharge to any invoice not

9_ LIABILITY: To the extent permitted by applicable taw, the Client agrees to indemnify and
hold harmless TSN, its officers, managers, partners, directors, agents, and employees from
any or all claims, liab1ties, fees (nctudrng attorney fees), costs, and judgments arising from
the Client's use of the information provided in the written reports by TSN. Although TSN
strives at 29 times to provide corroborated, accurate, and/or complete information in 2s
reports, on occasion, certain items of infornttion obtained try TSN and included in the reports
is gathered through observation and personal interpretation, the Client further releases TSN,
its officers, managers, partners, directors, agents, and employees horn the ilab8ity arising or
alleged to arise directly or indiuectly from negligent acts, errors, orioroissions in a written or
verbal report provided to the Client by TSN.
10. CRIMINAL BREACH: In the event that TSN, winds acting ell behaif of the Client or
Principal, detwmnes a criminal act or criminal intent by the Client is evident, TSN shall
terndnate duties immediately. The Client shad not be refunded any•monies pald to TSN, and
the Client shall pay upon demand, all outstanding fees and/or charges due at that time.
11. CONFIDENTfALIT` , Upon the commencement of this agrd&rent. TSN may make
available to the Client Confidential Information pertan+ng to the Company and/or business
practices in the course of and performance of duties. Notwith ding the preceding, the
Client, its partners, shareholders, officers, managers, and e oyees agree to hold in
strictest confidence, any and all confidential information, and not bo use, or to disclose said
infornlabon to any person, firm, corporation, or entity without written authorization from the
President of TSN, except to the extent required by subpoena or appicabie law, including the
Tetras Public information Act, as determined by Client's City Aitontey or the Texas Attomoy
General. The Client confirms that "Cortfidential Information' me" any TSN proprietary
information, technical data, trade secrets, strategies, or Know-how; includiing, but not limited
to, company or ernployea personal information, reaaarch, products, services, customer fists,
including, but not limited to, markets, software, developments' processes, tschnology.

information disclosed by TSN, directly or indirectly, orally. or in wribog.

concems, client agrees that it would be impossible or inadbquate to measure and
calculate damages from any breach of the covenants set forth in Section 13 of this

A couple of things that will need adjusting for me to move forward: After review, it is outside of our
normal practice to bring a contract to Council that has the future cost detailed in it, especially since it is a
yearly renewal. My suggestion is to remove the detail of the future cost increase, and simply bring the
new rate forward when we renew the contract next year. This doesn't negate your ability to increase the
rate, and I understand that you will propose anew rate in the future One additional question —can you
