ELECTRICAL AND COMMUNICATION FACILITIES) THE STATE OF TEXAS ~ ~ COUNTIES OF DENTON AND 9 TARRANT 9 KNOW ALL MEN BY THESE PRESENTS: Article I Grant of Easement and Temporary Construction Easement THAT HILLWOOD/WILLOWBEND, LTD, a Texas limited partnership ("Grantor") for and in consideration ofTEN AND NOll 00 DOLLARS ($10.00) and other good and valuable consideration to Grantor in hand paid by the CITY OF SOUTHLAKE, TEXAS (the "City"), a municipal corporation created under the laws of the State of Texas, with its principal office at 667 North Carroll Avenue, Southlake, Tarrant County, Texas 76092, has given, granted, and conveyed unto, and does by these presents give, grant, and convey unto, the City, its successors and permitted assigns, an easement and right-of-way to lay, construct, inspect, maintain, operate, repair, replace, change, and/or remove (i) a sanitary sewer line or lines, one or more underground electrical power lines and communication lines, together with all incidental equipment and appurtenances, under that certain land more particularly described in Exhibit "A" attached hereto and made a part hereof, and (ii) one or more underground and aboveground sewer meter stations, together with all incidental equipment and appurtenances, in, on, over, through, under, and across that certain land described in Exhibit "A" (all of the foregoing sewer line or lines, electric power lines and communication lines, meter stations, and incidental equipment and appurtenances shall hereinafter be referred to as the "Facilities"). The easement and right-of-way herein granted includes the right of reasonable ingress and egress from public rights-of-way over and across Grantor's remaining land for the purposes of laying, constructing, inspecting, maintaining, operating, repairing, replacing, changing, and/or removing the Facilities; provided, however, (i) Grantor reserves the right to designate, from time to time, that portion of Grantor's remaining land over which such right of ingress and egress may be exercised by the City and (ii) the City shall promptly repair any damage to Grantor's remaining land resulting from the City's exercise of such right of ingress and egress (including the restoration of the surface, replacement of topsoil, planting of grass, replacement of landscaping, reconstruction offences, and removal ofrocks and other construction materials). The easement and right-of-way herein granted includes a temporary construction easement over and across that certain land more particularly as described in Exhibit "B" attached hereto and made a part hereof, to use in connection with the construction of the initial Facilities consisting of the Denton Creek Wastewater Interceptor Pressure System, Phase III; which temporary construction easement shall automatically terminate on the earlier to occur of the second annual anniversary of this agreement or the completion of construction and the City's acceptance of such initial Facilities. Upon completion of construction of the initial Facilities, the City shall promptly repair any damage to Grantor's remaining land resulting from the City's exercise of such temporary construction easement right (including the restoration of the surface, replacement of topsoil, planting of grass, replacement of landscaping, reconstruction of fences, and removal of rocks and other construction materials). In addition, Grantor agrees to provide alternative access across Grantor's remaining land if the need for such alternative access results from Grantor's exercise of any of the rights retained by Grantor in this agreement. The City shall promptly repair any damage to Grantor's remaining land resulting from the City's exercise of such alternative access right (including the restoration of the surface, replacement of topsoil, planting of grass, replacement of landscaping, reconstruction of fences, and removal ofrocks and other construction materials). SOUTHLAKE, rEXAS 76~2 ,__ 12J4~ 07638.0010:0152944.02 1056 The City agrees that, in connection with the exercise of any of the rights herein granted to the City, no hazardous materials or hazardous substances (as defined under applicable federal, state, or local law, as such laws now or hereinafter exist) shall be used, stored, generated, released, or disposed of in violation of such applicable laws, and if such violation occurs, the City shall be solely responsible for any cleanup, remediation, removal, or restoration mandated by such applicable laws. Grantor shall have the right to approve any method of remediation to the extent such remediation involves land owned by Grantor, its successors and assigns, which approval shall not be unreasonably withheld or delayed. Article II Parallel Pipelines There is included in this grant the right at any time in the future to lay, construct, inspect, maintain, operate, repair, replace, change, and/or remove one or more additional lines of pipe approximately parallel with the first pipeline of pipelines laid by the City hereunder, so long as said future line or lines are within the confines of the metes and bounds description contained in Exhibit "A" The City shall submit all construction plans to Grantor as far in advance of construction as possible. Article III Erosion Control For erosion control purposes, the easement rights granted and conveyed herein to the City shall also include the right at any time in the future to construct, inspect, operate, maintain, repair, replace, change, add and/or remove concrete, rock rip rap or other types of erosion control facilities to protect the City's existing and future pipelines located within or adjacent to creeks, gullies and other natural or man-made water drainage courses located within the land described in Exhibit" A" The need for and design of any erosion control facilities are solely within the City's control and at the City's discretion. The erosion control facilities shall be constructed within the high-flow boundaries of said water drainage courses. The City, at its discretion, may grade and slope the banks or walls of the water drainage courses to facilitate the design and integrity of the erosion control facilities. The physical limits of the erosion control facilities shall be entirely confined to the land described in Exhibit "A" The City shall submit its construction plans of said future erosion control facilities to Grantor as far in advance of construction as possible. Grantor shall have the right to modifY the plans to control the appearance and aesthetic qualities of the erosion control facilities, provided Grantor funds any additional costs that result from such modifications and provided Grantor's modifications do not hinder or conflict with the use and integrity of any of the City's facilities. Article IV Easement and Donation Grantor acknowledges this conveyance is a donation to the City and there is to be no payment for all rights conveyed herein. Article V Use and Eniovment Grantor, its successors and assigns, may fully use and enjoy said premises encumbered by said easements, except that such use and enjoyment shall not hinder, conflict or interfere with the exercise of the City's rights hereunder, and no building, structure or long-term holding reservoir shall be constructed upon, under, or across the rights-of-way and easements herein granted without the City's written consent; provided further, Grantor, its successors and assigns, may construct, dedicate, and maintain across said easements and rights-of-way such rail lines, roads, alleys, utilities, paved parking areas, landscaping, walls, fences, signs, monuments, short-term storm water holding detention ponds and utility lines as will not interfere with the use by City of said easements and right-of-way for the purposes aforesaid. GRANTOR shall obtain written consent from City, said written consent not to be unreasonably withheld by City, prior to GRANTOR'S construction of said rail lines, roads, alleys, parking lots, landscaping, walls, fences, signs, monuments, short-term stormwater holding detention ponds and utility lines. The City shall not withhold consent unless the City demonstrates that the design of Grantor's improvements poses an unreasonable risk of potential damage to the Facilities. UNDERGROUND SANITARY SEWER LINE EASEMENTS (INCLUDING METER STATIONS AND ACCESS) - Page 2 07638.0010:0152944.02 2345 1057 Article VI Trees and Shrubbery The City may trim and cut down or remove trees and shrubbery growing on or over the property described in Exhibit "A" in connection with the construction, inspection, maintenance, operation, repair, replacement, change and/or removal of the Facilities, if necessary. The City shall use its best efforts to minimize damage to trees, shrubbery, and landscaping. Article VII Cleanup of Easement The City shall clean up and remove all trash and debris, repair and replace fences, and repair other damage caused by said construction, operation, and maintenance, including reasonable compensation for crop damage, the restoration of existing topsoil, or removal of spoils created during construction by the City. The City shall not bury any trash or waste material of any kind on the easements described herein. During construction, the City shall install such fences, barricades or safety barriers as may be reasonably required to protect the public, livestock, or adjacent property. Article VIII Crops After execution of this document, Grantor shall not establish any kind of grass, crop, or other type of plant within the easement areas described herein until after completion of construction and the City's acceptance of the initial Facilities. The City shall not restrict Grantor from harvesting existing crops prior to the initiation of the City's construction activities for its initial Facilities. F or the purpose of Grantor's harvesting effort, the City shall notify Grantor at least two (2) weeks prior to the initiation of initial construction activities within Grantor's property. Article IX Relocation of Facilities Upon request of Grantor, and at Grantor's sole expense and tender of payment, the City shall relocate to another mutually acceptable location the Facilities installed pursuant to the execution of this agreement. The resulting relocation of the Facilities shall be subject to any and all state and federal laws governing said relocation. The parties agree that they shall not unreasonably withhold their consent in determining the "mutually acceptable location," Except in the event of an emergency, the City shall notify Grantor by telephone at least 48 hours before the beginning of each of the City's construction and maintenance projects on the herein described easements. Upon such notification by the City, Grantor will in turn immediately provide the City with the names, addresses, and telephone numbers of the appropriate tenants of Grantor located on the subject property. Article X Notices All notices required or permitted hereby shall be in wntmg and become effective after being deposited in the u.s. mail, certified or registered with appropriate postage prepaid or, if delivered by some other manner, when actually received. Article XI Liability The City shall take all reasonable steps necessary to avoid any damage or liability to Grantor resulting directly or indirectly from the City's exercise of its rights under this agreement, except where such damage or liability is caused by the negligence of Grantor. Article XII Perpetual Easement The easement rights and privileges herein granted shall be perpetual and said rights shall constitute covenants running with the land and shall be binding upon and inure to the benefit of Grantor and the City, respectively, and their respective successors, assigns, and permitted assigns. The City's rights hereunder may be assigned, in whole or in part, to the Trinity River Authority of Texas without the prior written consent of Grantor. Except as provided in the immediately preceding sentence, the City's rights hereunder shall not be assigned, transferred, or encumbered without the prior written consent of Grantor. Article XID Term of Easement TO HAVE AND TO HOLD the above-described easements and rights-of-way and rights appurtenant thereto unto the City, its successors and permitted assigns, until all of said Facilities are declared permanently abandoned by the City (or by its successor or permitted assigns), in which event said easements and rights-of-way and rights appurtenant thereto shall cease and terminate and revert to Grantor, Grantor's successors and assigns. Article XIV Bindin2EfTect Grantor hereby binds Grantor and Grantor's successors and assigns to warrant and forever defend said easements and rights-of-way and rights appurtenant thereto unto the City, its successors and permitted assigns, against every person whomsoever lawfully claiming, or to claim, the same or any part thereof, by, through, or under Grantor but not otherwise. The covenants and agreements contained in this agreement bind the respective heirs, successors, assigns, permitted assigns, and legal representatives of the parties hereto, and the terms "Grantor" and the "City," where they occur in this agreement, include the respective heirs, successors, assigns, permitted assigns, and legal representatives of Grantor and the City. The captions and article headings used in this agreement are for the convenience of the parties only and shall not be used in construing this agreement. Article XV Entire A2reement I t is expressly understood that all rights, conveyances, and covenants are herein written and no verbal agreements of any kind shall be binding or recognized or in any way modify this agreement. This conveyance is made and accepted subject to any and all matters of record relating to the hereinabove described property, to the extent, and only to the extent, that the same may still be in force and effect, shown of record in the offices of the County Clerks of Denton and Tarrant Counties, Texas.
