That I, Christ's Haven for Children. Inc. , GRANTOR herein, for and in
consideration of the sum of Ten ($10.00) Dollars and other good and valuable
consideration in hand paid by the CITY OF SOUTH LAKE, home rule municipal
corporation of the Counties of Tarrant and Denton, State of Texas, GRANTEE herein,
the receipt and sufficiency of which are hereby acknowledged and confessed, do
hereby grant, sell and convey unto the said GRANTEE a permanent and perpetual
easement for the purpose of installing, repairing, maintaining, altering, replacing,
relocating, rebuilding, removing, and operating a 42" water distribution line and
appurtenances thereto in, into, upon, over, across, under and through land in Tarrant
County, Texas described as follows, to-wit:
Parcel1A & 1 B
A permanent 20 foot wide Water Line Easement as more particularly
described in parcel1A and 1 B Exhibit "A" and shown on parcel1A and 1 B
Exhibit "B" attached hereto and incorporated herein.
Parcel 1 C
A permanent Water Line Easement as more particularly described in
parcel 1 C, Exhibit "A" and shown on parcel 1 C Exhibit "B" attached hereto
and incorporated herein.
together with the right of ingress and egress as necessary for such purposes.
Subject to the terms of the attached agreement and except as allowed therein,
GRANTOR covenants and agrees that GRANTOR and GRANTOR's heirs,
representatives, successors and assigns shall at no time erect, place or construct, or
cause to be erected, placed or constructed in, into, upon, over, across or under any
easements granted herein any temporary or permanent structures, and it is further
agreed that GRANTEE shall have the right to excavate and fill upon said permanent
easement and to remove from said permanent easement, any fences, buildings or other
obstructions as may now be found upon said permanent easement.
It is further intended that the Permanent Water Line Easement herein granted to
the GRANTEE shall run with the land and forever be a right in and to the land belonging
to GRANTOR, and GRANTOR'S successors and assigns,. Except for existing

easements, the Permanent Water Line Easement, granted therein are exclusive, and
GRANTOR covenants that unless GRANTOR has the approval of GRANTEE, it will not
convey any other easement or conflicting rights within the area covered by the grant to
any other person.
TO HAVE AND TO HOLD the above-described permanent easement, with the
right of ingress and egress thereto, together with all and singular, the rights and
appurtenances thereto, anywise belonging unto the said City of Southlake, its
successors and assigns forever; and GRANTOR does hereby bind itself, its heirs and
assigns, to warrant and to forever defend, all and singular, the said premises unto the
GRANTEE, its successors and assigns, against every person whomsoever lawfully
claiming or to claim same or any part thereof, when the claim is by, through or under
GRANTOR, but not otherwise.
This Permanent Water Line Easement is subject to an agreement between
GRANTOR and GRANTEE, a copy of which is attached as Exhibit "C" and is
incorporated herein for all purposes.

AGREEMENT RELATED TO WATER LINE EASEMENT
This Agreement (the "Agreement") is entered this IS'" dayof 0cJ0 b.N"
2003, by and between the City of Southlake, a home rule municipal corporation of the Counties
of Tarrant and Denton, Texas ("Southlake") and Christ's Haven for Children, Inc. ("Christ's
Haven")
Recitals
1. Southlake has requested a Temporary Construction Water Easement and a
Permanent Water Easement onto Christ's Haven's property. Christ's Haven desires to grant the
easements, subject to the conditions, promises, and obligations set forth below.
2. As part of its operations, Christ's Haven has fences on the water line easement,
and will keep those fences in place. Christ's Haven may need to add additional fences in the
future in the water line easement. Christ's Haven has cattle on its property that require fences at
all times to keep them contained on the property. Additionally, the easement will cross at least

one private road on Christ's Haven's property.
3. Previously granted easements exist for natural gas and septic systems. These
easements will continue in place and will cross the easement being granted herein.
Agreement
Now therefore, in consideration of the mutual promises contained herein and other
valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties
agree as follows:
4. Southlake and Christ's Haven agree the above representations are true and form
the basis of this Agreement.
AGREEMENT RELATED TO WATER LINE EASEMENT - FINAL.DOC
5. Christ's Haven will grant a permanent easement and ajemporary construction
easement to Southlake for a below ground 42" water distribution line and nece~sary above
ground appurtenances. It is understood that Christ's Haven will have no duty to maintain or
repair anything associated with this water line easement.
6. Southlake will design the water line at its expense, will construct and maintain
(including any necessary repair or reconstruction) the water line easement at its expense. The
42" water distribution line to be installed by Southlake will be below ground, except where above
ground appurtenances are required to operate the line.
7. Southlake is not allowed on any part of Christ's Haven's property, except as set
forth in the attached easements. If Southlake damages or destroys any fences or roads, Southlake
will replace or repair, as necessary, any such property at its cost and expense. Upon installation
of the 42" water distribution line pursuant to the temporary construction easement, or upon
repairing, maintaining, altering, replacing, relocating, rebuilding, removing, or operating the 42"
water distribution line at issue, Southlake shall restore the premises to original condition. At all
times, Southlake will cooperate with Christ's Haven to protect the persons and livestock on
Christ's Haven Property.
8. Christ's Haven will re-sprig the area currently planted with coastal and the
timberline area (Parcel I B) after the construction phase, using funds paid by Southlake herein.
For all other areas (ParceIIA), at its own expense, Southlake will re-seed and vegetate the area.
Southlake will remove, at its expense, all trees and all portions thereof that are cut down or
destroyed as a result of the easement and the construction related thereto and will remove any
tree stumps.

9. Southlake"wil1 pay $32,050 to Christ's Haven upon signing of this Agreement.
($31,050 for the purchase of the easements and $1,000 for Christ's Haven to prepare and re-
vegetate certain property after the construction of the water line).
10. Christ's Haven will sign the two easements attached as Exhibit 1 and Exhibit 2.
Southlake will file the necessary easements at its expense.
11. Southlake assumes all responsibility for assuring that its employees, agents, and
subcontractors are qualified and safe, and behave properly on the job site. Southlake is solely
responsible for the safety of any person entering Christ's Haven' s property in relation to this
project, now or in the future. Southlake will take further care to assure any workers at the job
site are not sex offenders and have no contact or communication with the children at Christ's
Haven. If anyone associated with the job creates a problem, in Christ's Haven' s sole discretion,
Christ's Haven has the right to expel that person and refuse to allow that person entrance to its
property.
12. Southlake will carry off the premises and dispose of, at its expense, any dirt,
debris, trees, and other material that result from the construction of, maintenance of, or repair of
the water line.
13. Both parties acknowledge that the easements discussed herein will cross existing
easements. The existing easements will remain in place and will not be a violation of this
Agreement. Southlake will not damage, harm, or interfere with the existing easements and will
repair, or replace, at its expense, any damage Southlake causes to these other easements.
14. At no time will the construction or repair or replacement of the water line prevent
persons from getting to their homes.

15. If Southlake damages a private road belonging to Christ's Haven, Southlake will
repair the road and the substrate to as good as or better than original condition.
16. Miscellaneous Provisions.
This agreement constitutes the entire agreement and understanding of the parties and
supersedes all offers, negotiations and other agreements of any kind. There are no
representations or understandings of any kind not set forth herein. Any modification of or
amendment to this agreement must be in writing and executed by both parties.
This agreement shall be governed by and construed in accordance with the laws ofthe
State of Texas. Should any action be brought for enforcement of or arising out of the terms and
conditions of this agreement, venue shall be in Tarrant County, Texas.
The provisions of this agreement are severable and in the event any term of this
agreement is found to be void or invalid, such invalidity shall not effect the remaining terms of
the this agreement, which shall continue in force and effect.
This agreement shall be a covenant running with the land and shall be binding on ahd
inure to the benefit of the parties to this agreement and their respective successors.

That I, Christ's Haven for Children. Inc., GRANTOR herein, for and in consideration
of the sum of Ten ($10.00) Dollars and other good and valuable consideration in hand paid
by the CITY OF SOUTH LAKE, a home rule municipal corporation in Tarrant County and
Denton County, Texas, GRANTEE herein, the receipt and sufficiency of which are hereby
acknowledged and confessed, do hereby grant, sell and convey to GRANTEE a temporary
construction easement for the purpose of installing an underground 42" water distribution
line on that land described as follows:
A temporary construction easement, variable in width, as more
particularly described in parcel1A and 1 B Exhibit "A" and shown on
parcel 1A and 1 B Exhibit "B' attached hereto and incorporated
herein.
The temporary construction easement shall commence upon 30 days following the
notice to proceed date given to the contractor of the project and shall terminate 30 days
after completion of the construction of 42" water distribution line, EXCEPT,
notwithstanding, anything herein to the contrary, if not already terminated, this
temporary easement shall terminate on August 31, 2005.. The temporary construction
easement shall include the right to excavate and fill upon the temporary easement.
TO HAVE AND TO HOLD the above described temporary construction easement
with the right of ingress and egress thereto, together with all and singular the rights and
appurtenances thereto in any wise belonging unto GRANTEE, its successors and assigns,
for the term described, and GRANTOR does hereby bind itself, its heirs, successors and
assigns to warrant and forever defend, all and singular, the said premises unto the
GRANTEE, its successors and assigns, against every person whomsoever lawfully
claiming or to claim the same or any part thereof, when the claim is by, through or under
GRANTOR, but not otherwise. This Temporary Construction Easement is subject to an
agreement between Grantor and Grantee, a copy of which is attached as Exhibit C and is
incorporated herein for all purposes.

AGREEMENT RELATED TO WATER LINE EASEMENT
This Agreement (the "Agreement") is entered this I Sf-' dayof 0cJ0 bN'
2003, by and between the City of Southlake, a home rule municipal corporation of the Counties
of Tarrant and Denton, Texas ("Southlake") and Christ's Haven for Children, Inc. ("Christ's
Haven")
Recitals
1. Southlake has requested a Temporary Construction Water Easement and a
Permanent Water Easement onto Christ's Haven's property. Christ's Haven desires to grant the
easements, subject to the conditions, promises, and obligations set forth below.
2. As part of its operations, Christ's Haven has fences on the water line easement,
and will keep those fences in place. Christ's Haven may need to add additional fences in the
future in the water line easement. Christ's Haven has cattle on its property that require fences at
all times to keep them contained on the property. Additionally, the easement will cross at least

one private road on Christ's Haven's property.
3. Previously granted easements exist for natural gas and septic systems. These
easements will continue in place and will cross the easement being granted herein.
Agreement
Now therefore, in consideration of the mutual promises contained herein and other
valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties
agree as follows:
4. Southlake and Christ's Haven agree the above representations are true and fonn
the basis of this Agreement.

5. Christ's Haven will grant a penI}anent easement and a temporary construction
easement to Southlake for a below ground 42" water distribution line and nece~sary above
ground appurtenances. It is understood that Christ's Haven will have no duty to maintain or
repair anything associated with this water line easement.
6. Southlake will design the water line at its expense, will construct and maintain
(including any necessary repair or reconstruction) the water line easement at its expense. The
42" water distribution line to be installed by Southlake will be below ground, except where above
ground appurtenances are required to operate the line.
7. Southlake is not allowed on any part of Christ's Haven's property, except as set
forth in the attached easements. If Southlake damages or destroys any fences or roads, Southlake
will replace or repair, as necessary, any such property at its cost and expense. Upon installation
of the 42" water distribution line pursuant to the temporary construction easement, or upon
repairing, maintaining, altering, replacing, relocating, rebuilding, removing, or operating the 42"
.' water distribution line at issue, Southlake shall restore the premises to original condition. At all
times, Southlake will cooperate with Christ's Haven to protect the persons and livestock on
Christ's Haven Property.
8. Christ's Haven will re-sprig the area currently planted with coastal and the
timberline area (ParcellB) after the construction phase, using funds paid by Southlake herein.
For all other areas (ParcellA), at its own expense, Southlake will re-seed and vegetate the area.
Southlake will remove, at its expense, all trees and all portions thereof that are cut down or
destroyed as a result of the easement and the construction related thereto and will remove any
tree stumps.

9. Southlake will pay $32,050 to Christ's Haven upon signing of this Agreement.
($31,050 for the purchase of the easements and $1,000 for Christ's Haven to prepare and re-
vegetate certain property after the construction of the water line).
10. Christ's Haven will sign the two easements attached as Exhibit 1 and Exhibit 2.
Southlake will file the necessary easements at its expense.
11. Southlake assumes all responsibility for assuring that its employees, agents, and
subcontractors are qualified and safe, and behave properly on the job site. Southlake is solely
responsible for the safety of any person entering Christ's Haven' s property in relation to this
project, now or in the future. Southlake will take further care to assure any workers at the job
site are not sex offenders and have no contact or communication with the children at Christ's
Haven. If anyone associated with the job creates a problem, in Christ's Haven's sole discretion,
Christ's Haven has the right to expel that person and refuse to allow that person entrance to its
property.
12. Southlake will carry off the premises and dispose of, at its expense, any dirt,
debris, trees, and other material that result from the construction of, maintenance of, or repair of
the water line.
13. Both parties acknowledge that the easements discussed herein will cross existing
easements. The existing easements will remain in place and will not be a violation of this
Agreement. Southlake will not damage, harm, or interfere with the existing easements and will
repair, or replace, at its expense, any damage Southlake causes to these other easements.
14. At no time will the construction or repair or replacement of the water line prevent
persons from getting to their homes.

15. If Southlake damages a private road belonging to Christ's Haven, Southlake will
repair the road and the substrate to as good as or better than original condition.
16. Miscellaneous Provisions.
This agreement constitutes the entire agreement and understanding of the parties and
supersedes all offers, negotiations and other agreements of any kind. There are no
representations or understandings of any kind not set forth herein. Any modification of or
amendment to this agreement must be in writing and executed by both parties.
This agreement shall be governed by and construed in accordance with the laws of the
State of Texas. Should any action be brought for enforcement of or arising out of the terms and
conditions of this agreement, venue shall be in Tarrant County, Texas.
The provisions of this agreement are severable and in the event any term of this
agreement is found to be void or invalid, such invalidity shall not effect the remaining terms of
the this agreement, which shall continue in force and effect.
This agreement shall be a covenant running with the land and'shall be binding on and
inure to the benefit of the parties to this agreement and their respective successors.
