Background
Information: The purpose of Items 4F-4H is to approve engineering services
agreements with Peloton Land Services (4F and 4G) and VRX, Inc.
(4H) to address areas of concern where sanitary sewer infrastructure
is exposed due to erosion and could be compromised for failure. In
FY 2022, staff requested a new project in the Capital Improvements
Program to implement permanent erosion control along creek and

stream banks, restore sanitary sewer manholes to their previous
state, and protect the City's critical infrastructure, and to prevent
environmental impacts that may result from infrastructure failure. The
locations of the identified improvements are based on
recommendations from a previous engineering study by Jones &
Carter.
The project locations of these improvements include Jones Branch
near Raintree Drive in the Whitman Addition subdivision, Jones
Branch near Simmons Court in the Simmons Forest subdivision, and
the Higgins Branch near Woodbrook Lane in the Cross Timber Hills
subdivision.
Due to the critical nature of these improvements, staff enlisted
multiple consultants to provide engineering services to spread the
program workload and expand the source of qualified consultants for
services. While the projects are similar in nature, cost variations are
derived from differences in the level of design efforts from each
project location. In addition to basic design and surveying services,
each project contains additional special services including regulatory
(floodplain, environmental and cultural resources) review and
permitting, geotechnical, hydraulic modeling, easement services,
bidding and construction phase services. Although these are smaller
projects from a construction cost standpoint, the level of effort
required for the regulatory and modeling services are similar to larger
restoration projects. Each project location agreement includes a
contingency for unforeseen changes to the project scope that would
be deemed necessary. These special services identified in each
agreement will require authorization from City staff to complete.
Financial
Considerations: Funding for these agreements are budgeted as part of the approved
Capital Improvement Program. Each agreement is within the project
budget.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT is made this day of , 2022 by and
between the City of Southlake, Texas (hereinafter referred to as "CITY"), and Peloton
Land Solutions, Inc. (hereinafter referred to as "ENGINEER").
WHEREAS, CITY contemplates the need to make bank stabilization in Jones
Branch near 2850 Raintree Drive. This project is to be known as the Jones Branch at
Raintree Drive Bank Stabilization project and hereinafter referred to as the "Project".
WHEREAS, ENGINEER is qualified, able, and desirous of performing the
necessary engineering work upon which the Project is based and is willing and able to
work with CITY staff to organize and coordinate the professional services necessary to
complete the Project.
NOW, THEREFORE, CITY engages ENGINEER to perform, and ENGINEER
agrees to perform, the engineering work for the Project, as more fully described herein
below, and CITY agrees to pay as compensation, and ENGINEER agrees to accept as
compensation, the payments on the dates and in the amounts herein specified, all in
accordance with the terms more fully set out below and as provided in Attachment A
which is attached hereto and incorporated by reference as if fully set forth herein.
I. ARTICLE
ENGINEERING SERVICES
A. Scope of Work
ENGINEER will provide the supervision, direction, personnel and equipment to
perform the engineering Services outlined in Attachment A in accordance with the terms
set forth in this Agreement and in Attachment A.
B. Definitions
Services refer to the professional services performed by ENGINEER pursuant to
this Agreement.
C. Changes
CITY, without invalidating the Agreement, may order changes within the general
scope of the work required by the Agreement by altering, adding to and/or deducting
from the work to be performed. If any change causes an increase or decrease in
ENGINEER's cost of, or the time required for, the performance of any part of the
Services under the Agreement, an equitable adjustment will be made by mutual
agreement and this Agreement shall be modified in writing accordingly.

D. Coordination with Owner
The CITY shall make available to ENGINEER for use in performing Services
hereunder all existing plans, maps, field notes, statistics computations and other data in
the CITY's possession relative to existing facilities and to the Project.
E. Site and Local Conditions
ENGINEER has the right to examine the site in order to become acquainted with
local conditions and accepts conditions at the site unless otherwise noted in writing to
the CITY. Any coordination or scheduling of work by CITY shall not relieve ENGINEER
from its responsibilities specified hereunder. Necessary arrangement for access to any
site by ENGINEER's employees will be made with CITY.
F. Assignment and Subcontractors/Third Party Rights
The rights and obligations covered herein are personal to each party hereto and
not to any third party and for this reason neither this Agreement nor any contract
hereunder shall be assigned by either party in whole or in part; nor shall ENGINEER
subcontract any of its obligations under this Agreement without the prior written consent
of CITY.
G. Independent Contractor
ENGINEER covenants and agrees that it will perform the work hereunder as an
independent contractor, and not as an officer, agent, servant, or employee of CITY; that
ENGINEER shall have exclusive control of and exclusive right to control the details of
the work performed hereunder, and all persons performing same, and shall be solely
responsible for the acts and omissions of its officers, agents, employees, contractors,
subcontractors, and consultants; that the doctrine of respondent superior shall not apply
as between CITY and ENGINEER, its officers, agents, employees, contractors,
subcontractors, and consultants, and nothing herein shall be construed as creating a
partnership or joint enterprise between CITY and ENGINEER.
H. Disclosure
By signature of this contract, ENGINEER warrants to CITY that it has made full
disclosure in writing of any existing conflicts of interest or potential conflicts of interest,
including personal financial interests, direct or indirect, in property abutting the proposed
Project and business relations with abutting property owners. ENGINEER further
warrants that it will make disclosure in writing of any conflicts of interest that develop
subsequent to the signing of this contract and prior to final payment under the contract.
Finally, Engineer warrants that it has submitted to the City a completed Conflicts of
Interest Questionnaire as required by Chapter 176 of the Texas Local Government
Code.

Approval by CITY of this Agreement shall not constitute or be deemed to be a
release of the responsibility and liability of ENGINEER, its officers, agents, employees,
and subcontractors for the accuracy and competency of the Services performed under
this Agreement, including but not limited to surveys, designs, working drawings and
specifications and other engineering documents.
Such approval shall not be deemed to be a waiver or an assumption of such
responsibility and liability by CITY for any negligent act, error, or omission in the
performance of ENGINEER's professional services or in the conduct or preparation of
the subsurface investigations, surveys, designs, working drawings and specifications or
other engineering documents by ENGINEER, its officers, agents, employees and
subcontractors, it being the intent of the parties that approval by CITY signifies the
CITY's approval of only the general design concept of the Improvements to be
constructed.
J. Indemnification
ENGINEER SHALL AND DOES HEREBY AGREE TO INDEMNIFY AND HOLD
HARMLESS CITY, ITS OFFICERS, AGENTS, AND EMPLOYEES FROM ANY AND
ALL DAMAGES, LOSS OR LIABILITY OF ANY KIND WHATSOEVER, BY REASON
OF DEATH OR INJURY TO PROPERTY OR PERSON CAUSED BY ANY OMISSION
OR NEGLIGENT ACT OF ENGINEER, ITS OFFICERS, AGENTS, EMPLOYEES,
INVITEES, OR OTHER PERSONS FOR WHOM IT IS LEGALLY LIABLE, WITH
REGARD TO THE PERFORMANCE OF THIS CONTRACT, AND ENGINEER WILL, AT
ITS COST AND EXPENSE, DEFEND, PAY ON BEHALF OF, AND PROTECT CITY
AND ITS OFFICERS, AGENTS, AND EMPLOYEES AGAINST ANY AND ALL SUCH
CLAIMS AND DEMANDS. THE PROVISIONS OF THIS SECTION ARE SUBJECT TO
THE LIMITATIONS OF TEXAS LOCAL GOVERNMENT CODE SECTION 271.904 AND
SHALL BE CONSTRUED TO THAT EFFECT.
K. No Third Party Beneficiary
For purposes of this Agreement, including its intended operation and effect, the
parties specifically agree and contract that: (1) this Agreement only affects
matters/disputes between the parties to this Agreement, and is in no way intended by
the parties to benefit or otherwise affect any third person or entity (except the
indemnitees identified or described in Article I, Section J., above), notwithstanding the
fact that such third person or entities may be in a contractual relationship with CITY and
ENGINEER, or both; and (2) the terms of this Agreement are not intended to release,
either by contract or operation of law, any third person or entity from obligations they
owe to either CITY or ENGINEER.
L. Successors and Assigns
CITY and ENGINEER each bind themselves and their successors, executors,
administrators and assigns to the other party to this Agreement and to the successors,

executors, administrators and assigns of such other party with respect to all covenants
of this Agreement. Neither CITY nor ENGINEER shall assign or transfer its interest in
this Agreement without prior written consent of the other.
II. ARTICLE
CITY'S RESPONSIBILITIES
CITY will:
1. Provide full information as to CITY's requirements for the Project;
2. Assist ENGINEER by placing at ENGINEER's disposal all information in
CITY's control or knowledge which is pertinent to the Project, including
executed right-of-way easements and final field survey data;
3. Examine all work presented by ENGINEER and respond within
reasonable time and in writing to the material submitted by ENGINEER;
4. Pay all costs incident to advertising for obtaining bids or proposals from
Contractors;
5. Give prompt written notice to ENGINEER whenever CITY observes or
otherwise becomes aware of any defect in ENGINEER's work or in
Contractor's work;
6. Designate in writing a person to act as its representative with respect to
this Agreement, such person having complete authority to transmit
instructions, receive information, and make or interpret the CITY's
decisions;
7. Provide all information and criteria as to the CITY's requirements,
objectives, and expectations for the Project including all numerical criteria
that are to be met and all standards of development, design, or
construction.
8. Provide to the ENGINEER all previous studies, plans, or other documents
pertaining to the Project and all new data reasonably necessary in the
ENGINEER's opinion, such as site survey and engineering data,
environmental impact assessments or statements, zoning or other land
use regulations, etc., upon all of which the ENGINEER may rely; and
9. Arrange for access to the site and other private or public property as
required for the ENGINEER to provide its services.
10. Provide any other information or assistance as outlined in Attachment B
through Attachment F3 hereto.

III. ARTICLE
COMPENSATION FOR ENGINEERING SERVICES
The CITY shall compensate ENGINEER for services rendered under this
Agreement, in accordance with the following:
For the completion of the work contemplated in Article I, the ENGINEER shall be
paid on a lump sum basis in the amount of $118,960 for Basic Services and on an
hourly basis plus expenses in an amount not to exceed $24,600 (as outlined in the
attached proposal) with a total not to exceed cost ceiling of $142,960 as billed monthly
by ENGINEER.
IV. ARTICLE
TIMES OF BILLING AND PAYMENT
The ENGINEER shall bill CITY monthly for any services and expenses incurred
in accordance with the work performed subject to the limits set out in Article III.
Payment shall be due within thirty (30) days of receipt by CITY of a properly prepared
and correct invoice from ENGINEER. ENGINEER's invoices shall be accompanied by
such records or other written proof as CITY deems necessary to verify the billings.
Invoices shall be made to City Finance Department's office at 1400 Main Street,
Suite 440, Southlake, Texas 76092.
If CITY fails to make payment due ENGINEER within thirty (30) days of the day
when payment for services and expenses is due under the terms of this Agreement,
ENGINEER shall be entitled to interest on such unpaid sums at the rate provided in
Chapter 2251 of the Texas Government Code.
V. ARTICLE
ADDITIONAL ENGINEERING SERVICES
In addition to performing the engineering services set out in Article I, hereof,
ENGINEER agrees to perform additional services as requested by CITY from time to
time and CITY agrees to compensate ENGINEER for such services in accordance with
ENGINEER's standard hourly fee and expenses (see Appendix 1) for actual time
expended and actual out-of-pocket sums expended, such services to be one or more of
the following:
1. Make or prepare detailed description of sites, maps, or drawings related
thereto and outside the scope of the Project;

2. Appearances before courts or boards on matters of litigation or hearings
related to the Project;
3. Preparation of environmental impact assessments or statements for any
governmental agency;
4. Miscellaneous engineering work for CITY not related to the Project;
5. To provide resident project construction inspection, unless such inspection
is not required, in writing, by the CITY;
6. Other services agreed to by the parties in writing and incorporated herein.
VI. ARTICLE
STANDARD OF CARE
In performing its professional services, the ENGINEER will use that degree of
care and skill ordinarily exercised, under similar circumstances, by reputable members
of its profession in the same locality at the time the services are provided and in
accordance with any applicable governmental laws, regulations and ordinances.
VII. ARTICLE
PERIOD OF SERVICE
This Agreement shall be effective upon execution by CITY and ENGINEER, and
shall remain in force until work is completed on the Project or until terminated under the
provisions hereinafter provided in Article VIII.
VIII. ARTICLE
TERMINATION
The CITY may terminate this Agreement at any time for convenience, with or
without cause by giving written notice to the ENGINEER. Such termination may be
made effective on such future date as agreed by the parties, but absent such
agreement shall be immediate. Upon receipt of such notice the ENGINEER shall
immediately discontinue all services and work and the placing of all orders or the
entering into contracts for supplies, assistance, facilities, and materials in connection
with the performance of this Agreement and shall proceed to cancel promptly all existing
contracts insofar as they are chargeable to this Agreement.
The ENGINEER, upon termination, shall be paid for all services rendered
through the date of termination together with any additional reimbursable expense then
due.

IX. ARTICLE
OWNERSHIP OF DOCUMENTS
1. All completed or partially completed reports prepared under this
Agreement, including the original drawings in both paper and electronic
formats, shall become the property of CITY if this Agreement is
terminated. Upon completion and payment of the contract, the final
design, drawings, specifications and documents in both paper and
electronic formats shall be owned by CITY.
2. Reuse, change or alteration by CITY or others acting by or on behalf of
CITY of such documents without the permission of ENGINEER shall be at
CITY's sole risk.
X. ARTICLE
INSURANCE
ENGINEER shall carry and maintain at all times relevant hereto, at ENGINEER's
expense, insurance of the type and of minimum coverage limits as follows:
1. Workers Compensation - Statutory Employer's Liability - Limits as required
by the State of Texas.
2. Comprehensive General Liability, Bodily Injury and Property Damage
including contractual liability in a combined single limit - $500,000 per
occurrence.
3. Comprehensive Automotive Liability, Bodily Injury and Property Damage
in a combined single limit - $1,000,000 per accident.
Certificates of insurance for the above coverage in a form acceptable to CITY,
evidencing the coverage required above, shall be provided to CITY within ten (10)
business days after execution of this Agreement and prior to issuing Notice to Proceed.
Such certificates shall provide that the insurer will give CITY not less than ten (10) days
notice of any material changes in or cancellation of coverage. In the event any
subcontractor of ENGINEER, with or without CITY's consent, provides or renders
services under this Agreement, ENGINEER shall ensure that the subcontractor's
services are covered by the same insurance limits as set forth above.
ENGINEER shall not commence work under this Agreement until it has obtained
Professional Liability (Errors and Omissions) Insurance as required hereunder and such
insurance coverage has been approved by CITY. Such insurance shall be in the
minimum amount of $1,000,000 and shall include coverage of Contractually Assumed
Liability. The insurance coverage prescribed herein shall be maintained until one (1)
year after CITY's acceptance of the construction project and shall not be canceled
without prior written notice to CITY. In this connection, upon the signing and return of

this Agreement by ENGINEER, a Certificate of Insurance shall be furnished to CITY as
evidence that the insurance coverage required herein has been obtained by
ENGINEER, and such certificate shall contain the provision that such insurance shall
not be cancelled or modified without thirty (30) days prior written notice to CITY.
ENGINEER shall notify CITY within ten (10) days of any modification or alteration in
such Professional Liability (Errors and Omissions) Insurance.
XI. ARTICLE
AUTHORIZATION, PROGRESS AND COMPLETION
CITY and ENGINEER agree that the Project is planned to be completed by July
31, 2023. ENGINEER shall employ manpower and other resources, and use
professional skill and diligence to meet the schedule; however, ENGINEER shall not be
responsible for schedule delays resulting from conditions beyond its control. By mutual
agreement, CITY and ENGINEER may modify the Project schedule during the course of
the Project and if such modifications affect ENGINEER's compensation, it shall be
modified accordingly, subject to CITY's approval.
It is understood that this Agreement contemplates full and complete engineering
services for this Project, including any and all Services necessary to complete the work.
For additional Engineering Services, the authorization by CITY shall be in writing and
shall include the definition of the services to be provided, the schedule for commencing
and completing the services, and the basis for compensation as agreed upon by CITY
and ENGINEER.
XII. ARTICLE
NOTICE
Any notice required under this Agreement will be in writing and given either
personally, by registered or certified mail, return receipt requested, or by a nationally
recognized overnight courier service, addressed to the parties as follows:

XIII. ARTICLE
SEVERABILITY
In the event that any provision of this Agreement shall be found to be void or
unenforceable, such finding shall not be construed to render any other provisions of this
Agreement either void or unenforceable. All provisions, which are void or
unenforceable, shall not substantially affect the rights or obligations granted to or
undertaken by either party.
XIV. ARTICLE
VENUE -LAW
Venue of any suit or cause of action under this Agreement shall lie exclusively in
Tarrant County, Texas. This Agreement shall be construed in accordance with the laws
of the State of Texas.

Jones Branch at Raintree Bank Stabilization
Scope of Work
The professional services to be performed by Peloton Land Solutions, Inc. (Peloton) for the City of Southlake's
(City) Jones Branch at Raintree Bank Stabilization Project (Project) includes surveying, environmental,
geotechnical investigation, civil design, structural design, bidding, and construction administration. The
proposal also includes construction material testing.
Peloton is providing design services for two bank stabilization projects on Jones Branch. See Attachment'D1'
for project area map. The project site is along Jones Branch near 2850 Raintree Drive. The city has performed
an investigation, taken photos, and spoken with the resident at 2850 Raintree Drive about this project. The
City of Southlake provided Peloton with record drawings of the existing sanitary sewer line and other
infrastructure in the project area. The city identified erosion projects and, in a study, performed in April
2021. The site at 2850 Raintree Drive was included in the City's study. The City's study looked at three (3)
options to mitigate erosion: 1) Scourlok/Flexmat, 2) Bendway Weirs, and 3) Gabion basket wall for bank
stabilization. The study recommended Scourlok/Flexmat. The project has tight project constraints including
proximity of creek to private property, existing fence, existing 15' easement, existing vegetation, etc. After
the design survey has been completed, Peloton will determine which option is the best solution considering
the site constraints. See Attachment 'D2'for location of proposed improvements. We updated the estimated
cost for each option (See Attachments 'E1' and 'E2'). Refer to the following pages for a detailed scope of
work.
Assumptions
1. The Jones Branch at Raintree Drive Bank Stabilization design and construction will be performed
concurrently with the City of Southlake's Jones Branch at Simmons Drive Project.
2. Construction will be bid in a single phase.
3. No Federal Emergency Management (FEMA) permitting is anticipated.
4. The City will assist Peloton in right -of -entry for private properties. Peloton will prepare the letter
content and the City will send right -of -entry letter to property owners on City letterhead.
5. The City will provide construction inspection.
6. Project design will be limited to the project limits shown in Attachment'D2'.
7. The construction material testing costs provided in the fee are an estimate. Peloton will bill the city
the actual costs for material testing.
8. We assume bank stabilization improvements will be constructed within the existing 15' utility
easement. A temporary construction easement will be needed for the project.
9. Existing utilities (excluding the sanitary sewer line) are not anticipated in the project area.
Therefore, we are not performing a subsurface utility engineering (SUE) investigation with this
project. Instead, DIGTESS 811 will be called to do utility locates at 2850 Raintree Drive.
10. Project area is adjacent to property owned and managed by the United States Army Corps of
Engineers (USACE). We anticipate the USACE will require a Construction Easement License to
construct this project. Typical time frame for this license is up to 12 months.

1.0 Project Management
Work on this task order is expected to commence in May 2022. The estimated total project design
schedule is 8 months and includes the following: 4 months for preliminary design, 2 months for final
design, and 2 months for bidding. We are assuming no right-of-way acquisition or franchise utility
relocations in the project schedule.
1.1 Project Meetings
Peloton will orchestrate and attend project meetings as directed by the City to ensure the design
team is coordinated and up-to-date. These meetings will include:
• Project kick-off meeting with the City
In -person meetings (2 estimated) with the City, at or after milestone submittals
• Conference calls (6 estimated) with City staff to the design, coordination, bidding, and other
elements of the project (monthly)
1.2 Project Team Management
Peloton will lead, manage, and direct design team members and activities to ensure quality,
timeliness, and performance. This management will include:
• Orchestrating and hosting internal team meetings
• Communication and reporting
• Meeting agendas and minutes
• Monthly invoicing & progress reports to the City
• Programmed QA/QC review
• Sub -consultant coordination and oversight
• Project schedule preparation and updates
2.0 Data Collection
2.1 Research and Data Collection
Peloton will perform research and collect data for the project, with services to include:
• Perform an initial site visit with investigative photo documentation
• Obtain and review City standard drawings, specifications, and design guides
• Research and obtain property owner information (plats and right-of-way documents) from
the Tarrant Appraisal District (TAD), real property records of Tarrant County, and the United
States Army Corps of Engineers (USACE). Please note this is not a title research or title
commitments.
3.0 Survey and Investigations
Peloton will perform a design survey, wetland determination, tree survey, and geotechnical

3.1 Design Survey
Peloton will perform a detailed design survey in the project limits to carry out the design of this
project. The survey limits are shown in Attachment 'D2'. The survey will consist of topography,
surface features, and existing monumentation within the project limits as previously described. It is
assumed that all surveying will take place in public easements and/or right -of way. If necessary, this
scope assumes that the City will assist in gaining access to adjacent private properties.
Peloton will research record documents (easements and plats) and field locate available on -ground
property monumentation along the project corridor. This information will be used to develop a
right-of-way/easement control drawing to aid in construction plan development. This research and
surveying will include:
• Determination of locations and ownerships of existing public rights -of -way and easements
(research current public record to determine ownership of impacted lands and those
easements discovered during the research). If any takings or easements are determined
during the design, a title search will be performed by the right-of-way acquisition sub -
consultant and the information provided to Peloton for use.
• Confirmation of locations and existing monumentation and property line/corner identifiers
(iron rods, caps, corner witnesses, stakes, fencing, etc.) with field measurements
• Correlation of rights -of -way, easements, and property lines with project control and base
topographic drawings.
• Vertical datum will be tied to a minimum of two (2) City GPS monuments. Monument details
will be in the plan control sheet.
3.2 Easement Documents
Peloton will prepare two (2) temporary construction easement survey document(s) based on found
existing monumentation, monumentation described in legal documents, and the proposed
boundary. Easement documents shall include a written metes & bounds and sketch. Temporary
construction easements are anticipated from the following property owners: 2850 Raintree Drive
and USACE.
3.3 Waters of the U.S. Investigation and Permitting Strategy
Investigate the project and regulations and determine the need for a USACE 404 permit for each
option and if needed, determine the ordinary high water mark elevation of navigable waters of the
US along Jones Branch and the anticipated proposed volume of fill below the ordinary high-water
mark involved for the three options recommended and need for mitigation. The scope of work
includes the following:
3.3.1 Field Delineation
Peloton Land Solutions, Inc. (PLS) will conduct a field delineation of potential waters
of the U.S. within the subject property. The limits of any existing impacts to potential
waters of the U.S. within the subject property will also be documented. The field
delineation will be conducted in accordance with U.S. Army Corps of Engineers
guidance including the 1987 manual, the Great Plains Regional Supplement, and
other pertinent guidance. A Trimble GeoX GPS unit will be used to map all potential
waters of the U.S. For streams, the centerline will be mapped using the GPS where

possible and the ordinary high-water mark (OHWM) will be recorded regularly as
nested points. For wetlands, the wetland -upland boundary will be established, and
that line mapped as a continuous line using the GPS. Datasheets will be completed
for potential wetlands and adjacent uplands along with field notes documenting
observations.
A map will be produced using GIS showing the potentially jurisdictional water
features. This map can be provided to the City in either GIS or CAD format for use in
their planning efforts.
3.3.2 404 Permit Options
Peloton will prepare a technical memo for the client's use of documenting the
existing condition of the water features located within the project area. Information
gathered during the site visit will be incorporated into the technical memo. The
information provided will include on -site observations, field -based indicators of
hydrological conditions, maps, and other applicable information such as Section 404
permitting options. The technical memo would be provided to the client for the
client's use.
3.4 Tree Survey and Inventory
A physical tree inventory of all trees 6" in caliper or larger within the proposed area of disturbance
will be conducted. A tag with a unique identification number will be affixed to each tree inventoried.
Additionally, species, trunk diameter, and conditions will be recorded using a Trimble GEO GPS. This
data will be processed and imported into CAD/GIS for planning and design purposes.
3.5 Corps of Engineers Construction License
Project area is adjacent to property owned and managed by the United States Army Corps of
Engineers (USACE). We anticipate coordinate and the need for a USACE Construction Easement
License for this project to construct the improvements. The anticipated scope of work with the
USACE includes:
• Meeting with Corps of Engineers Lake Grapevine Office
• Completing USACE Construction Easement License
o Metes & Bounds Survey and Exhibit (See Section 3.2 of this proposal)
o Construction plan sheet(s) showing the proposed improvements
• Coordination with the USACE Corps of Engineers, including the USACE Fort Worth District
Office
3.6 Geotechnical Investigation and Report
Peloton has engaged a subconsultant to provide the geotechnical investigation and report. The
detailed scope of work for the geotechnical engineering services is included in the subconsultant's
proposal located in Attachment'F1'. Services will generally include:

4.0 Schematic Design Phase (30% Design)
4.1 Schematic Analysis
Peloton will analyze the existing site conditions using the design survey. The constraints included.
We will make a recommendation for a bank stabilization option based on the site constraints and
will be the most effective in stabilizing the creek bank. The schematic analysis will include:
• Review the Gabion wall and Scourlok/Flexmat options from prior city study. Recommend
one option based on site constraints from the design survey. The site constraints include
existing easement width, proximity to waters of the U.S., bank slope & height, location of
existing sanitary sewer line, and creek velocities.
• Obtain the most up-to-date existing conditions HEC-RAS model of the project area.
• Survey up to three (3) additional channel cross -sections for modeling purposes.
• Update existing conditions HEC-RAS model based on surveyed conditions. Determine
velocities and sheer stress in the project area for design of the improvements.
4.2 Schematic Design
Peloton will prepare a schematic design (30% plans). Schematic design will include:
• Plan view layout of the selected option (one option)
• Typical section(s)
• Baseline elements displayed (topography, existing utilities, and other existing surface
information).
• Updated cost estimate
4.3 Report
A brief report explaining the recommended option based on the site constraints. The report will
contain option summary, exhibits, cost estimates, and recommendations.
5.0 Preliminary Design Plans (60% Design)
5.1 Preliminary Design
A notice to proceed will be issued by the City upon City selection of the concept design option.
Peloton will prepare preliminary design plans (60% plans) for the selected option. The plans will
reflect the following:

• Existing baseline information including topographic survey, surface improvements, and existing
utility information
• Survey Control Sheet (includes city benchmarks and control)
• Demolition Plan
• Channel Improvement Plan and Profile

Once the wall system has been determined in the schematic design phase, the structural engineering
consultant will prepare plans and details (approximately 90% complete). See Phase 1 description in

Compensation
For all services included in Exhibit A: Scope of Work, Peloton shall be compensated a maximum amount as
summarized in the following table. Tasks 1.0 through 7.0 shall be billed as lump sum amounts. Task 8.0 shall
be billed at an hourly rate. Hourly rates are salary x 3.5 multiplier. A range of hourly rates is in Appendix 1
of the "Agreement for Engineering Services". A 1.1 multiplier is applied to sub -consultant fees and
reimbursable expenses. Unless stated otherwise, reimbursements are included in the lump sum fee. This
maximum fee shall be considered full compensation for all labor, materials, supplies, travel expenses,
equipment, reimbursables, and sub -consultant fees necessary to deliver the services described in herein. The
fees shall not be exceeded without prior authorization from the City. If additional services are required

CMJ Engineering, Inc. (CMJ) is pleased to submit a proposal for providing geotechnical
engineering services in conjunction with the above -referenced project. We prepared this
proposal based on an email from you dated April 19, 2022 and on the preliminary scope
submitted to this office.
The project, as currently planned, will consist of erosion repairs along approximately 100 feet of
Jones Branch located on the east side of the residence at 2850 Raintree Drive in Southlake,
Texas. An 8-inch sanitary sewer line traverses the area and is currently becoming exposed due
to the bank erosion. Planned improvements tentatively consist of a gabion basket wall along
the west bank of the channel with a maximum height of approximately 10 to 12 feet.
For purposes of this proposal, it is assumed that select borings will be drilled using hand -
portable equipment where access for truck -mounted drilling equipment is not possible. In
addition, it is assumed that no underground utilities exist at boring locations.

SCOPE OF SERVICES
I. BASIC SERVICES
A. SUBSURFACE EXPLORATION
Based on past experience in the vicinity of the project, we anticipate subsurface conditions to
consist of terrace deposits overlying the soils of the Woodbine geological formation.
Experienced drillers and technicians will evaluate subsurface conditions with a total of three (3)
sample borings. One (1) boring will be drilled to 30 feet utilizing truck -mounted equipment plus
two (2) borings drilled to approximate 10- to 15- foot depths at the top of the channel using
hand -portable equipment, as possible.
The field personnel will drill the borings using either truck -mounted equipment or portable hand
equipment. Cohesive and non -cohesive soil samples will be obtained using 3-inch diameter
Shelby tube samplers and 2-inch diameter standard split -spoon samplers, respectively. In
addition, rock encountered will be evaluated by use of Texas Department of Transportation
(TXDOT) cone penetration tests. A soils logger will extrude the samples in the field, check the
samples for consistency with a hand penetrometer, carefully wrap them to preserve their
condition, and return them to the laboratory for testing. A log of each boring will be prepared to
document field activities and results.
CMJ's personnel will stake the boring locations using hand held GIPS equipment. Approximate
locations of the borings will be shown on the plan of borings. Precise surveying of boring
locations and elevations is not included in the cost estimate. These services may be provided
as Additional Services upon request. At the completion of drilling operations, boreholes will be
backfilled with drill cuttings and plugged at the surface by hand tamping.
B. LABORATORY SERVICES
Considering the planned facilities, anticipated soil conditions and geology, laboratory tests will
be required for classification purposes, and to determine strength characteristics. The following
types of tests are therefore recommended:
• moisture content and soil identification
• percent passing #200 sieve
• sieve and hydrometer analyses
• liquid and plastic limit determinations
• unconfined compression tests on soil
• direct shear tests on soil
• unit weight determinations
The specific types and quantities of tests will be determined based on geologic conditions
encountered in the borings.

C. ENGINEERING SERVICES
An engineering report will be prepared to present the results of the field and laboratory data
together with our analyses of the results and recommendations. We will provide two copies of
the report and an electronic copy. The report will address:
• general soil and ground -water conditions
• recommendations for gabion foundation, depth and allowable loading
• foundation construction requirements
• recommended lateral pressures for the design of retaining structures
• slope stability analyses for planned channel geometry (client to provide geometry
data)
• recommendations for tiebacks, including founding material, allowable adhesion,
and spacing (if required)
• earthwork recommendations
Items other than those specified above, which are revealed by these studies or are necessitated
by a change in project scope, may require revised field, laboratory, and engineering services.
These services, if required and requested, will be performed as Additional Services. Additional
Services are described in Section II.
D. COMPENSATION FOR BASIC SERVICES
It is proposed that the Basic Services described above be performed on a unit price basis, in
accordance with the attached Basic Services Cost Estimate. Based on the anticipated scope
and the attached Basic Services Cost Estimate, the total cost of the Basic Services should be
on the order of $8,800 to 8,900. For budget purposes, a maximum cost of $8,900 is
recommended. This cost for Basic Services will not be exceeded without prior authorization.
The estimated costs shown in this proposal are based on the anticipated soil conditions. The
final invoice will be based on the specific quantities drilled and tested. If unanticipated
conditions are encountered during drilling, we will notify you accordingly.
E. SCHEDULE FOR BASIC SERVICES
Weather permitting, we plan to initiate these studies within fifteen business days of receipt of
notice to proceed, and anticipate that one to two working days will be required to complete the
subsurface exploration for the site (weather conditions permitting). You will receive the final
report approximately four weeks following the completion of the field phase. We will make
preliminary design data available sooner if necessary.

II. ADDITIONAL SERVICES
A. AUTHORIZATION AND SCOPE
Additional Services will be performed only if specifically requested and authorized by Client.
Additional Services may consist of the following:
Additional subsurface exploration, including quantities or items other than described in
Basic Services.
Bulldozer or other equipment services required to achieve access to boring locations.
• Stand-by time or time in excess of one-half hour required for travel between boring
locations.
• Additional laboratory services, including quantities or items other than described in Basic
Services.
• Additional insurance coverage or limits (if available) other than CMJ's standard policies.
• Additional engineering services, including personnel time and expenses for items not
specifically described in Basic Services. This may include, but is not limited to,
additional meetings requested by Client or Client's other consultants, assistance to
Client in dealing with regulatory agencies, preparation and engineering assistance in
legal proceedings, and evaluation of alternative designs for the project or relocation of
structure, following initial submittal of the geotechnical report.
• Additional copies of the report, other than the number described in Basic Services.
• Any other required or requested services authorized by Client, other than those
specifically described in Basic Services.
B. COMPENSATION AND SCHEDULE FOR ADDITIONAL SERVICES
Additional Services, when authorized by Client, will be in accordance with our Schedule of Fees.
Additional Services will be performed at reasonable times and within reasonable schedules as
requested by Client. Authorized Additional Services will be billed as a separate item on invoices
and a description of the Additional Services will be provided.
III. TERMS AND CONDITIONS
The scope of services will be performed pursuant to the attached CMJ Terms for Geotechnical
Engineering Services, which is incorporated into this proposal.

We are pleased to submit this unit fee contract for providing construction materials engineering services
on the above referenced project.
Project Budget
Based upon our understanding of your needs, our unit fees for this project will be as stated on the
budget attachment. All fees for services performed which do not appear on the budget attachment will
be based on our standard fee schedule. The final charges will be a function of the total services
performed. All charges for laboratory services are F.O.B. our laboratory. All same -day service
requests will be charged the greater of either $250 or our actual rescheduling costs based on
the project's unit fees, for each site visit performed. Service requests may be made Monday
through Friday 7:00 am to 5:00 pm and should be received 24-hours in advance but no later than
3:00 PM of the day prior to service. CMJ will make every effort to service same day service
requests but cannot guarantee your request will be serviced without the required prior notice.
The prices provided in the attached fee schedule will remain valid for forty-five (45) days from the date
on this unit fee contract or for one year from that date if our services for this project are started within
that forty-five (45) day period. Invoices will be submitted for these services on a monthly basis. These
will be due and payable upon receipt. CMJ will not supervise or direct work that is performed by the
contractor or subcontractors and is not responsible for their means and methods utilized or the resultant
outcome of their efforts.

3. All laboratory test fees are F.O.B. our laboratory. Engineering technician minimums and vehicle trip charges will apply to all trips to the job -
site including sample pickups and specimen pickups.
4. A minimum amount of technician time and a vehicle trip charge will be billed for each call out, sample pickup or specimen pickup unless
noted otherwise. Technician time is charged portal-to-portal from our Fort Worth office.
5. 4"X8" concrete compression test specimens will be used per ACI 318 requirements unless instructed otherwise.
6. Structural steel observation at fabrication shop fees based on facilities located in the Dallas -Fort Worth metroplex area.
7. Additional tests not specified in this fee schedule will be quoted upon request, or based on our current fee schedule.
8. Vehicle trip charge in excess of 25 miles from CMJ's office will be based on $0.85/mile plus tolls, portal-to-portal our office.
9. Specimen collection fees as stated are either project specific or based on a maximum of 25 miles from CMJ.
10. All same -day service requests will be charged a minimum $250 insufficient notice fee or actual re -scheduling costs if greater.
11. All test -pit moisture -density testing will be charged a $15.50 fee for each test in addition to the standard hourly rate.

Simmons Court, Raintree Drive, and Woodbrook Lane.
The existing channel bank is eroding, and further deterioration is expected. To protect
the existing embankment, a retaining wall is likely required. We anticipate the
improvement area to be no more than 12 feet tall and 250 feet long.

The wall will likely be a tied -back gabion or concrete block wall. The tiebacks are
anticipated to include grouted prestressed tendons that are tied to rows of reinforced
concrete beams. Structural design of systems involving alternate proprietary products
such as Scourlok is not included in this proposal.
To meet the structural engineering challenges associated with this project, we propose the
following specific scope of structural engineering services and associated fees.
Pierce EnIlineering Scope
Pierce Engineering proposes to provide structural design for the sites summarized above.
We will also be available to perform construction administration services as outlined.

We propose to complete the work in the following phases:
Phase 1. 90% Submittal: Pierce Engineering will perform research to identify all
applicable codes, standards and regulations for construction. We will also evaluate
alternative structural designs, perform structural calculations, and prepare preliminary
structural plans.

Limitations
This proposal is limited to the scope identified above. Significant revisions to the scope
and/or scheme after authorization to proceed will be cause for additional fees. Further,
the fees listed above should be considered estimates only and may require revisions upon
review of available data and/or conditions at the site.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT is made this day of , 2022 by and
between the City of Southlake, Texas (hereinafter referred to as "CITY"), and Peloton
Land Solutions, Inc. (hereinafter referred to as "ENGINEER").
WHEREAS, CITY contemplates the need to make bank stabilization in Jones
Branch near 831 Simmons Court. This project is to be known as the Jones Branch at
Simmons Court Bank Stabilization project and hereinafter referred to as the "Project".
WHEREAS, ENGINEER is qualified, able, and desirous of performing the
necessary engineering work upon which the Project is based and is willing and able to
work with CITY staff to organize and coordinate the professional services necessary to
complete the Project.
NOW, THEREFORE, CITY engages ENGINEER to perform, and ENGINEER
agrees to perform, the engineering work for the Project, as more fully described herein
below, and CITY agrees to pay as compensation, and ENGINEER agrees to accept as
compensation, the payments on the dates and in the amounts herein specified, all in
accordance with the terms more fully set out below and as provided in Attachment A
which is attached hereto and incorporated by reference as if fully set forth herein.
I. ARTICLE
ENGINEERING SERVICES
A. Scope of Work
ENGINEER will provide the supervision, direction, personnel and equipment to
perform the engineering Services outlined in Attachment A in accordance with the terms
set forth in this Agreement and in Attachment A.
B. Definitions
Services refer to the professional services performed by ENGINEER pursuant to
this Agreement.
C. Changes
CITY, without invalidating the Agreement, may order changes within the general
scope of the work required by the Agreement by altering, adding to and/or deducting
from the work to be performed. If any change causes an increase or decrease in
ENGINEER's cost of, or the time required for, the performance of any part of the
Services under the Agreement, an equitable adjustment will be made by mutual
agreement and this Agreement shall be modified in writing accordingly.

D. Coordination with Owner
The CITY shall make available to ENGINEER for use in performing Services
hereunder all existing plans, maps, field notes, statistics computations and other data in
the CITY's possession relative to existing facilities and to the Project.
E. Site and Local Conditions
ENGINEER has the right to examine the site in order to become acquainted with
local conditions and accepts conditions at the site unless otherwise noted in writing to
the CITY. Any coordination or scheduling of work by CITY shall not relieve ENGINEER
from its responsibilities specified hereunder. Necessary arrangement for access to any
site by ENGINEER's employees will be made with CITY.
F. Assignment and Subcontractors/Third Party Rights
The rights and obligations covered herein are personal to each party hereto and
not to any third party and for this reason neither this Agreement nor any contract
hereunder shall be assigned by either party in whole or in part; nor shall ENGINEER
subcontract any of its obligations under this Agreement without the prior written consent
of CITY.
G. Independent Contractor
ENGINEER covenants and agrees that it will perform the work hereunder as an
independent contractor, and not as an officer, agent, servant, or employee of CITY; that
ENGINEER shall have exclusive control of and exclusive right to control the details of
the work performed hereunder, and all persons performing same, and shall be solely
responsible for the acts and omissions of its officers, agents, employees, contractors,
subcontractors, and consultants; that the doctrine of respondent superior shall not apply
as between CITY and ENGINEER, its officers, agents, employees, contractors,
subcontractors, and consultants, and nothing herein shall be construed as creating a
partnership or joint enterprise between CITY and ENGINEER.
H. Disclosure
By signature of this contract, ENGINEER warrants to CITY that it has made full
disclosure in writing of any existing conflicts of interest or potential conflicts of interest,
including personal financial interests, direct or indirect, in property abutting the proposed
Project and business relations with abutting property owners. ENGINEER further
warrants that it will make disclosure in writing of any conflicts of interest that develop
subsequent to the signing of this contract and prior to final payment under the contract.
Finally, Engineer warrants that it has submitted to the City a completed Conflicts of
Interest Questionnaire as required by Chapter 176 of the Texas Local Government
Code.
I. Approval by CITY

Approval by CITY of this Agreement shall not constitute or be deemed to be a
release of the responsibility and liability of ENGINEER, its officers, agents, employees,
and subcontractors for the accuracy and competency of the Services performed under
this Agreement, including but not limited to surveys, designs, working drawings and
specifications and other engineering documents.
Such approval shall not be deemed to be a waiver or an assumption of such
responsibility and liability by CITY for any negligent act, error, or omission in the
performance of ENGINEER's professional services or in the conduct or preparation of
the subsurface investigations, surveys, designs, working drawings and specifications or
other engineering documents by ENGINEER, its officers, agents, employees and
subcontractors, it being the intent of the parties that approval by CITY signifies the
CITY's approval of only the general design concept of the Improvements to be
constructed.
J. Indemnification
ENGINEER SHALL AND DOES HEREBY AGREE TO INDEMNIFY AND HOLD
HARMLESS CITY, ITS OFFICERS, AGENTS, AND EMPLOYEES FROM ANY AND
ALL DAMAGES, LOSS OR LIABILITY OF ANY KIND WHATSOEVER, BY REASON
OF DEATH OR INJURY TO PROPERTY OR PERSON CAUSED BY ANY OMISSION
OR NEGLIGENT ACT OF ENGINEER, ITS OFFICERS, AGENTS, EMPLOYEES,
INVITEES, OR OTHER PERSONS FOR WHOM IT IS LEGALLY LIABLE, WITH
REGARD TO THE PERFORMANCE OF THIS CONTRACT, AND ENGINEER WILL, AT
ITS COST AND EXPENSE, DEFEND, PAY ON BEHALF OF, AND PROTECT CITY
AND ITS OFFICERS, AGENTS, AND EMPLOYEES AGAINST ANY AND ALL SUCH
CLAIMS AND DEMANDS. THE PROVISIONS OF THIS SECTION ARE SUBJECT TO
THE LIMITATIONS OF TEXAS LOCAL GOVERNMENT CODE SECTION 271.904 AND
SHALL BE CONSTRUED TO THAT EFFECT.
K. No Third Party Beneficiary
For purposes of this Agreement, including its intended operation and effect, the
parties specifically agree and contract that: (1) this Agreement only affects
matters/disputes between the parties to this Agreement, and is in no way intended by
the parties to benefit or otherwise affect any third person or entity (except the
indemnitees identified or described in Article I, Section J., above), notwithstanding the
fact that such third person or entities may be in a contractual relationship with CITY and
ENGINEER, or both; and (2) the terms of this Agreement are not intended to release,
either by contract or operation of law, any third person or entity from obligations they
owe to either CITY or ENGINEER.
L. Successors and Assigns
CITY and ENGINEER each bind themselves and their successors, executors,
administrators and assigns to the other party to this Agreement and to the successors,

executors, administrators and assigns of such other party with respect to all covenants
of this Agreement. Neither CITY nor ENGINEER shall assign or transfer its interest in
this Agreement without prior written consent of the other.
II. ARTICLE
CITY'S RESPONSIBILITIES
CITY will:
1. Provide full information as to CITY's requirements for the Project;
2. Assist ENGINEER by placing at ENGINEER's disposal all information in
CITY's control or knowledge which is pertinent to the Project, including
executed right-of-way easements and final field survey data;
3. Examine all work presented by ENGINEER and respond within
reasonable time and in writing to the material submitted by ENGINEER;
4. Pay all costs incident to advertising for obtaining bids or proposals from
Contractors;
5. Give prompt written notice to ENGINEER whenever CITY observes or
otherwise becomes aware of any defect in ENGINEER's work or in
Contractor's work;
6. Designate in writing a person to act as its representative with respect to
this Agreement, such person having complete authority to transmit
instructions, receive information, and make or interpret the CITY's
decisions;
7. Provide all information and criteria as to the CITY's requirements,
objectives, and expectations for the Project including all numerical criteria
that are to be met and all standards of development, design, or
construction.
8. Provide to the ENGINEER all previous studies, plans, or other documents
pertaining to the Project and all new data reasonably necessary in the
ENGINEER's opinion, such as site survey and engineering data,
environmental impact assessments or statements, zoning or other land
use regulations, etc., upon all of which the ENGINEER may rely; and
9. Arrange for access to the site and other private or public property as
required for the ENGINEER to provide its services.
10. Provide any other information or assistance as outlined in Attachment B
through Attachment F4 hereto.

III. ARTICLE
COMPENSATION FOR ENGINEERING SERVICES
The CITY shall compensate ENGINEER for services rendered under this
Agreement, in accordance with the following:
For the completion of the work contemplated in Article I, the ENGINEER shall be
paid on a lump sum basis in the amount of $108,965 for Basic Services and on an
hourly basis plus expenses in an amount not to exceed $24,750 (as outlined in the
attached proposal) with a total not to exceed cost ceiling of $133,715 as billed monthly
by ENGINEER.
IV. ARTICLE
TIMES OF BILLING AND PAYMENT
The ENGINEER shall bill CITY monthly for any services and expenses incurred
in accordance with the work performed subject to the limits set out in Article III.
Payment shall be due within thirty (30) days of receipt by CITY of a properly prepared
and correct invoice from ENGINEER. ENGINEER's invoices shall be accompanied by
such records or other written proof as CITY deems necessary to verify the billings.
Invoices shall be made to City Finance Department's office at 1400 Main Street,
Suite 440, Southlake, Texas 76092.
If CITY fails to make payment due ENGINEER within thirty (30) days of the day
when payment for services and expenses is due under the terms of this Agreement,
ENGINEER shall be entitled to interest on such unpaid sums at the rate provided in
Chapter 2251 of the Texas Government Code.
V. ARTICLE
ADDITIONAL ENGINEERING SERVICES
In addition to performing the engineering services set out in Article I, hereof,
ENGINEER agrees to perform additional services as requested by CITY from time to
time and CITY agrees to compensate ENGINEER for such services in accordance with
ENGINEER's standard hourly fee and expenses (see Appendix 1) for actual time
expended and actual out-of-pocket sums expended, such services to be one or more of
the following:
1. Make or prepare detailed description of sites, maps, or drawings related
thereto and outside the scope of the Project;

2. Appearances before courts or boards on matters of litigation or hearings
related to the Project;
3. Preparation of environmental impact assessments or statements for any
governmental agency;
4. Miscellaneous engineering work for CITY not related to the Project;
5. To provide resident project construction inspection, unless such inspection
is not required, in writing, by the CITY;
6. Other services agreed to by the parties in writing and incorporated herein.
VI. ARTICLE
STANDARD OF CARE
In performing its professional services, the ENGINEER will use that degree of
care and skill ordinarily exercised, under similar circumstances, by reputable members
of its profession in the same locality at the time the services are provided and in
accordance with any applicable governmental laws, regulations and ordinances.
VII. ARTICLE
PERIOD OF SERVICE
This Agreement shall be effective upon execution by CITY and ENGINEER, and
shall remain in force until work is completed on the Project or until terminated under the
provisions hereinafter provided in Article VIII.
VIII. ARTICLE
TERMINATION
The CITY may terminate this Agreement at any time for convenience, with or
without cause by giving written notice to the ENGINEER. Such termination may be
made effective on such future date as agreed by the parties, but absent such
agreement shall be immediate. Upon receipt of such notice the ENGINEER shall
immediately discontinue all services and work and the placing of all orders or the
entering into contracts for supplies, assistance, facilities, and materials in connection
with the performance of this Agreement and shall proceed to cancel promptly all existing
contracts insofar as they are chargeable to this Agreement.
The ENGINEER, upon termination, shall be paid for all services rendered
through the date of termination together with any additional reimbursable expense then
due.

IX. ARTICLE
OWNERSHIP OF DOCUMENTS
1. All completed or partially completed reports prepared under this
Agreement, including the original drawings in both paper and electronic
formats, shall become the property of CITY if this Agreement is
terminated. Upon completion and payment of the contract, the final
design, drawings, specifications and documents in both paper and
electronic formats shall be owned by CITY.
2. Reuse, change or alteration by CITY or others acting by or on behalf of
CITY of such documents without the permission of ENGINEER shall be at
CITY's sole risk.
X. ARTICLE
INSURANCE
ENGINEER shall carry and maintain at all times relevant hereto, at ENGINEER's
expense, insurance of the type and of minimum coverage limits as follows:
1. Workers Compensation - Statutory Employer's Liability - Limits as required
by the State of Texas.
2. Comprehensive General Liability, Bodily Injury and Property Damage
including contractual liability in a combined single limit - $500,000 per
occurrence.
3. Comprehensive Automotive Liability, Bodily Injury and Property Damage
in a combined single limit - $1,000,000 per accident.
Certificates of insurance for the above coverage in a form acceptable to CITY,
evidencing the coverage required above, shall be provided to CITY within ten (10)
business days after execution of this Agreement and prior to issuing Notice to Proceed.
Such certificates shall provide that the insurer will give CITY not less than ten (10) days
notice of any material changes in or cancellation of coverage. In the event any
subcontractor of ENGINEER, with or without CITY's consent, provides or renders
services under this Agreement, ENGINEER shall ensure that the subcontractor's
services are covered by the same insurance limits as set forth above.
ENGINEER shall not commence work under this Agreement until it has obtained
Professional Liability (Errors and Omissions) Insurance as required hereunder and such
insurance coverage has been approved by CITY. Such insurance shall be in the
minimum amount of $1,000,000 and shall include coverage of Contractually Assumed
Liability. The insurance coverage prescribed herein shall be maintained until one (1)
year after CITY's acceptance of the construction project and shall not be canceled
without prior written notice to CITY. In this connection, upon the signing and return of

this Agreement by ENGINEER, a Certificate of Insurance shall be furnished to CITY as
evidence that the insurance coverage required herein has been obtained by
ENGINEER, and such certificate shall contain the provision that such insurance shall
not be cancelled or modified without thirty (30) days prior written notice to CITY.
ENGINEER shall notify CITY within ten (10) days of any modification or alteration in
such Professional Liability (Errors and Omissions) Insurance.
XI. ARTICLE
AUTHORIZATION, PROGRESS AND COMPLETION
CITY and ENGINEER agree that the Project is planned to be completed by July
31, 2023. ENGINEER shall employ manpower and other resources, and use
professional skill and diligence to meet the schedule; however, ENGINEER shall not be
responsible for schedule delays resulting from conditions beyond its control. By mutual
agreement, CITY and ENGINEER may modify the Project schedule during the course of
the Project and if such modifications affect ENGINEER's compensation, it shall be
modified accordingly, subject to CITY's approval.
It is understood that this Agreement contemplates full and complete engineering
services for this Project, including any and all Services necessary to complete the work.
For additional Engineering Services, the authorization by CITY shall be in writing and
shall include the definition of the services to be provided, the schedule for commencing
and completing the services, and the basis for compensation as agreed upon by CITY
and ENGINEER.
XII. ARTICLE
NOTICE
Any notice required under this Agreement will be in writing and given either
personally, by registered or certified mail, return receipt requested, or by a nationally
recognized overnight courier service, addressed to the parties as follows:

XIII. ARTICLE
SEVERABILITY
In the event that any provision of this Agreement shall be found to be void or
unenforceable, such finding shall not be construed to render any other provisions of this
Agreement either void or unenforceable. All provisions, which are void or
unenforceable, shall not substantially affect the rights or obligations granted to or
undertaken by either party.
XIV. ARTICLE
VENUE -LAW
Venue of any suit or cause of action under this Agreement shall lie exclusively in
Tarrant County, Texas. This Agreement shall be construed in accordance with the laws
of the State of Texas.

Scope of Work
The professional services to be performed by Peloton Land Solutions, Inc. (Peloton) for the City of Southlake's
(City) Jones Branch at Simmons Court Bank Stabilization Project (Project) includes surveying, environmental,
geotechnical investigation, subsurface utility engineering (SUE), civil design, structural design, bidding, and
construction administration. The proposal also includes construction material testing.
Peloton is providing design services for two bank stabilization projects on Jones Branch. See Attachment'D1'
for project area map. This project site is along Jones Branch near 831 Simmons Court. The city has performed
an investigation, taken photos, and spoken with the resident at 831 Simmons Court about this project. The
City of Southlake provided Peloton with record drawings of the existing sanitary sewer line and other
infrastructure in the project area. The city identified erosion projects and, in a study, performed in April
2021. The site at 831 Simmons Road was included in the City's study. The City's study suggested reinforced
mats (Scourlok/Flexmat) products for bank stabilization. Due to the tight project constraints (proximity of
creek to private property, existing fence, existing 15' easement, existing vegetation, etc.) Peloton will also
look at other wall options (gabion baskets or concrete block walls) to stabilize the bank. See Attachment'D2'
for location of proposed improvements. A conceptual cost estimate was prepared based on the gabion
basket wall design (See Attachment 'E').
Refer to the following pages for a detailed scope of work.
Assumptions
1. The Jones Branch Bank Stabilization design services will be performed concurrently with the City of
Southlake's Jones Branch at Raintree Drive Project.
2. Construction will be bid in a single phase.
3. No Federal Emergency Management (FEMA) permitting is anticipated.
4. The City will assist Peloton in right -of -entry for private properties. Peloton will prepare the letter
content and the City will send right -of -entry letter to property owners on City letterhead.
5. The City will provide construction inspection.
6. Project design will be limited to the project limits shown in Attachment'D2'.
7. The construction material testing costs provided in the fee are an estimate and Peloton will bill the
city the actual costs for material testing.
8. We assume bank stabilization improvements will be constructed within the existing 15' utility
easement. A temporary construction easement will be needed for the project.
9. Existing utilities (excluding the sanitary sewer line) are not anticipated in the project area.
Therefore, we are not performing a subsurface utility engineering (SUE) investigation with this
project. Instead, DIGTESS 811 will be called to do utility locates at 2850 Raintree Drive.

1.0 Project Management
Work on this task order is expected to commence in May 2022. The estimated total project design
schedule is 8 months and includes the following: 4 months for preliminary design, 2 months for final
design, and 2 months for bidding. We are assuming no right-of-way acquisition or franchise utility
relocations in the project schedule.
1.1 Project Meetings
Peloton will orchestrate and attend project meetings as directed by the City to ensure the design
team is coordinated and up-to-date. These meetings will include:
• Project kick-off meeting with the City
In -person meetings (2 estimated) with the City, at or after milestone submittals
• Conference calls (6 estimated) with City staff to the design, coordination, bidding, and other
elements of the project (monthly)
1.2 Project Team Management
Peloton will lead, manage, and direct design team members and activities to ensure quality,

2.0 Data Collection

this is not a title research or title commitments.

3.1 Design Survey
Peloton will perform detailed topographic field surveys in the project limits to carry out the design
of this project. The survey limits are shown in Attachment'D2'. The survey will consist of topography
and surface features within the project limits as previously described. It is assumed that all surveying
will take place in public easements and/or right -of way. If necessary, this scope assumes that the
City will assist in gaining access to adjacent private properties.
Peloton will research record documents (easements and plats) and field locate available on -ground
property monumentation along the project corridor. This information will be used to develop a
right-of-way/easement control drawing to aid in construction plan development. This research and
surveying will include:
• Determination of locations and ownerships of existing public rights -of -way and easements
(research current public record to determine ownership of impacted lands and those
easements discovered during the research). If any takings or easements are determined
during the design, a title search will be performed by the right-of-way acquisition sub -
consultant and the information provided to Peloton for use.
• Confirmation of locations and existing monumentation and property line/corner identifiers
(iron rods, caps, corner witnesses, stakes, fencing, etc.) with field measurements
• Correlation of rights -of -way, easements, and property lines with project control and base
topographic drawings.
• Vertical datum will be tied to a minimum of two (2) City GPS monuments. Monument details
will be in the plan control sheet.
3.2 Easement Documents
Peloton will prepare one (1) temporary construction easement survey document(s) based on found
existing monumentation, monumentation described in legal documents, and the proposed
boundary. Easement documents shall include a written metes & bounds and sketch.
3.3 Waters of the U.S. Investigation and Permitting Strategy
Investigate the project and regulations and determine the need for a USACE 404 permit for each
option and if needed, determine the ordinary high water mark elevation of navigable waters of the
US along Jones Branch and the anticipated proposed volume of fill below the ordinary high-water
mark involved for the three options recommended and need for mitigation. The scope of work
includes the following:
3.3.1 Field Delineation
Peloton Land Solutions, Inc. (PLS) will conduct a field delineation of potential waters
of the U.S. within the subject property. The limits of any existing impacts to potential
waters of the U.S. within the subject property will also be documented. The field
delineation will be conducted in accordance with U.S. Army Corps of Engineers
guidance including the 1987 manual, the Great Plains Regional Supplement, and
other pertinent guidance. A Trimble GeoX GPS unit will be used to map all potential
waters of the U.S. For streams, the centerline will be mapped using the GPS where
possible and the ordinary high-water mark (OHWM) will be recorded regularly as

nested points. For wetlands, the wetland -upland boundary will be established, and
that line mapped as a continuous line using the GPS. Datasheets will be completed
for potential wetlands and adjacent uplands along with field notes documenting
observations.
A map will be produced using GIS showing the potentially jurisdictional water
features. This map can be provided to the City in either GIS or CAD format for use in
their planning efforts.
3.3.2 404 Permit Options
Peloton will prepare a technical memo for the client's use of documenting the
existing condition of the water features located within the project area. Information
gathered during the site visit will be incorporated into the technical memo. The
information provided will include on -site observations, field -based indicators of
hydrological conditions, maps, and other applicable information such as Section 404
permitting options. The technical memo would be provided to the client for the
client's use.
3.4 Tree Survey and Inventory
A physical tree inventory of all trees 6" in caliper or larger within the proposed area of disturbance
will be conducted. A tag with a unique identification number will be affixed to each tree inventoried.
Additionally, species, trunk diameter, and conditions will be recorded using a Trimble GEO GPS. This
data will be processed and imported into CAD/GIS for planning and design purposes.
3.5 Subsurface Utility Engineering (SUE)
Peloton has engaged a subconsultant to provide subservice utility engineering services. The detailed
scope of work for the subsurface utility engineering (SUE) services is included in the subconsultant's
proposal located in Attachment'F1'. Services will generally include:
• QL-B through QL-D subsurface investigation for project area
• Map and CAD file of found utilities provided in the attached proposal from the SUE sub -
consultant.
3.6 Geotechnical Investigation and Report
Peloton has engaged a subconsultant to provide the geotechnical investigation and report. The
detailed scope of work for the geotechnical engineering services is included in the subconsultant's
proposal located in Attachment'F2'. Services will generally include:

Peloton will analyze the existing site conditions using the design survey. The constraints included.
We will make a recommendation for a bank stabilization option based on the site constraints and
will be the most effective in stabilizing the creek bank. The schematic analysis will include:
• Review Scourlok/Flexmat stabilization option from prior city study and Gabion Basket Wall
option. Recommend one option based on site constraints from the design survey. The site
constraints include existing easement width, proximity to waters of the U.S., bank slope &
height, location of existing sanitary sewer line, and creek velocities.
• Obtain the most up-to-date existing conditions HEC-RAS model of the project area.
• Survey up to three (3) additional channel cross -sections for modeling purposes.
• Update existing conditions HEC-RAS model based on surveyed conditions. Determine
velocities and sheer stress in the project area for design of the improvements.
4.2 Schematic Design
Peloton will prepare a schematic design (30% plans). Schematic design will include:
• Plan view layout of the selected option (one option)
• Typical section(s)
• Baseline elements displayed (topography, existing utilities, and other existing surface

and includes a 1.1 multiplier. Construction material testing will be billed to the City as a reimbursable
expense. Peloton will inform the City if the budget is going to be exceeded.

Compensation and Fees
Compensation
For all services included in Exhibit A: Scope of Work, Peloton shall be compensated a maximum amount as
summarized in the following table. Tasks 1.0 through 7.0 shall be billed as lump sum amounts. Task 8.0 shall
be billed at an hourly rate. Hourly rates are salary x 3.5 multiplier. A range of hourly rates is in Appendix 1
of the "Agreement for Engineering Services". A 1.1 multiplier is applied to sub -consultant fees and
reimbursable expenses. Unless stated otherwise, reimbursements are included in the lump sum fee. This
maximum fee shall be considered full compensation for all labor, materials, supplies, travel expenses,
equipment, reimbursables, and sub -consultant fees necessary to deliver the services described in herein. The
fees shall not be exceeded without prior authorization from the City. If additional services are required
beyond this Scope of Work, compensation shall be per corresponding contract addenda.

The Rios Group, Inc. (TRG) is pleased to submit a cost proposal for Subsurface Utility Engineering
(SUE) required for the above referenced project. This proposal is based on information contained in
your email dated March 9, 2022.
Introduction
TRG will perform the SUE work required for this project in general accordance with the
recommended practices and procedures described in ASCE Publication Cl/ASCE 38-02 (Standard
Guideline for the Collection and Depiction of Existing Subsurface Utility Data). As described in the
mentioned ASCE publication, four levels have been established to describe the quality of utility
location and attribute information used on plans. The four quality levels are as follows:
• Quality Level D (QL"D") — Information derived from existing utility records;
• Quality Level C (QL"C") - QL"D" information supplemented with information obtained by
surveying visible above -ground utility features such as valves, hydrants, meters, manhole
covers, etc.
• Quality Level B (QL"B") — Two-dimensional (x,y) information obtained through the
application and interpretation of non-destructive surface geophysical methods. Also known
as "designating" this quality level provides the horizontal position of subsurface utilities
within approximately one foot.
• Quality Level A (QL"A") — Three dimensional (x,y,z) utility information obtained utilizing
non-destructive vacuum excavation equipment to expose utilities at critical points which are
then tied down by surveying. Also known as "locating", this quality level provides precise
horizontal and vertical positioning of utilities within approximately 0.05 feet.
It is the responsibility of the SUE provider to perform due -diligence with regard to records research
(QL "D") and acquisition of available utility records. The due -diligence provided for this project
will consist of visually inspecting the work area for evidence of utilities and reviewing the available
utility record information. Utilities that are not identified through these efforts will be here forth
referred to as "unknown" utilities. TRG personnel will scan the defined work area using electronic
prospecting equipment to search for "unknown" utilities. However, TRG is not responsible for
designating and locating these "unknown" utilities.

Scope of Work
Based on information provided by Peloton Land Solutions (Peloton), TRG has developed a
preliminary scope for the SUE work required for this project. The scope of work may be modified,
with Peloton's concurrence, during the performance of the SUE fieldwork if warranted by actual
field findings.
The scope of this proposal includes Quality Level `B" SUE. Utilities to be designated include gas,
telecommunications, electric, traffic signals, storm, water, irrigation and sanitary sewer. Designating
will be performed within the limits shown in the attached "Exhibit A".
TRG will have all designating marks surveyed using project control point data provided by Peloton.
Any necessary Right -of -Entry (ROE) permits will be provided by Peloton prior to the start of TRG
field work.
Designating Procedures
Prior to beginning field designating activities, TRG's field manager will review the project scope of
work and available utility records. Once these initial reviews are complete, the field manager and
technicians will begin designating the approximate horizontal position of known subsurface utilities
within the specified project limits. A suite of geophysical equipment (electromagnetic induction,
magnetic) will be used to designate metallic/conductive utilities (e.g. steel pipe, electrical cable,
telephone cable). TRG will establish routine/ordinary traffic control (cones and free standing
signage, etc.) whenever required as part of our standard pricing. If non -routine traffic control
measures are required (barricades, flag person, changeable message board, etc.), these services will
be considered extra.
Accurate collection and recording of designated utilities is a critical component of the SUE process.
TRG utilizes a proven method of collecting and recording survey information once the utilities have
been designated in the field. TRG's field manager will produce detailed sketches depicting each
utility as well as relevant surface features such as roadways, buildings, manholes, fire hydrants,
utility pedestals, valves, meters, etc. Each utility will be labeled with a unique ID code. For
example, if two different water lines exist on the project, one will be labeled W1 and the other W2.
Paint and pin flags will be used to designate the utilities in the field. A labeled pin flag or paint
mark will be used to mark each location where a survey shot is required. The locations will be
numbered sequentially for each individual utility line. For example, if there are 10 shots required
on water line W 1, the points will be numbered W 1-1 through W 1-10.
Deliverables
TRG will produce a utility file, in AutoCAD format, depicting the type and horizontal location of the
designated utilities. The size of each utility will be presented in the utility file if this information is
indicated on available record drawings. Peloton will provide TRG with base map/topographic files
for use in preparing the utility file.

Schedule
Field work can commence within approximately 2 weeks after receipt of NTP. TRG estimates that
the work can be completed in approximately 2 weeks.
Proposed Fees
TRG proposes to provide the services as described above for a cost of Four Thousand Eight
Hundred Fifty Dollars & 00/100 ($4,850.00). A breakdown of cost is included as "Table 1" for this
proposal.
Please note that this estimate is based on an assumption of quantities. TRG will only invoice for
quantities actually performed. This is a not -to -exceed amount. If it appears that quantities will be
exceeded, TRG will notify Peloton and request authorization to submit a supplemental agreement to
increase the fee prior to proceeding with additional work.

Jones Branch located on the east side of the residence at 831 Simmons Court in Southlake,
Texas. An 8-inch sanitary sewer line traverses the area and is currently protected by shotcrete.
Planned improvements tentatively consist of a gabion basket wall along the west bank of the
channel with a maximum height of approximately 8 to 10 feet.
For purposes of this proposal, it is assumed that select borings will be drilled using hand -
portable equipment where access for truck -mounted drilling equipment is not possible. In
addition, it is assumed that no underground utilities exist at boring locations.

SCOPE OF SERVICES
I. BASIC SERVICES
A. SUBSURFACE EXPLORATION
Based on past experience in the vicinity of the project, we anticipate subsurface conditions to
consist of terrace deposits overlying the soils of the Woodbine geological formation.
Experienced drillers and technicians will evaluate subsurface conditions with a total of three (3)
sample borings. One (1) boring will be drilled to 30 feet utilizing truck -mounted equipment plus
two (2) borings drilled to approximate 10- to 15- foot depths at the top of the channel using
hand -portable equipment, as possible.
The field personnel will drill the borings using either truck -mounted equipment or portable hand
equipment. Cohesive and non -cohesive soil samples will be obtained using 3-inch diameter
Shelby tube samplers and 2-inch diameter standard split -spoon samplers, respectively. In
addition, rock encountered will be evaluated by use of Texas Department of Transportation
(TXDOT) cone penetration tests. A soils logger will extrude the samples in the field, check the
samples for consistency with a hand penetrometer, carefully wrap them to preserve their
condition, and return them to the laboratory for testing. A log of each boring will be prepared to
document field activities and results.
CMJ's personnel will stake the boring locations using hand held GPS equipment. Approximate
locations of the borings will be shown on the plan of borings. Precise surveying of boring
locations and elevations is not included in the cost estimate. These services may be provided
as Additional Services upon request. At the completion of drilling operations, boreholes will be
backfilled with drill cuttings and plugged at the surface by hand tamping.
B. LABORATORY SERVICES
Considering the planned facilities, anticipated soil conditions and geology, laboratory tests will
be required for classification purposes, and to determine strength characteristics. The following
types of tests are therefore recommended:
• moisture content and soil identification
• percent passing #200 sieve
• sieve and hydrometer analyses
• liquid and plastic limit determinations
• unconfined compression tests on soil
• direct shear tests on soil
• unit weight determinations
The specific types and quantities of tests will be determined based on geologic conditions
encountered in the borings.

C. ENGINEERING SERVICES
An engineering report will be prepared to present the results of the field and laboratory data
together with our analyses of the results and recommendations. We will provide two copies of
the report and an electronic copy. The report will address:
• general soil and ground -water conditions
• recommendations for gabion foundation, depth and allowable loading
• foundation construction requirements
• recommended lateral pressures for the design of retaining structures
• slope stability analyses for planned channel geometry (client to provide geometry
data)
• recommendations for tiebacks, including founding material, allowable adhesion,
and spacing (if required)
• earthwork recommendations
Items other than those specified above, which are revealed by these studies or are necessitated
by a change in project scope, may require revised field, laboratory, and engineering services.
These services, if required and requested, will be performed as Additional Services. Additional
Services are described in Section ll.
D. COMPENSATION FOR BASIC SERVICES
It is proposed that the Basic Services described above be performed on a unit price basis, in
accordance with the attached Basic Services Cost Estimate. Based on the anticipated scope
and the attached Basic Services Cost Estimate, the total cost of the Basic Services should be
on the order of $8,800 to 8,900. For budget purposes, a maximum cost of $8,900 is
recommended. This cost for Basic Services will not be exceeded without prior authorization.
The estimated costs shown in this proposal are based on the anticipated soil conditions. The
final invoice will be based on the specific quantities drilled and tested. If unanticipated
conditions are encountered during drilling, we will notify you accordingly.
E. SCHEDULE FOR BASIC SERVICES
Weather permitting, we plan to initiate these studies within fifteen business days of receipt of
notice to proceed, and anticipate that one to two working days will be required to complete the
subsurface exploration for the site (weather conditions permitting). You will receive the final
report approximately four weeks following the completion of the field phase. We will make
preliminary design data available sooner if necessary.

II. ADDITIONAL SERVICES
A. AUTHORIZATION AND SCOPE
Additional Services will be performed only if specifically requested and authorized by Client.
Additional Services may consist of the following:
• Additional subsurface exploration, including quantities or items other than described in
Basic Services.
Bulldozer or other equipment services required to achieve access to boring locations.
• Stand-by time or time in excess of one-half hour required for travel between boring
locations.
• Additional laboratory services, including quantities or items other than described in Basic
Services.
• Additional insurance coverage or limits (if available) other than CMJ's standard policies.
• Additional engineering services, including personnel time and expenses for items not
specifically described in Basic Services. This may include, but is not limited to,
additional meetings requested by Client or Client's other consultants, assistance to
Client in dealing with regulatory agencies, preparation and engineering assistance in
legal proceedings, and evaluation of alternative designs for the project or relocation of
structure, following initial submittal of the geotechnical report.
• Additional copies of the report, other than the number described in Basic Services.
• Any other required or requested services authorized by Client, other than those
specifically described in Basic Services.
B. COMPENSATION AND SCHEDULE FOR ADDITIONAL SERVICES
Additional Services, when authorized by Client, will be in accordance with our Schedule of Fees.
Additional Services will be performed at reasonable times and within reasonable schedules as
requested by Client. Authorized Additional Services will be billed as a separate item on invoices
and a description of the Additional Services will be provided.
III. TERMS AND CONDITIONS
The scope of services will be performed pursuant to the attached CMJ Terms for Geotechnical
Engineering Services, which is incorporated into this proposal.

We are pleased to submit this unit fee contract for providing construction materials engineering services
on the above referenced project.
Project Budget
Based upon our understanding of your needs, our unit fees for this project will be as stated on the
budget attachment. All fees for services performed which do not appear on the budget attachment will
be based on our standard fee schedule. The final charges will be a function of the total services
performed. All charges for laboratory services are F.O.B. our laboratory. All same -day service
requests will be charged the greater of either $250 or our actual rescheduling costs based on
the project's unit fees, for each site visit performed. Service requests may be made Monday
through Friday 7:00 am to 5:00 pm and should be received 24-hours in advance but no later than
3:00 PM of the day prior to service. CMJ will make every effort to service same day service
requests but cannot guarantee your request will be serviced without the required prior notice.
The prices provided in the attached fee schedule will remain valid for forty-five (45) days from the date
on this unit fee contract or for one year from that date if our services for this project are started within
that forty-five (45) day period. Invoices will be submitted for these services on a monthly basis. These
will be due and payable upon receipt. CMJ will not supervise or direct work that is performed by the
contractor or subcontractors and is not responsible for their means and methods utilized or the resultant
outcome of their efforts.

DESCRIPTION FEE UNIT
1. Project Management fees will be charged as follows: 2 hours for initial project setup, foundation reconciliation at 3 minutes per pier,
compliance review and statement of same at 3 minutes per report with a 1 hour minimum, post -tensioning compliance review at 0.50 hours
per page with a 1.0 hour minimum and a 79G/house pad compliance report review and letter at 10 minutes per lot, if CMJ is informed at the
start of this project of this need. Should the client choose not to sign CMJ's agreement and instead request CMJ to sign the client's contract,
any time spent reviewing/revising client's contract will be billed at the above listed project management hourly rate. All other services that
would be requested of a project manager will be billed as same.
2. Overtime rates of 1.5 times the regular rate will be charged for hours worked or services performed over eight (8) hours per day or before
7:00 a.m. and/or after 5:00 p.m. Monday thru Friday. All lab and field services performed on Saturday, will be billed at 1.5 times the regular
rate and will be billed at 2.0 times the regular rate for Sundays and recognized holidays.
3. All laboratory test fees are F.O.B. our laboratory. Engineering technician minimums and vehicle trip charges will apply to all trips to the job -
site including sample pickups and specimen pickups.
4. A minimum amount of technician time and a vehicle trip charge will be billed for each call out, sample pickup or specimen pickup unless
noted otherwise. Technician time is charged portal-to-portal from our Fort Worth office.
5. 4"X8" concrete compression test specimens will be used per ACI 318 requirements unless instructed otherwise.
6. Structural steel observation at fabrication shop fees based on facilities located in the Dallas -Fort Worth metroplex area.
7. Additional tests not specified in this fee schedule will be quoted upon request, or based on our current fee schedule.
8. Vehicle trip charge in excess of 25 miles from CMJ's office will be based on $0.85/mile plus tolls, portal-to-portal our office.
9. Specimen collection fees as stated are either project specific or based on a maximum of 25 miles from CMJ.
10. All same -day service requests will be charged a minimum $250 insufficient notice fee or actual re -scheduling costs if greater.
11. All test -pit moisture -density testing will be charged a $15.50 fee for each test in addition to the standard hourly rate.
12. CMJ will not supervise or direct work that is performed by the contractor or subcontractors and is not responsible for their means and
methods utilized or the resultant outcome of their efforts.

Project Scope
It is our understanding that a site in Southlake, TX requires erosion control improvements
along a drainage channel. The subject site is located adjacent to a house along Simmons
Court.
The existing channel bank is eroding, and further deterioration is expected. To protect
the existing embankment, a retaining wall is likely required. We anticipate the
improvement area to be no more than 10 feet tall and 100 feet long.

investigation regarding other alternatives will be required.
To meet the structural engineering challenges associated with this project, we propose the
following specific scope of structural engineering services and associated fees.
Pierce Engineering Scope
Pierce Engineering proposes to provide structural design for the site summarized above.
We will also be available to perform construction administration services as outlined.
Services
We propose to complete the work in the following phases:
Phase 1. 90% Submittal: Pierce Engineering will perform research to identify all
applicable codes, standards and regulations for construction. We will also evaluate
alternative structural designs, perform structural calculations, and prepare preliminary
structural plans.

identified above or can be negotiated as a separate lump sum addendum. Fees for
reproduction and delivery will be passed on to the client at cost.
Limitations
This proposal is limited to the scope identified above. Significant revisions to the scope
and/or scheme after authorization to proceed will be cause for additional fees. Further,
the fees listed above should be considered estimates only and may require revisions upon
review of available data and/or conditions at the site.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT is made this day of , 2022 by and
between the City of Southlake, Texas (hereinafter referred to as "CITY"), and VRX, Inc.
(hereinafter referred to as "ENGINEER").
WHEREAS, CITY contemplates the need for the design of permanent erosion
control and stream stabilization measures at a site where City of Southlake sanitary
sewer manhole is near or within Higgins Branch. This project is to be known as the
Erosion Protection Improvements at Higgins Branch near Woodbrook Lane project and
hereinafter referred to as the "Project".
WHEREAS, ENGINEER is qualified, able, and desirous of performing the
necessary engineering work upon which the Project is based and is willing and able to
work with CITY staff to organize and coordinate the professional services necessary to
complete the Project.
NOW, THEREFORE, CITY engages ENGINEER to perform, and ENGINEER
agrees to perform, the engineering work for the Project, as more fully described herein
below, and CITY agrees to pay as compensation, and ENGINEER agrees to accept as
compensation, the payments on the dates and in the amounts herein specified, all in
accordance with the terms more fully set out below and as provided in Attachment A
which is attached hereto and incorporated by reference as if fully set forth herein.
I. ARTICLE
ENGINEERING SERVICES
A. Scope of Work
ENGINEER will provide the supervision, direction, personnel and equipment to
perform the engineering Services outlined in Attachment A in accordance with the terms
set forth in this Agreement and in Attachment A.
B. Definitions
Services refer to the professional services performed by ENGINEER pursuant to
this Agreement.
C. Changes
CITY, without invalidating the Agreement, may order changes within the general
scope of the work required by the Agreement by altering, adding to and/or deducting
from the work to be performed. If any change causes an increase or decrease in
ENGINEER's cost of, or the time required for, the performance of any part of the
Services under the Agreement, an equitable adjustment will be made by mutual

agreement and this Agreement shall be modified in writing accordingly.
D. Coordination with Owner
The CITY shall make available to ENGINEER for use in performing Services
hereunder all existing plans, maps, field notes, statistics computations and other data in
the CITY's possession relative to existing facilities and to the Project.
E. Site and Local Conditions
ENGINEER has the right to examine the site in order to become acquainted with
local conditions and accepts conditions at the site unless otherwise noted in writing to
the CITY. Any coordination or scheduling of work by CITY shall not relieve ENGINEER
from its responsibilities specified hereunder. Necessary arrangement for access to any
site by ENGINEER's employees will be made with CITY.
F. Assignment and Subcontractors/Third Party Rights
The rights and obligations covered herein are personal to each party hereto and
not to any third party and for this reason neither this Agreement nor any contract
hereunder shall be assigned by either party in whole or in part; nor shall ENGINEER
subcontract any of its obligations under this Agreement without the prior written consent
of CITY.
G. Independent Contractor
ENGINEER covenants and agrees that it will perform the work hereunder as an
independent contractor, and not as an officer, agent, servant, or employee of CITY; that
ENGINEER shall have exclusive control of and exclusive right to control the details of
the work performed hereunder, and all persons performing same, and shall be solely
responsible for the acts and omissions of its officers, agents, employees, contractors,
subcontractors, and consultants; that the doctrine of respondent superior shall not apply
as between CITY and ENGINEER, its officers, agents, employees, contractors,
subcontractors, and consultants, and nothing herein shall be construed as creating a
partnership or joint enterprise between CITY and ENGINEER.
H. Disclosure
By signature of this contract, ENGINEER warrants to CITY that it has made full
disclosure in writing of any existing conflicts of interest or potential conflicts of interest,
including personal financial interests, direct or indirect, in property abutting the proposed
Project and business relations with abutting property owners. ENGINEER further
warrants that it will make disclosure in writing of any conflicts of interest that develop
subsequent to the signing of this contract and prior to final payment under the contract.
Finally, Engineer warrants that it has submitted to the City a completed Conflicts of
Interest Questionnaire as required by Chapter 176 of the Texas Local Government
Code.

I. Approval by CITY
Approval by CITY of this Agreement shall not constitute or be deemed to be a
release of the responsibility and liability of ENGINEER, its officers, agents, employees,
and subcontractors for the accuracy and competency of the Services performed under
this Agreement, including but not limited to surveys, designs, working drawings and
specifications and other engineering documents.
Such approval shall not be deemed to be a waiver or an assumption of such
responsibility and liability by CITY for any negligent act, error, or omission in the
performance of ENGINEER's professional services or in the conduct or preparation of
the subsurface investigations, surveys, designs, working drawings and specifications or
other engineering documents by ENGINEER, its officers, agents, employees and
subcontractors, it being the intent of the parties that approval by CITY signifies the
CITY's approval of only the general design concept of the Improvements to be
constructed.
J. Indemnification
ENGINEER SHALL AND DOES HEREBY AGREE TO INDEMNIFY AND HOLD
HARMLESS CITY, ITS OFFICERS, AGENTS, AND EMPLOYEES FROM ANY AND
ALL DAMAGES, LOSS OR LIABILITY OF ANY KIND WHATSOEVER, BY REASON
OF DEATH OR INJURY TO PROPERTY OR PERSON CAUSED BY ANY OMISSION
OR NEGLIGENT ACT OF ENGINEER, ITS OFFICERS, AGENTS, EMPLOYEES,
INVITEES, OR OTHER PERSONS FOR WHOM IT IS LEGALLY LIABLE, WITH
REGARD TO THE PERFORMANCE OF THIS CONTRACT, AND ENGINEER WILL, AT
ITS COST AND EXPENSE, DEFEND, PAY ON BEHALF OF, AND PROTECT CITY
AND ITS OFFICERS, AGENTS, AND EMPLOYEES AGAINST ANY AND ALL SUCH
CLAIMS AND DEMANDS. THE PROVISIONS OF THIS SECTION ARE SUBJECT TO
THE LIMITATIONS OF TEXAS LOCAL GOVERNMENT CODE SECTION 271.904 AND
SHALL BE CONSTRUED TO THAT EFFECT.
K. No Third Party Beneficiary
For purposes of this Agreement, including its intended operation and effect, the
parties specifically agree and contract that: (1) this Agreement only affects
matters/disputes between the parties to this Agreement, and is in no way intended by
the parties to benefit or otherwise affect any third person or entity (except the
indemnitees identified or described in Article I, Section J., above), notwithstanding the
fact that such third person or entities may be in a contractual relationship with CITY and
ENGINEER, or both; and (2) the terms of this Agreement are not intended to release,
either by contract or operation of law, any third person or entity from obligations they
owe to either CITY or ENGINEER.

L. Successors and Assigns
CITY and ENGINEER each bind themselves and their successors, executors,
administrators and assigns to the other party to this Agreement and to the successors,
executors, administrators and assigns of such other party with respect to all covenants
of this Agreement. Neither CITY nor ENGINEER shall assign or transfer its interest in
this Agreement without prior written consent of the other.
II. ARTICLE
CITY'S RESPONSIBILITIES
CITY will:
1. Provide full information as to CITY's requirements for the Project;
2. Assist ENGINEER by placing at ENGINEER's disposal all information in
CITY's control or knowledge which is pertinent to the Project, including
executed right-of-way easements and final field survey data;
3. Examine all work presented by ENGINEER and respond within
reasonable time and in writing to the material submitted by ENGINEER;
4. Pay all costs incident to advertising for obtaining bids or proposals from
Contractors;
5. Give prompt written notice to ENGINEER whenever CITY observes or
otherwise becomes aware of any defect in ENGINEER's work or in
Contractor's work;
6. Designate in writing a person to act as its representative with respect to
this Agreement, such person having complete authority to transmit
instructions, receive information, and make or interpret the CITY's
decisions;
7. Provide all information and criteria as to the CITY's requirements,
objectives, and expectations for the Project including all numerical criteria
that are to be met and all standards of development, design, or
construction.
8. Provide to the ENGINEER all previous studies, plans, or other documents
pertaining to the Project and all new data reasonably necessary in the
ENGINEER's opinion, such as site survey and engineering data,
environmental impact assessments or statements, zoning or other land
use regulations, etc., upon all of which the ENGINEER may rely; and
9. Arrange for access to the site and other private or public property as
required for the ENGINEER to provide its services.

10. Provide any other information or assistance as outlined in Attachment B
hereto.
III. ARTICLE
COMPENSATION FOR ENGINEERING SERVICES
The CITY shall compensate ENGINEER for services rendered under this
Agreement, in accordance with the following:
For the completion of the work contemplated in Article I, the ENGINEER shall be
paid on a lump sum basis in the amount of $64,440 for Basic Services and on an hourly
basis plus expenses in an amount not to exceed $40,760 (as outlined in the attached
proposal) with a total not to exceed cost ceiling of $105,200 as billed monthly by
ENGINEER.
IV. ARTICLE
TIMES OF BILLING AND PAYMENT
The ENGINEER shall bill CITY monthly for any services and expenses incurred
in accordance with the work performed subject to the limits set out in Article III.
Payment shall be due within thirty (30) days of receipt by CITY of a properly prepared
and correct invoice from ENGINEER. ENGINEER's invoices shall be accompanied by
such records or other written proof as CITY deems necessary to verify the billings.
Invoices shall be made to City Finance Department's office at 1400 Main Street,
Suite 440, Southlake, Texas 76092.
If CITY fails to make payment due ENGINEER within thirty (30) days of the day
when payment for services and expenses is due under the terms of this Agreement,
ENGINEER shall be entitled to interest on such unpaid sums at the rate provided in
Chapter 2251 of the Texas Government Code.
V. ARTICLE
ADDITIONAL ENGINEERING SERVICES
In addition to performing the engineering services set out in Article I, hereof,
ENGINEER agrees to perform additional services as requested by CITY from time to
time and CITY agrees to compensate ENGINEER for such services in accordance with
ENGINEER's standard hourly fee and expenses (see Attachment B) for actual time
expended and actual out-of-pocket sums expended, such services to be one or more of
the following:

1. Make or prepare detailed description of sites, maps, or drawings related
thereto and outside the scope of the Project;
2. Appearances before courts or boards on matters of litigation or hearings
related to the Project;
3. Preparation of environmental impact assessments or statements for any
governmental agency;
4. Miscellaneous engineering work for CITY not related to the Project;
5. To provide resident project construction inspection, unless such inspection
is not required, in writing, by the CITY;
6. Other services agreed to by the parties in writing and incorporated herein.
VI. ARTICLE
STANDARD OF CARE
In performing its professional services, the ENGINEER will use that degree of
care and skill ordinarily exercised, under similar circumstances, by reputable members
of its profession in the same locality at the time the services are provided and in
accordance with any applicable governmental laws, regulations and ordinances.
VII. ARTICLE
PERIOD OF SERVICE
This Agreement shall be effective upon execution by CITY and ENGINEER, and
shall remain in force until work is completed on the Project or until terminated under the
provisions hereinafter provided in Article VIII.
VIII. ARTICLE
TERMINATION
The CITY may terminate this Agreement at any time for convenience, with or
without cause by giving written notice to the ENGINEER. Such termination may be
made effective on such future date as agreed by the parties, but absent such
agreement shall be immediate. Upon receipt of such notice the ENGINEER shall
immediately discontinue all services and work and the placing of all orders or the
entering into contracts for supplies, assistance, facilities, and materials in connection
with the performance of this Agreement and shall proceed to cancel promptly all existing
contracts insofar as they are chargeable to this Agreement.
The ENGINEER, upon termination, shall be paid for all services rendered

through the date of termination together with any additional reimbursable expense then
due.
IX. ARTICLE
OWNERSHIP OF DOCUMENTS
1. All completed or partially completed reports prepared under this
Agreement, including the original drawings in both paper and electronic
formats, shall become the property of CITY if this Agreement is
terminated. Upon completion and payment of the contract, the final
design, drawings, specifications and documents in both paper and
electronic formats shall be owned by CITY.
2. Reuse, change or alteration by CITY or others acting by or on behalf of
CITY of such documents without the permission of ENGINEER shall be at
CITY's sole risk.
X. ARTICLE
INSURANCE
ENGINEER shall carry and maintain at all times relevant hereto, at ENGINEER's
expense, insurance of the type and of minimum coverage limits as follows:
1. Workers Compensation - Statutory Employer's Liability - Limits as required
by the State of Texas.
2. Comprehensive General Liability, Bodily Injury and Property Damage
including contractual liability in a combined single limit - $500,000 per
occurrence.
3. Comprehensive Automotive Liability, Bodily Injury and Property Damage
in a combined single limit - $1,000,000 per accident.
Certificates of insurance for the above coverage in a form acceptable to CITY,
evidencing the coverage required above, shall be provided to CITY within ten (10)
business days after execution of this Agreement and prior to issuing Notice to Proceed.
Such certificates shall provide that the insurer will give CITY not less than ten (10) days
notice of any material changes in or cancellation of coverage. In the event any
subcontractor of ENGINEER, with or without CITY's consent, provides or renders
services under this Agreement, ENGINEER shall ensure that the subcontractor's
services are covered by the same insurance limits as set forth above.
ENGINEER shall not commence work under this Agreement until it has obtained
Professional Liability (Errors and Omissions) Insurance as required hereunder and such
insurance coverage has been approved by CITY. Such insurance shall be in the

minimum amount of $1,000,000 and shall include coverage of Contractually Assumed
Liability. The insurance coverage prescribed herein shall be maintained until one (1)
year after CITY's acceptance of the construction project and shall not be canceled
without prior written notice to CITY. In this connection, upon the signing and return of
this Agreement by ENGINEER, a Certificate of Insurance shall be furnished to CITY as
evidence that the insurance coverage required herein has been obtained by
ENGINEER, and such certificate shall contain the provision that such insurance shall
not be cancelled or modified without thirty (30) days prior written notice to CITY.
ENGINEER shall notify CITY within ten (10) days of any modification or alteration in
such Professional Liability (Errors and Omissions) Insurance.
XI. ARTICLE
AUTHORIZATION, PROGRESS AND COMPLETION
CITY and ENGINEER agree that the Project is planned to be completed by May
31, 2023. ENGINEER shall employ manpower and other resources and use
professional skill and diligence to meet the schedule; however, ENGINEER shall not be
responsible for schedule delays resulting from conditions beyond its control. By mutual
agreement, CITY and ENGINEER may modify the Project schedule during the course of
the Project and if such modifications affect ENGINEER's compensation, it shall be
modified accordingly, subject to CITY's approval.
It is understood that this Agreement contemplates full and complete engineering
services for this Project, including any and all Services necessary to complete the work.
For additional Engineering Services, the authorization by CITY shall be in writing and
shall include the definition of the services to be provided, the schedule for commencing
and completing the services, and the basis for compensation as agreed upon by CITY
and ENGINEER.
XII. ARTICLE
NOTICE
Any notice required under this Agreement will be in writing and given either
personally, by registered or certified mail, return receipt requested, or by a nationally
recognized overnight courier service, addressed to the parties as follows:

XIII. ARTICLE
SEVERABILITY
In the event that any provision of this Agreement shall be found to be void or
unenforceable, such finding shall not be construed to render any other provisions of this
Agreement either void or unenforceable. All provisions, which are void or
unenforceable, shall not substantially affect the rights or obligations granted to or
undertaken by either party.
XIV. ARTICLE
VENUE -LAW
Venue of any suit or cause of action under this Agreement shall lie exclusively in
Tarrant County, Texas. This Agreement shall be construed in accordance with the laws
of the State of Texas.

The scope set forth herein defines the work to be performed by the ENGINEER in completing the
project. Both the CITY and ENGINEER have attempted to clearly define the work to be performed and
address the needs of the Project.

The objective of the project completed under the Task Order agreement is to provide Engineering Services
for Design of Erosion Control protection of existing wastewater manhole that is being exposed due to overland
sheet flow and stream erosion located at 1360 Woodbrook Lane along Higgins Branch.

TASK 1. DESIGN MANAGEMENT.
ENGINEER will manage the work outlined in this scope to ensure efficient and effective use of ENGINEER's
and CITY's time and resources. ENGINEER will manage change, communicate effectively, coordinate
internally and externally as needed, and proactively address issues with the CITY's Project Manager and
others as necessary to make progress on the work.

• Conduct and document monthly design team meetings
• Prepare invoices, in accordance with Attachment B to this Standard Agreement and submit
monthly in the format requested by the CITY.
• Prepare and submit monthly progress reports in the format provided by the respective CITY
Department.
• Prepare and submit baseline Project Schedule initially, and Project Schedule updates with a
schedule narrative monthly.
• Coordinate with other agencies and entities as necessary for the design of the proposed
infrastructure, and provide and obtain information needed to prepare the design
• With respect to coordination with permitting authorities, ENGINEER shall communicate with
permitting authorities such that their regulatory requirements are appropriately reflected in the
designs. ENGINEER shall work with regulatory authorities to obtain approval of the designs as
necessary, and make changes necessary to meet their requirements, as part of the design
scope.
• Personnel and Vehicle Identification: When conducting site visits to the project location, the
ENGINEER or any of its sub -consultants shall carry readily visible information identifying the
name of the company and the company representative.

TASK 2. Environmental Support.
ENGINEER will provide permitting support for the CITY to obtain agreements and/or permits normally
required for a project of this size and type, as follows:
2.1. Storm Water Pollution Prevention Plan (SW3P)

• For projects that disturb an area greater than one (1) acre, the Contractor will be responsible for
preparing and submitting the Storm Water Pollution Prevention Plan (SWPPP) with appropriate
regulatory agencies. The Engineer will prepare the iSWM Construction Plan according to the
current CITY iSWM Criteria Manual for Site Development and Construction which will be
incorporated into the SWPPP by the contractor.
2.2 US Army Corps of Engineers Section 404 Clean Water Act Permitting
• The proposed wastewater manhole cover protection project area includes waters of the U.S.
(WOTUS). It appears that potential discharges of fill material into WOTUS could be necessary as
a result of this project. The U.S. Army Corps of Engineers (USACE) regulates discharges to
WOTUS in accordance with Section 404 of the Clean Water Act.
In support of this process, ENGINEER proposes to conduct a delineation of WOTUS, prepare a
Waters of the U.S. Delineation Report suitable for submission to the USACE, and an Impacts
Analysis. If needed, based on the findings during the delineation and impact analysis, Engineer
will prepare a Nationwide Permit (NWP) Preconstruction Notification (PCN) with a mitigation plan
as additional services
2.3 Threatened and Endangered Species Assessment
• ENGINEER will review Federal and State Threatened and Endangered Species lists and assess
habitat in and adjacent to the project area for the potential for use by listed species. A letter report
documenting our findings will be provided.
2.4 Cultural Resources Review
• Cultural resources within the project corridor will be assessed using the Texas Historical
Commission's (THC) electronic Texas Review and Compliance (eTRAC) system. The THC's
response and comments will be provided to the CITY.
ASSUMPTIONS
A. The ENGINEER assumes project will be below USACE NWP preconstruction notification
thresholds.

TASK 3. Erosion Control Design
ENGINEER will develop the design of the infrastructure as follows.
3.1. Data Collection
• In addition to data obtained from the CITY, ENGINEER will research and make efforts to obtain
pertinent information to aid in coordination of the proposed improvements with any planned future
improvements that may influence the project. ENGINEER will also identify and seek to obtain data
for existing conditions that may impact the project including utilities, City Master Plans, and
property ownership as available from the Tax Assessor's office.
3.2. The Erosion Design Package shall include the following:
• General Notes and Specifications
• Proposed Quantity Sheet
• Erosion Control Design Plan view sheets with existing utilities, proposed erosion control pay
items, horizontal control alignment, and topographic survey data.
• Channel Cross Sections along the horizontal control alignment with proposed erosion
control pay items.
• Manhole Erosion Control Standard sheets which could be adopted or amended by the CITY.
• Documentation of key design decisions.
• Estimates of probable construction cost.
ASSUMPTIONS
A. The Engineer submittals shall include a 90% and 100% plan submittal
B. Two (2) sets of 11 "x17" size plans will be delivered for the 90% and 100% design.
C. Mylars submittal will not be part of the ENGINEER'S deliverable.
D. Engineering base files created from design CAD drawings will be delivered to the CITY.
DELIVERABLES
A. Design package as identified above.
TASK 4. Professional Survey and Right -of Way Services
4.1. Design Survey
• SUVERYOR will perform field surveys to collect horizontal and vertical elevations and other
information needed by ENGINEER in design and preparation of plans for the project. Project limits
are generally described as the rear of Lots 21-23, Block 4, Cross Timber Hills Phase II and rear of
Lots 52, 53, 56 and 57, Block 4, Cross Timbers Hills Addition. All Horizontal and Vertical data shall
be referenced to the AIITerra VRS Network, unless otherwise directed. Data shall be provided in
surface values utilizing the TxDOT Grid to Surface Adjustment factor for Tarrant County. Topo
limits will include all creek features (centerline, toe of slope, top of bank) and a minimum of 25-foot
past respective top of bank. Information gathered during the survey shall include topographic data,

elevations of all sanitary and adjacent storm sewers, rim/invert elevations, location of buried
utilities identified by the CITY and/or Texas811 services, structures, concrete flume along east
side of Lot 22, trees larger than 6 inches (measure caliper), and other features relevant to the final
plan sheets. Services shall also include efforts to recover sufficient existing monumentation and
evidence to allow reconstruction all properties within project area by a Registered Professional
Land Surveyor.
• The survey information to be provided on the plans shall include the following:
A Project Control Sheet, showing Project Control Points established,
• The following information included for each Control Point;
a. X, Y and Z Coordinates,
b. Descriptive Location and type of control point set (Ex. Set in the centerline of the inlet in
the South curb line of North Side Drive at the East end of radius at the Southeast corner of
North Side Drive and North Main Street).
• Benchmarks established outside limits of proposed improvements labeling of all physical
features recovered
• Labeling of all identified utilities
• Lot number, address, owner of all properties within project area
• Provide all data in MicroStation V8i 3d format. Files may be exported to DWG upon request
4.2. Temporary Right of Entry Preparation and Submittal
• Prior to entering property, the ENGINEER shall prepare, mail and/or obtain verbal (with signed
acknowledgement) Temporary Right of Entry from landowners.
• The documentation shall be provided
4.3. Construction Survey
• Be available to the CITY on matters concerning the layout of the project during its
construction
4.4. Temporary Construction Easement
• The ENGINEER shall obtain a temporary construction easement to perform erosion
protection improvements on the affected property owners.
TASK 5. Consultants Coordination / Consolidation plan bid package
5.1. Consolidation of Design Packages
The ENGINEER shall consolidate erosion protection design packages into one PS&E package.
Consolidation of the individual design packages shall include the following.
• Coordination with the CITY.
• CITY title sheet with Index of Sheets for design package.

• General Notes and Specifications
• Summary of Quantities Sheets
• Individual design sheets along with standards sheets to be numbered as a consolidated PS&E
package.
DELIVERABLES
A. Consolidated PS&E package
TASK 6. PROJECT MANUAL.
• Under the guidance of the CITY Project Manager, the ENGINEER shall update the CITY's project
manual to include project specific contract documents, general notes and specifications for the
project.
• The documents will be assembled and complied into one pdf file for the procurement of the project
as the Project Manual.
TASK 7. BID PHASE SERVICES.
ENGINEER will support the bid phase of the project as follows.
7.1 Bid Phase Support
• The ENGINEER shall provide all plans and contract documents to the CITY'S
Procurement/Purchasing Department for uploading to the CITY's procurement portal for viewing
by potential bidders.
• The ENGINEER shall provide Unit Price proposal documents in the format specified by the CITY.
• Plans and Specifications shall be provided to the CITY in Portable Document Format (PDF). The
PDF will consist of one file of the consolidated plan set and one file for the contract documents.
• The ENGINEER shall make available plans and contract documents to potential bidders for
purchase at the ENGINEER'S local office.
• The ENGINEER shall maintain a list of potential bidders that have purchased plans and contract
documents from the ENGINEER.
• The ENGINEER will provide technical interpretation of the contract bid documents and will prepare
proposed responses to all bidder's questions and requests, in the form of addenda.
• Attend the Pre -Bid conference in support of the CITY.
• Assist the CITY in determining the qualifications and acceptability of prospective contractors,
subcontractors, and suppliers.
• When substitution prior to award of contracts is allowed in the contract documents, the
ENGINEER will advise the CITY as to the acceptability of alternate materials and equipment
proposed by bidders.
• Attend the Bid Opening in support of the CITY.
• Tabulate and review all bids received for the construction project, assist the CITY in evaluating
bids, and recommend award of the contract. A copy of the completed Bid Tabulation sheets shall
be provided to the CITY.

• Incorporate all addenda into the contract documents and issue conformed plan sets.
7.2 Final Design Files
• Final Conformed design drawings/sheets shall be submitted in PDF format.
• The final conformed PDF shall be one combined PDF file.
• The submittal shall include one original print of the final plans at 11 "x17" (half size) scale on 20-lb
bond paper.
• One flash drive will be provided to the CITY containing the digital copies of the final drawings in
PDF format and CADD files in MicroStation and/or AutoCAD format.
ASSUMPTIONS
A. The project will be bid only once and awarded to one contractor.
B. A maximum of five (5) sets of 11"x17" (half size) plans and construction documents will be made
available to the CITY and potential bidders for the bidding phase.

TASK 8. PUBLIC MEETINGS.
• If requested, the ENGINEER shall attend in -person meetings to review the project with CITY
personnel, Community Representatives, Homeowner's Associations or affected residents.
• The ENGINEER shall provide project exhibits and attend residential coordination meeting to help
explain the proposed project to residents. The CITY shall select a suitable location and mail the
invitation letters to the affected residents.
ASSUMPTIONS
A. One in -person meeting Community Representatives, Homeowner's Associations or affected
residents.

TASK 9. CONSTRUCTION PHASE SERVICES.
ENGINEER will support the construction phase of the project as follows.
9.1 Construction Phase Support

• Review, check and approve shop drawings, product data, samples, and other submittals, including
re -submittals. Turnaround goal shall not exceed an average of fourteen (14) calendar days.
• Provide answers to Requests for Information (RFI) from general contractor and CITY's staff as
related to possible conflicts and clarifications needed between plans and specifications.
Turnaround goal for these should not exceed a maximum of seven (7) calendar days with three (3)
days average.
• Provide revised specifications and/or plan drawings, sketches, and description when design
revisions are required.
• Provide sealed and signed revisions to the construction plan drawings when requested by the
Project Manager.
• Review and provide recommendations on contractor's requests for changed construction
methods.
• Provide consultation and recommendation to CITY on:
• Matters relating to design modifications during construction.
• Matters relating to repair of defective or non -conforming work.
ASSUMPTIONS

TASK 10. RECORD DRAWINGS.

specifications to the CITY Project Manager.
• ENGINEER shall furnish PDF files of the as -built final drawings and specifications on a flash drive
or through a File Transfer Protocol (FTP) website for downloading.
