Action Requested: Approve a contract renewal for utility parts to Atlas Utility Supply Co. in an amount not to exceed $500,000. Background Information: On March 15, 2019, sealed proposals were received from three vendors for utility parts and supplies. On April 16, 2019, City Council awarded this contract to Atlas Utility Supply Co. with four one-year renewal options; this is the third of four renewal options. This contract provides over 300 unique utility parts and supplies such as, various types and sizes of water pipe, sewer pipe, valves, clamps, couplings, tapping sleeves and fire hydrants. These items are necessary to operate and maintain the City's water distribution and wastewater collection systems. Financial Considerations: As part of their contract, Atlas Utility Supply Co. is allowed to request a price escalation percentage on renewals. For the third renewal, Atlas Utility Supply Co. has a maximum allowable escalation percentage of 8%. Due to supply chain issues and cost of materials increasing at times, sometimes on a daily basis, Atlas Utility Supply Co. agreed to renew its contract however at a higher than initially requested escalation percentage. Atlas Utility Supply Co. is requesting a 27% overall price increase of their items. Under the proposed escalation percentage of their items, the total is $73,335 as opposed to its current percentage at $57,744. Historically, during Atlas Utility Supply Co. first renewal they requested a 4% overall price increase, and during their second renewal requested a 5% overall price increase. The contract period is for April 2022 through April 2023. The delay to agree in renewing its contract was also due to the unprecedented increase in all water utility parts. Staff is recommending allowing this request as a result Page 1 of 2 Item 4C to external conditions and not being feasible to bid out these items as pricing cannot be held for extended periods of time in some cases and/or not receiving responses from vendors to a bid request. Funding for utility parts and supplies is available in the Utility Fund via the Water and Wastewater Operating Budgets. In FY 2021, the City spent $92,905 on utility parts and supplies with Atlas Utility Supply Co. With these increases, staff will be strategic in ordering what utility parts are necessary to maintain the City's water and wastewater infrastructure in FY 2022. Expenditures will not exceed available funds. Strategic Link: This item links to the City's Strategy Map strategic focus areas of Infrastructure. In addition, in the Brass Fittings section, the vendor (Smith -Cooper International) who quoted the malleable brass on the original contract has been bought out twice since the original contract, and Atlas Utility Supply is no longer purchasing malleable brass from the new company. In last year's extension our new vendors current market pricing fell in line with 2021-22 renewal and we were able to price those items with the minimal increase Atlas had to pass on in this section, but with the volatility in today's market, those line items in this category are marked CMV for current market value until the contract expires. In the Ductile Iron Gate Valve and M&H Hydrant sections per contract it states valves and hydrants are to include accessories. The manufacture we purchase the accessories from, Tyler Union, in the last year has used Force Majeure on existing order raising pricing on existing orders or offering us the option to cancel orders, and is no longer honoring annual contracts. Therefor. Atlas Utility Supply has no choice but to Price the valves and hydrants less accessories on the 2022-2023 renewal and offer accessories at current market value. The City will evaluate all proposals to determine which proposers are reasonably qualified for the award of the contract, applying the anticipated evaluation Factors and emphasis to be placed on each factor as identified in the Scope of Services. The City may. at its option. conduct discussions with or accept proposal revisions from any reasonably qualified proposer. The City- reserves the right to determine which proposal will he most advantageous to the City. B. Completeness: If the Proposal is incomplete or otherwise fails to conform to the requirements orthe RFP, City alone will determine whether the variance is so significant as to render the Proposal non- responsive, or whether the variance may be cured by the Proposer or waived by the City, such that the Proposal may be considered for award. In such case. the successful proposer shall only be entitled to receive payment for goods and services provided before the effective date of termination. The successful proposer shall not receive any payment on account or loss of anticipated profits or revenue or other economic loss resulting from such termination. vi) When the contract has been so terminated by the City of Southlake. such termination shall not affect any rights or remedies of the City then existing or which may thereafter accrue.
