and Strathmore Drive in an amount not to exceed $145,000.
Background
Information: The purpose of this project is to reconstruct a segment of the S-5
sanitary sewer main between Eagle Bend Drive and Strathmore
Drive to meet minimum pipe slope requirements and eliminate
ongoing maintenance issues within the service area. Minimum pipe
slopes are required by the Texas Commission on Environmental
Quality to provide enough flow to allow for a gravity sewer system to
be self-cleaning. This segment does not meet minimum slope and is
subject to blockage which could in turn lead to sanitary sewer
overflows if not frequently flushed out by City personnel. This
segment requires routine maintenance due to the insufficient pipe
slope. The depth and accessibility to the maintenance area also
hinders cleaning operations by creating safety issues and increased
maintenance costs.
The sanitary sewer line that connects Strathmore Drive to Eagle
Bend Drive requires reconstruction to provide positive slope which
will allow natural drainage of the service area. In order to reconstruct
this segment with positive slope, approximately 1,600 linear feet will
be surveyed to determine additional segments were installed with
insufficient pipe slope. Deficient segments will be replaced with 8-
inch or 10-inch diameter sanitary sewer main and manholes on
adequate slope to remedy the ongoing maintenance issues and
determine if an alternate alignment will improve service and
accessibility.

The proposed ESA will provide turn -key design services including
surveying, environmental, preliminary and final design, right-of-way
appraisal services, bidding and construction phase services for the
entire project. The agreement also includes additional contingency
of $22,085 for unforeseen changes to the project scope that would
be deemed necessary. Special services identified within this
agreement will require additional written authorization by the City.
Financial
Considerations: Funding for this agreement is budgeted as part of the approved
Capital Improvement Program. This agreement is within the project
budget.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT is made this day of , 2022 by and
between the City of Southlake, Texas (hereinafter referred to as "CITY"), and Peloton
Land Solutions, Inc. (hereinafter referred to as "ENGINEER").
WHEREAS, CITY contemplates the need to make sanitary sewer improvements
in the Timarron Residential Development between Eagle Bend Drive and Strathmore
Drive. This project is to be known as the Eagle Bend Strathmore Sanitary Sewer
Reconstruction project and hereinafter referred to as the "Project".
WHEREAS, ENGINEER is qualified, able, and desirous of performing the
necessary engineering work upon which the Project is based and is willing and able to
work with CITY staff to organize and coordinate the professional services necessary to
complete the Project.
NOW, THEREFORE, CITY engages ENGINEER to perform, and ENGINEER
agrees to perform, the engineering work for the Project, as more fully described herein
below, and CITY agrees to pay as compensation, and ENGINEER agrees to accept as
compensation, the payments on the dates and in the amounts herein specified, all in
accordance with the terms more fully set out below and as provided in Attachment A
which is attached hereto and incorporated by reference as if fully set forth herein.
I. ARTICLE
ENGINEERING SERVICES
A. Scope of Work
ENGINEER will provide the supervision, direction, personnel and equipment to
perform the engineering Services outlined in Attachment A in accordance with the terms
set forth in this Agreement and in Attachment A.
B. Definitions
Services refer to the professional services performed by ENGINEER pursuant to
this Agreement.
C. Changes
CITY, without invalidating the Agreement, may order changes within the general
scope of the work required by the Agreement by altering, adding to and/or deducting
from the work to be performed. If any change causes an increase or decrease in
ENGINEER's cost of, or the time required for, the performance of any part of the
Services under the Agreement, an equitable adjustment will be made by mutual
agreement and this Agreement shall be modified in writing accordingly.

D. Coordination with Owner
The CITY shall make available to ENGINEER for use in performing Services
hereunder all existing plans, maps, field notes, statistics computations and other data in
the CITY's possession relative to existing facilities and to the Project.
E. Site and Local Conditions
ENGINEER has the right to examine the site in order to become acquainted with
local conditions and accepts conditions at the site unless otherwise noted in writing to
the CITY. Any coordination or scheduling of work by CITY shall not relieve ENGINEER
from its responsibilities specified hereunder. Necessary arrangement for access to any
site by ENGINEER's employees will be made with CITY.
F. Assignment and Subcontractors/Third Party Rights
The rights and obligations covered herein are personal to each party hereto and
not to any third party and for this reason neither this Agreement nor any contract
hereunder shall be assigned by either party in whole or in part; nor shall ENGINEER
subcontract any of its obligations under this Agreement without the prior written consent
of CITY.
G. Independent Contractor
ENGINEER covenants and agrees that it will perform the work hereunder as an
independent contractor, and not as an officer, agent, servant, or employee of CITY; that
ENGINEER shall have exclusive control of and exclusive right to control the details of
the work performed hereunder, and all persons performing same, and shall be solely
responsible for the acts and omissions of its officers, agents, employees, contractors,
subcontractors, and consultants; that the doctrine of respondent superior shall not apply
as between CITY and ENGINEER, its officers, agents, employees, contractors,
subcontractors, and consultants, and nothing herein shall be construed as creating a
partnership or joint enterprise between CITY and ENGINEER.
H. Disclosure
By signature of this contract, ENGINEER warrants to CITY that it has made full
disclosure in writing of any existing conflicts of interest or potential conflicts of interest,
including personal financial interests, direct or indirect, in property abutting the proposed
Project and business relations with abutting property owners. ENGINEER further
warrants that it will make disclosure in writing of any conflicts of interest that develop
subsequent to the signing of this contract and prior to final payment under the contract.
Finally, Engineer warrants that it has submitted to the City a completed Conflicts of
Interest Questionnaire as required by Chapter 176 of the Texas Local Government
Code.

I. Approval by CITY
Approval by CITY of this Agreement shall not constitute or be deemed to be a
release of the responsibility and liability of ENGINEER, its officers, agents, employees,
and subcontractors for the accuracy and competency of the Services performed under
this Agreement, including but not limited to surveys, designs, working drawings and
specifications and other engineering documents.
Such approval shall not be deemed to be a waiver or an assumption of such
responsibility and liability by CITY for any negligent act, error, or omission in the
performance of ENGINEER's professional services or in the conduct or preparation of
the subsurface investigations, surveys, designs, working drawings and specifications or
other engineering documents by ENGINEER, its officers, agents, employees and
subcontractors, it being the intent of the parties that approval by CITY signifies the
CITY's approval of only the general design concept of the Improvements to be
constructed.
J. Indemnification
ENGINEER SHALL AND DOES HEREBY AGREE TO INDEMNIFY AND HOLD
HARMLESS CITY, ITS OFFICERS, AGENTS, AND EMPLOYEES FROM ANY AND
ALL DAMAGES, LOSS OR LIABILITY OF ANY KIND WHATSOEVER, BY REASON
OF DEATH OR INJURY TO PROPERTY OR PERSON CAUSED BY ANY OMISSION
OR NEGLIGENT ACT OF ENGINEER, ITS OFFICERS, AGENTS, EMPLOYEES,
INVITEES, OR OTHER PERSONS FOR WHOM IT IS LEGALLY LIABLE, WITH
REGARD TO THE PERFORMANCE OF THIS CONTRACT, AND ENGINEER WILL, AT
ITS COST AND EXPENSE, DEFEND, PAY ON BEHALF OF, AND PROTECT CITY
AND ITS OFFICERS, AGENTS, AND EMPLOYEES AGAINST ANY AND ALL SUCH
CLAIMS AND DEMANDS. THE PROVISIONS OF THIS SECTION ARE SUBJECT TO
THE LIMITATIONS OF TEXAS LOCAL GOVERNMENT CODE SECTION 271.904 AND
SHALL BE CONSTRUED TO THAT EFFECT.
K. No Third Party Beneficiary
For purposes of this Agreement, including its intended operation and effect, the
parties specifically agree and contract that: (1) this Agreement only affects
matters/disputes between the parties to this Agreement, and is in no way intended by
the parties to benefit or otherwise affect any third person or entity (except the
indemnitees identified or described in Article I, Section J., above), notwithstanding the
fact that such third person or entities may be in a contractual relationship with CITY and
ENGINEER, or both; and (2) the terms of this Agreement are not intended to release,
either by contract or operation of law, any third person or entity from obligations they
owe to either CITY or ENGINEER.
L. Successors and Assigns
CITY and ENGINEER each bind themselves and their successors, executors,

administrators and assigns to the other party to this Agreement and to the successors,
executors, administrators and assigns of such other party with respect to all covenants
of this Agreement. Neither CITY nor ENGINEER shall assign or transfer its interest in
this Agreement without prior written consent of the other.
II. ARTICLE
CITY'S RESPONSIBILITIES
CITY will:
1. Provide full information as to CITY's requirements for the Project;
2. Assist ENGINEER by placing at ENGINEER's disposal all information in
CITY's control or knowledge which is pertinent to the Project, including
executed right-of-way easements and final field survey data;
3. Examine all work presented by ENGINEER and respond within
reasonable time and in writing to the material submitted by ENGINEER;
4. Pay all costs incident to advertising for obtaining bids or proposals from
Contractors;
5. Give prompt written notice to ENGINEER whenever CITY observes or
otherwise becomes aware of any defect in ENGINEER's work or in
Contractor's work;
6. Designate in writing a person to act as its representative with respect to
this Agreement, such person having complete authority to transmit
instructions, receive information, and make or interpret the CITY's
decisions;
7. Provide all information and criteria as to the CITY's requirements,
objectives, and expectations for the Project including all numerical criteria
that are to be met and all standards of development, design, or
construction.
8. Provide to the ENGINEER all previous studies, plans, or other documents
pertaining to the Project and all new data reasonably necessary in the
ENGINEER's opinion, such as site survey and engineering data,
environmental impact assessments or statements, zoning or other land
use regulations, etc., upon all of which the ENGINEER may rely; and
9. Arrange for access to the site and other private or public property as
required for the ENGINEER to provide its services.
10. Provide any other information or assistance as outlined in Attachment B
through Attachment F3 hereto.

III. ARTICLE
COMPENSATION FOR ENGINEERING SERVICES
The CITY shall compensate ENGINEER for services rendered under this
Agreement, in accordance with the following:
For the completion of the work contemplated in Article I, the ENGINEER shall be
paid on a lump sum basis in the amount of $122,915 for Basic Services and on an
hourly basis plus expenses in an amount not to exceed $0 (as outlined in the attached
proposal) with a total not to exceed cost ceiling of $122,915 as billed monthly by
ENGINEER.
IV. ARTICLE
TIMES OF BILLING AND PAYMENT
The ENGINEER shall bill CITY monthly for any services and expenses incurred
in accordance with the work performed subject to the limits set out in Article III.
Payment shall be due within thirty (30) days of receipt by CITY of a properly prepared
and correct invoice from ENGINEER. ENGINEER's invoices shall be accompanied by
such records or other written proof as CITY deems necessary to verify the billings.
Invoices shall be made to City Finance Department's office at 1400 Main Street,
Suite 440, Southlake, Texas 76092.
If CITY fails to make payment due ENGINEER within thirty (30) days of the day
when payment for services and expenses is due under the terms of this Agreement,
ENGINEER shall be entitled to interest on such unpaid sums at the rate provided in
Chapter 2251 of the Texas Government Code.
V. ARTICLE
ADDITIONAL ENGINEERING SERVICES
In addition to performing the engineering services set out in Article I, hereof,
ENGINEER agrees to perform additional services as requested by CITY from time to
time and CITY agrees to compensate ENGINEER for such services in accordance with
ENGINEER's standard hourly fee and expenses (see Appendix 1) for actual time
expended and actual out-of-pocket sums expended, such services to be one or more of
the following:
1. Make or prepare detailed description of sites, maps, or drawings related
thereto and outside the scope of the Project;

2. Appearances before courts or boards on matters of litigation or hearings
related to the Project;
3. Preparation of environmental impact assessments or statements for any
governmental agency;
4. Miscellaneous engineering work for CITY not related to the Project;
5. To provide resident project construction inspection, unless such inspection
is not required, in writing, by the CITY;
6. Other services agreed to by the parties in writing and incorporated herein.
VI. ARTICLE
STANDARD OF CARE
In performing its professional services, the ENGINEER will use that degree of
care and skill ordinarily exercised, under similar circumstances, by reputable members
of its profession in the same locality at the time the services are provided and in
accordance with any applicable governmental laws, regulations and ordinances.
VII. ARTICLE
PERIOD OF SERVICE
This Agreement shall be effective upon execution by CITY and ENGINEER, and
shall remain in force until work is completed on the Project or until terminated under the
provisions hereinafter provided in Article VIII.
VIII. ARTICLE
TERMINATION
The CITY may terminate this Agreement at any time for convenience, with or
without cause by giving written notice to the ENGINEER. Such termination may be
made effective on such future date as agreed by the parties, but absent such
agreement shall be immediate. Upon receipt of such notice the ENGINEER shall
immediately discontinue all services and work and the placing of all orders or the
entering into contracts for supplies, assistance, facilities, and materials in connection
with the performance of this Agreement and shall proceed to cancel promptly all existing
contracts insofar as they are chargeable to this Agreement.
The ENGINEER, upon termination, shall be paid for all services rendered
through the date of termination together with any additional reimbursable expense then
due.

IX. ARTICLE
OWNERSHIP OF DOCUMENTS
1. All completed or partially completed reports prepared under this
Agreement, including the original drawings in both paper and electronic
formats, shall become the property of CITY if this Agreement is
terminated. Upon completion and payment of the contract, the final
design, drawings, specifications and documents in both paper and
electronic formats shall be owned by CITY.
2. Reuse, change or alteration by CITY or others acting by or on behalf of
CITY of such documents without the permission of ENGINEER shall be at
CITY's sole risk.
X. ARTICLE
INSURANCE
ENGINEER shall carry and maintain at all times relevant hereto, at ENGINEER's
expense, insurance of the type and of minimum coverage limits as follows:
1. Workers Compensation - Statutory Employer's Liability - Limits as required
by the State of Texas.
2. Comprehensive General Liability, Bodily Injury and Property Damage
including contractual liability in a combined single limit - $500,000 per
occurrence.
3. Comprehensive Automotive Liability, Bodily Injury and Property Damage
in a combined single limit - $1,000,000 per accident.
Certificates of insurance for the above coverage in a form acceptable to CITY,
evidencing the coverage required above, shall be provided to CITY within ten (10)
business days after execution of this Agreement and prior to issuing Notice to Proceed.
Such certificates shall provide that the insurer will give CITY not less than ten (10) days
notice of any material changes in or cancellation of coverage. In the event any
subcontractor of ENGINEER, with or without CITY's consent, provides or renders
services under this Agreement, ENGINEER shall ensure that the subcontractor's
services are covered by the same insurance limits as set forth above.
ENGINEER shall not commence work under this Agreement until it has obtained
Professional Liability (Errors and Omissions) Insurance as required hereunder and such
insurance coverage has been approved by CITY. Such insurance shall be in the
minimum amount of $1,000,000 and shall include coverage of Contractually Assumed
Liability. The insurance coverage prescribed herein shall be maintained until one (1)
year after CITY's acceptance of the construction project and shall not be canceled

without prior written notice to CITY. In this connection, upon the signing and return of
this Agreement by ENGINEER, a Certificate of Insurance shall be furnished to CITY as
evidence that the insurance coverage required herein has been obtained by
ENGINEER, and such certificate shall contain the provision that such insurance shall
not be cancelled or modified without thirty (30) days prior written notice to CITY.
ENGINEER shall notify CITY within ten (10) days of any modification or alteration in
such Professional Liability (Errors and Omissions) Insurance.
XI. ARTICLE
AUTHORIZATION, PROGRESS AND COMPLETION
CITY and ENGINEER agree that the Project is planned to be completed by July
1, 2023. ENGINEER shall employ manpower and other resources, and use
professional skill and diligence to meet the schedule; however, ENGINEER shall not be
responsible for schedule delays resulting from conditions beyond its control. By mutual
agreement, CITY and ENGINEER may modify the Project schedule during the course of
the Project and if such modifications affect ENGINEER's compensation, it shall be
modified accordingly, subject to CITY's approval.
It is understood that this Agreement contemplates full and complete engineering
services for this Project, including any and all Services necessary to complete the work.
For additional Engineering Services, the authorization by CITY shall be in writing and
shall include the definition of the services to be provided, the schedule for commencing
and completing the services, and the basis for compensation as agreed upon by CITY
and ENGINEER.
XII. ARTICLE
NOTICE
Any notice required under this Agreement will be in writing and given either
personally, by registered or certified mail, return receipt requested, or by a nationally
recognized overnight courier service, addressed to the parties as follows:

XIII. ARTICLE
SEVERABILITY
In the event that any provision of this Agreement shall be found to be void or
unenforceable, such finding shall not be construed to render any other provisions of this
Agreement either void or unenforceable. All provisions, which are void or
unenforceable, shall not substantially affect the rights or obligations granted to or
undertaken by either party.
XIV. ARTICLE
VENUE -LAW
Venue of any suit or cause of action under this Agreement shall lie exclusively in
Tarrant County, Texas. This Agreement shall be construed in accordance with the laws
of the State of Texas.

Development and Timarron Golf Course. The city has performed an investigation and determined a segment of
10-inch sanitary sewer line is not functioning properly (backing up and hump in the pipe). Peloton will perform a
field survey to determine current sanitary sewer pipe grades, develop options, and construction plans for
reconstructing the sanitary sewer line. The City of Southlake provided Peloton with record drawings and GIS
information of the existing infrastructure in the project area. Peloton prepared two (2) conceptual plans and cost
estimates based on the information provided by the City. A summary of the two (2) conceptual options is below:
• Option 1-10-inch sanitary sewer by-pass
o Bypass the 130 LF of existing sanitary sewer that has been backing up.
o Most of the sewer line will need to be bored to minimize impact to surface vegetation and
minimize impact to Waters of the U.S.
• Option 2 — 8-inch and 10-inch sanitary sewer by-pass
o This option would replace the north -south 8" sewer (with existing 0.24% slope) by replacing
the sewer line from the next manhole north all the way downstream to Eagle Bend. This
would create a continuous 0.8% +/- slope for the new north -south 8" sewer line.
o The bypass from Option 1 would also be installed with this option.
o It is assumed the existing utility easements would remain in place.
o Most of the sewer line will need to be bored to minimize impact to surface vegetation and
minimize impact to Waters of the U.S.
The scope of services is based on the project limits required for Option 2 and defined in this proposal.
Assumptions
1. The Eagle Bend Strathmore Sanitary Sewer Reconstruction design and construction will be performed
concurrently with the City of Southlake's Jones Branch Bank Stabilization. This allows us to consolidate
effort for meetings.
2. Construction will be bid in a single phase.
3. No drainage modeling or Federal Emergency Management (FEMA) permitting will be required.
4. The City will assist Peloton in right -of -entry for private properties. Peloton will prepare the letter
content and the City will send right -of -entry letter to property owners on City letterhead.
5. The City will provide construction inspection.
6. Project design will be limited to the project limits (area of erosion concern) shown in Attachments 'D1' &
'D2'.
7. The construction material testing costs provided in the fee are an estimate and Peloton will bill the city
the actual costs for material testing.

1.0 Project Management
Work on this task order is expected to commence in April 2022. The estimated total project design schedule
is 8 months and includes the following: 4 months for preliminary design, 2 months for final design, and 2
months for bidding. We do not have enough information to estimate time for right-of-way acquisition or
franchise utility coordination, so these are not included in the schedule.
1.1 Project Meetings
Peloton will orchestrate and attend project meetings as directed by the City to ensure the design team
is coordinated and up-to-date. These meetings will include:
• Project kick-off meeting with the City
In -person meetings (2 estimated) with the City, at or after milestone submittals
• Conference calls (6 estimated) with City staff to the design, coordination, bidding, and other

3.0 Survey and Investigations
Peloton will perform a design survey, wetland determination, tree survey, and subsurface utility engineering
(SUE) investigation.
3.1 Topographic Survey
Peloton will perform detailed topographic field surveys in the project limits to carry out the design of this
project. The survey limits are based on Conceptual Option 2 (See Attachment C-2). The survey will consist
of topography and surface features along the project corridor as described in the introduction. It is
assumed that all survey will take place in public easements and/or right -of way. If necessary, this scope
assumes that the City will assist in gaining access to adjacent private properties.
Peloton will research record documents (easements and plats) and field locate available on -ground
property monumentation along the project corridor. This information will be used to develop a right-of-
way/easement control drawing to aid in construction plan development. This research and surveying
will include:
• Determination of locations and ownerships of existing public rights -of -way and easements
(research current public record to determine ownership of impacted lands and those easements
discovered during the research). If any takings or easements are determined during the design, a
title search will be performed by the right-of-way acquisition sub -consultant and the information
provided to Peloton for use.
• Confirmation of locations and existing monumentation and property line/corner identifiers (iron
rods, caps, corner witnesses, stakes, fencing, etc.) with field measurements
• Correlation of rights -of -way, easements, and property lines with project control and base
topographic drawings.
• Vertical datum will be tied to a minimum of two (2) City GPS monuments. Monument details will
be in the plan control sheet.
3.2 Easement Documents
Peloton will prepare three (3) easement survey documents based on found existing monumentation,
monumentation described in legal documents, and the proposed boundary. Easement documents shall
include a written metes & bounds and sketch.
3.3 Waters of the U.S. Investigation and Permitting Strategy
Investigate the project and regulations and determine the need for a USACE 404 permit for each option
and if needed, determine the ordinary high water mark elevation of navigable waters of the US along
Martin Branch and the anticipated proposed volume of fill below the ordinary high-water mark involved
for the three options recommended and need for mitigation. The scope of work includes the following:
3.3.1 Field Delineation
Peloton Land Solutions, Inc. (PLS) will conduct a field delineation of potential waters of
the U.S. within the subject property. The limits of any existing impacts to potential
waters of the U.S. within the subject property will also be documented. The field
delineation will be conducted in accordance with U.S. Army Corps of Engineers guidance
including the 1987 manual, the Great Plains Regional Supplement, and other pertinent
guidance. A Trimble GeoX GPS unit will be used to map all potential waters of the

U.S. For streams, the centerline will be mapped using the GPS where possible and the
ordinary high-water mark (OHWM) will be recorded regularly as nested points. For
wetlands, the wetland -upland boundary will be established, and that line mapped as a
continuous line using the GPS. Datasheets will be completed for potential wetlands and
adjacent uplands along with field notes documenting observations.
A map will be produced using GIS showing the potentially jurisdictional water
features. This map can be provided to the City in either GIS or CAD format for use in
their planning efforts.
3.3.2 404 Permit Options
Peloton will prepare a technical memo for the client's use of documenting the existing
condition of the water features located within the project area. Information gathered
during the site visit will be incorporated into the technical memo. The information
provided will include on -site observations, field -based indicators of hydrological
conditions, maps, and other applicable information such as Section 404 permitting
options. The technical memo would be provided to the client for the client's use.
3.4 Tree Survey and Inventory
A physical tree inventory of all trees 6" in caliper or larger within the proposed area of disturbance will
be conducted. A tag with a unique identification number will be affixed to each tree inventoried.
Additionally, species, trunk diameter, and conditions will be recorded using a Trimble GEO GPS. This data
will be processed and imported into CAD/GIS for planning and design purposes.
3.5 Subsurface Utility Engineering (SUE)
Peloton will engage a subconsultant to provide subservice utility engineering services. The detailed scope
of work for the subsurface utility engineering (SUE) services is included in the subconsultant's proposal
located in Attachment TV. Services will generally include:
• QL-B through QL-D subsurface investigation for project area
• Map and CAD file of found utilities provided in the attached proposal from the SUE sub -
consultant.
4.0 Schematic Design Phase (30% Design)
4.1 Schematic Design
Peloton will draw schematic plans for up to two (2) options. Schematic design will include:
• Plan and profile layout of each concept

8.2 Construction Material Testing

testing company. The construction material budget was set at $8,800 (includes Peloton's 10%
management fee). If construction material testing cost begin to exceed estimated direct cost in the
proposal, then Peloton will inform the City.
9.0 Right -of -Way Acquisition
Upon completion of the 30% design and Peloton anticipates appraisal and right-of-way acquisitions services
for two (2) parcels. The two properties that require easements from are Timarron Golf Club, Inc. and
Timarron Owners Association. See Attachment 'F2' for detailed scope of work and fees from the right-of-
way acquisition services (appraisals & acquisitions) sub -consultant.

Compensation
For all services included in Exhibit A: Scope of Work, Peloton shall be compensated a maximum amount as
summarized in the following table. Tasks 1.0 through 9.0 shall be billed as lump sum amounts. A 10% fee is
applied to the sub -consultant fee for management of the sub -consultant. Reimbursements expenses are
included in the lump sum fee. This maximum fee shall be considered full compensation for all labor, materials,
supplies, travel expenses, equipment, reimbursables and sub -consultant fees necessary to deliver the services

The Rios Group, Inc. (TRG) is pleased to submit a cost proposal for Subsurface Utility Engineering
(SUE) required for the above referenced project. This proposal is based on information contained in
your email dated February 2, 2022.
Introduction
TRG will perform the SUE work required for this project in general accordance with the
recommended practices and procedures described in ASCE Publication Cl/ASCE 38-02 (Standard
Guideline for the Collection and Depiction of Existing Subsurface Utility Data). As described in the
mentioned ASCE publication, four levels have been established to describe the quality of utility
location and attribute information used on plans. The four quality levels are as follows:
• Quality Level D (QL"D") — Information derived from existing utility records;
• Quality Level C (QL"C") - QL"D" information supplemented with information obtained by
surveying visible above -ground utility features such as valves, hydrants, meters, manhole
covers, etc.
• Quality Level B (QL"B") — Two-dimensional (x,y) information obtained through the
application and interpretation of non-destructive surface geophysical methods. Also known
as "designating" this quality level provides the horizontal position of subsurface utilities
within approximately one foot.
• Quality Level A (QL"A") — Three dimensional (x,y,z) utility information obtained utilizing
non-destructive vacuum excavation equipment to expose utilities at critical points which are
then tied down by surveying. Also known as "locating", this quality level provides precise
horizontal and vertical positioning of utilities within approximately 0.05 feet.
It is the responsibility of the SUE provider to perform due -diligence with regard to records research
(QL "D") and acquisition of available utility records. The due -diligence provided for this project
will consist of visually inspecting the work area for evidence of utilities and reviewing the available
utility record information. Utilities that are not identified through these efforts will be here forth
referred to as "unknown" utilities. TRG personnel will scan the defined work area using electronic
prospecting equipment to search for "unknown" utilities. However, TRG is not responsible for
designating and locating these "unknown" utilities.

Scope of Work
Based on information provided by Peloton Land Solutions (Peloton), TRG has developed a
preliminary scope for the SUE work required for this project. The scope of work may be modified,
with Peloton's concurrence, during the performance of the SUE fieldwork if warranted by actual
field findings.
The scope of this proposal includes Quality Level "A" and `B" SUE. Utilities to be designated
include gas, telecommunications, electric, traffic signals, storm, water and sanitary sewer.
Designating will be performed within the red limits indicated in the attached "Exhibit A".
As requested, two (2) QL "A" test holes will be included in the budget. Test hole locations will be
determined by Peloton and TRG once the QL `B" SUE deliverable has been reviewed. TRG will
have all designating marks and test holes surveyed using project control point data provided by
Peloton.
Any necessary Right -of -Entry (ROE) permits will be provided by Peloton prior to the start of TRG
field work.
Designating Procedures
Prior to beginning field designating activities, TRG's field manager will review the project scope of
work and available utility records. Once these initial reviews are complete, the field manager and
technicians will begin designating the approximate horizontal position of known subsurface utilities
within the specified project limits. A suite of geophysical equipment (electromagnetic induction,
magnetic) will be used to designate metallic/conductive utilities (e.g. steel pipe, electrical cable,
telephone cable). TRG will establish routine/ordinary traffic control (cones and free standing
signage, etc.) whenever required as part of our standard pricing. If non -routine traffic control
measures are required (barricades, flag person, changeable message board, etc.), these services will
be considered extra.
Accurate collection and recording of designated utilities is a critical component of the SUE process.
TRG utilizes a proven method of collecting and recording survey information once the utilities have
been designated in the field. TRG's field manager will produce detailed sketches depicting each
utility as well as relevant surface features such as roadways, buildings, manholes, fire hydrants,
utility pedestals, valves, meters, etc. Each utility will be labeled with a unique ID code. For
example, if two different water lines exist on the project, one will be labeled W1 and the other W2.
Paint and pin flags will be used to designate the utilities in the field. A labeled pin flag or paint
mark will be used to mark each location where a survey shot is required. The locations will be
numbered sequentially for each individual utility line. For example, if there are 10 shots required
on water line W 1, the points will be numbered W I - I through W I -10.
Locating Procedures
TRG will utilize non-destructive vacuum excavation equipment to excavate test holes at the required
locations. Due to the risk of damage, TRG will not attempt to probe or excavate test holes on
any AC water lines unless approval is obtained from the owner in advance. Once each utility is
located, TRG will record the utility type, size, material, depth to top, and general direction. Each

test hole will be assigned a unique ID number and will be marked with a nail/disk. The test -hole ID
number and other pertinent utility information will be painted at each test -hole location.
We have assumed that all test holes will be in non -paved areas and are accessible to truck -mounted
equipment, and that routine traffic control (cones and free standing signage, etc.) will be required
during the performance of the QL "A" SUE work.
Deliverables
TRG will produce a utility file, in AutoCAD format, depicting the type and horizontal location of the
designated utilities. The size of each utility will be presented in the utility file if this information is
indicated on available record drawings. TRG will also provide a summary sheet of the test hole
coordinate data and depth information. Peloton will provide TRG with base map/topographic files
for use in preparing the utility file.
Schedule
Field work can commence within approximately 2 weeks after receipt of NTP. TRG estimates that
the work can be completed in approximately 2 weeks.
Proposed Fees
TRG proposes to provide the services as described above for a cost of Eight Thousand Nine
Hundred Dollars & 00/100 ($8,900.00). A breakdown of cost is included as "Table 1" for this
proposal.
Please note that this estimate is based on an assumption of quantities. TRG will only invoice for
quantities actually performed. This is a not -to -exceed amount. If it appears that quantities will be
exceeded, TRG will notify Peloton and request authorization to submit a supplemental agreement to
increase the fee prior to proceeding with additional work.

RIGHT OF WAY SCOPE OF SERVICES
Acquisition / Negotiation:
Stateside will complete negotiations through Final Offer Letter and Closings for $4,000 per parcel.
Set up Files: Stateside will set up and maintain paper files as well as electronic files on each property
(may be referred to as parcel). Files will include copies of correspondence, completed notices and forms,
title commitment, appraisal report, copies of informational documents such as County Appraisal District
print out, Secretary of State print out, and title research backup. All information will remain confidential
and must be requested through the Client.
• Initial Offer Packet: Upon written approval by the Client the Stateside Right of Way Agent
(Agent) will notify the property owners in writing of the interest in acquiring their property and
the approved offer amount for that interest. This packet will be sent by certified mail, return
receipt requested to the owner's current address as listed on the County Appraisal District
website. All individuals that may be affected by this project will be given an opportunity to meet
and discuss the procedures to which they may be interested or by which they may be affected.
Arrangements will be made, as required, to present information to persons who are unable to
read or write English or otherwise need additional assistance. In negotiating with the owners of
the subject land, it is assumed that the owner will in turn negotiate with any lessees or others
who may own any interest in the land or improvements, and settle any lease or lease hold
interests prior to closing.
• Counteroffer: During negotiations, if a property owner provides appraisal information or a
counteroffer, either written or verbal, which the landowner believes is relevant to the acquisition,
the Agent may forward the information to the appraisal firm for analysis. The Agent will discuss
with the Client a recommendation for review. The Agent will provide an appropriate response to
the property owner based upon the Client's decision.
Title/Closing:
Stateside will complete title / closing with Community National Title Company as the designated
closing agent.
• Stateside will order Commitments for Title Insurance with copies of all supporting documents
for items listed on Schedules A, B and C of the Title Commitment for properties to be acquired.
• Copies of all Schedule A and B documents are to be provided to the survey team by the Client or
Stateside.
• Upon receipt of the Title Commitments and supporting documents, the Agent will:
o Review Commitment and supporting documents
o Provide a copy of the Title Commitment and backup documents to the appraisal firm.
• Prior to acquiring any real property, the Agent will take all appropriate steps necessary to ensure
that the area being acquired is purchased with acceptable title and clear title, if possible.
• Upon receipt of properly executed conveyance and title curative documents, all originals will be
submitted to the Title Company to be held in escrow until closing.
• The Title Company will provide a check request or wire transfer with the Settlement Statement
as per the U.S. Department of Housing and Urban Development (HUD-1) and their contact
information for the purchase price and closing costs will be sent to the Client.
• The Agent will prepare a Closing Packet for the Client.
• The Client will sign all closing documents and Stateside will attend closing.
• The Title Company will record all Deeds and title curative release documents and provide file
marked copies to the Agent. The original recorded Deed shall be returned to the Client.
• The Title Company will provide a Title Policy for the purchase price on all fee acquisitions.
Condemnation Support Services:
Stateside will provide condemnation support services for an hourly rate of $80 per hour for Right of
Way Technician tasks, and $110 per hour for Right of Way Agent tasks.
• The Agent will provide a summary of activities related to the acquisition efforts for review and
consideration by the Client for Eminent Domain proceedings.
• The Agent will be available to assist the Client as necessary.
Pass -Through Costs:
All invoices submitted to Stateside will be a pass through cost to the Client. These costs may include:
closing costs, landowner incidental costs, appraisal costs, mover estimates, interpreter fees, and
relocation costs.
Reporting:
Stateside will maintain office files containing copies of completed notices and forms, contacts and
discussions and project status reports, as required. The Client will have access to files and will be cc'd
on email correspondence. All information will remain confidential and must be requested through the
Client.

Invoice:
Stateside accounting requires invoicing on a month end basis. Payment is expected within 30 days of
the date of the invoice.

We are pleased to submit this estimate for providing construction materials engineering services on
the above referenced project. We understand we have been selected to provide these services
based on our qualifications.
Estimate - Defined
This is an ESTIMATE and should in no way be considered a lump sum proposal. CMJ will only bill
for actual services performed. Services performed beyond the estimated items and quantities may
exceed the estimated testing budget. Fewer services performed than estimated may be lower the
estimated testing budget.
The total testing cost is dependent upon the contractor's means and methods, such as the size of
areas/amount of items ready for testing per site visit, size/rate of concrete placements, method of
masonry grouting (once per day or several times per day, pumping or hand placement), etc. As
the contractor typically schedules our services, the actual number of site visits required are beyond
our control. Based on our experience, we have made assumptions as to the means and methods
the individual contractors may choose to follow.
Scope of Work
Our scope of service is based on our conversation regarding project quantities and testing
frequencies. We propose to service this project on a call out, as -needed basis. All same -day
service requests will be charged the greater of either $250 or our actual rescheduling costs
based on the project's unit fees, for each site visit performed. Service requests may be
made Monday through Friday 7:00 am to 5:00 pm and should be received 24-hours in
advance but no later than 3:00 PM of the day prior to service. CMJ will make every effort to
service same day service requests but cannot guarantee your request will be serviced
without the required prior notice.

Based upon our understanding of your needs, our unit fees and estimated quantities for this project
will be as stated on the budget attachment.
All fees for services performed which do not appear on the budget attachment will be based on our
standard fee schedule. The final charges will be a function of the total services performed. All
charges for laboratory services are F.O.B. our laboratory. All same -day service requests will be
charged the greater of either $250 or our actual rescheduling costs based on the project's
unit fees, for each site visit performed.
The prices provided in the attached fee schedule will remain valid for forty-five (45) days from the
date on this estimate, or for one year from that date if our services for this project are started within
the forty-five (45) day period. Invoices will be submitted for these services on a monthly basis.
These will be due and payable upon receipt. CMJ will not supervise or direct work that is

1. Project Management fees will be charged as follows: 2 hours for initial project setup, foundation reconciliation at 3 minutes per pier,
compliance review and statement of same at 3 minutes per report with a 1 hour minimum, post -tensioning compliance review at 0.50 hours
per page with a 1.0 hour minimum and a 79G/house pad compliance report review and letter at 10 minutes per lot, if CMJ is informed at the
start of this project of this need. Should the client choose not to sign CMJ's agreement and instead request CMJ to sign the client's contract,
any time spent reviewing/revising client's contract will be billed at the above listed project management hourly rate. All other services that
would be requested of a project manager will be billed as same.
2. Overtime rates of 1.5 times the regular rate will be charged for hours worked or services performed over eight (8) hours per day or before
7:00 a.m. and/or after 5:00 p.m. Monday thru Friday. All lab and field services performed on Saturday, will be billed at 1.5 times the regular
rate and will be billed at 2.0 times the regular rate for Sundays and recognized holidays.
3. All laboratory test fees are F.O.B. our laboratory. Engineering technician minimums and vehicle trip charges will apply to all trips to the
job -site including sample pickups and specimen pickups.
4. A minimum amount of technician time and a vehicle trip charge will be billed for each call out, sample pickup or specimen pickup unless
noted otherwise. Technician time is charged portakto-portal from our Fort Worth office.
5. 4"X8" concrete compression test specimens will be used per ACI 318 requirements unless instructed otherwise.
6. Structural steel observation at fabrication shop fees based on facilities located in the Dallas -Fort Worth metroplex area.
7. Additional tests not specified in this fee schedule will be quoted upon request, or based on our current fee schedule.
8. Vehicle trip charge in excess of 25 miles from CMJ's office will be based on $0.85/mile plus tolls, portal-to-portal our office.
9. Specimen collection fees as stated are either project specific or based on a maximum of 25 miles from CMJ.
