1988-009CITY OF SOUTHLAKE, TEXAS RESOLUTION NO. 88-9 A RESOLUTION OF THE CITY OF SOUTHLAKE, TEXAS, APPROVING AND AUTHORIZING THE CITY MANAGER TO EXECUTE A CONTRACT BETWEEN THE CITY AND LOCKWOOD, ANDREWS & NEWNAM, INC. FOR PROFESSIONAL SERVICES TO BE RENDERED IN CONNECTION WITH PREPARATION OF SCHEMATIC DESIGN DRAWINGS AND PRELIMINARY ESTIMATES OF CONSTRUCTION AND RIGHT-OF-WAY COSTS FOR IMPROVEMENTS TO STATE HIGHWAY 114 IN THE CITY OF SOUTHLAKE, TEXAS; DECLARING AN EFFECTIVE DATE WHEREAS, the City of Southlake, Texas (the "City") has received a proposal from Lockwood, Andrews & Newnam, Inc. LAN") to provide to the City professional engineering services and other technical services related to preparation of schematic design drawings, and preliminary estimates of construction and right-of-way costs for improvements to State Highway 114 within the City from Dove Road to Loop 382; and WHEREAS, it is the intention of the City Council of the City to accept LAN's proposal and to approve and authorize the City Manager to execute the contract attached hereto as Exhibit A" on behalf of the City. THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SOUTHLAKE: Section 1. That all of the above premises are found to be true and correct and are incorporated into the body of this resolution as if copied in their entirety. Section 2. That the City Council hereby approves the contract with LAN in the form attached hereto as Exhibit "A" and authorizes and directs the City Manager to execute and deliver such contract to LAN on behalf of the City. Section 3. That this Resolution shall be in full force and effect from and after its passage. Compensation: Engineer's compensation will be a lump sum charge of $ NONE----------- plus a charge for personnal services at times Salary Cost (defined below) plus Reimbursable Expenses (defined below) A Salary Cost: Salary Cost Is defined as the cost of salaries paid to Engineer's personnel plus payroll burden Social Security contributions, Federal and State unemployment taxes, workers' compensation, health and retirement benefits, incentive pay, sick leave, vacation and holiday pay applicable thereto), for the number of hours devoted to the work covered by this Agreement B Reimbursable Expenses: Reimbursable Expenses shall Include transportation and subsistence of personnel while traveling in connection with the work, field office expenses, long distance telephone calls, telegrams, reproduction expenses, subcontracts and similar Items Such expenses shall be reimbursed at the following rates 1 Transportation by Engineer's vehicles at Engineer's standard rates 2 Reproduction performed in Engineer's office at prevailing commercial rates 3 Computer services. at Engineer's standard rates 4 All others actual cost to Engineer plus a 10 percent service charge 5 Where field parties are used, expenses shall Include charges for the use of any special Instruments and equipment, Including marine equipment, and expendable Items such as stakes and monuments III Payments: Engineer will Invoice Client monthly in amounts earned under this Agreement Client agrees to pro- mptly pay Engineer at his office in Dallas County, Texas------ , the full amount of each such Invoice upon receipt Client agrees to pay a charge of --1.0— percent per month on all invoiced amounts not paid within r days of the date of the invoice, calculated from the date of the Invoice IV. Reuse of Documents: All documents, including Drawings and Specifications prepared by Engineer pursuant to this Agreement, are instruments of service in respect of the Protect They are not intended or represented to be suitable for reuse by Owner or others on extensions of the Project or on any other project Any reuse without writ- ten verification or adaptation by Engineer for the specific purpose intended will be at Owner's sole risk and without liability or legal exposure to Engineer, and Owner shall Indemnify and hold harmless Engineer from all claims, damages, losses and expenses Including attorney's fees arising out of or resulting therefrom Any such verification or adaptation will entitle Engineer to further compensation at rates to be agreed upon by Owner and Engineer V. Nether Client nor Engineer shall assign, sublet, or transfer his interest in this Agreement without the written consent of the other. Nothing herein shall be construed as giving any rights or benefits hereunder to anyone other than Client and Engineer. Special Provision: This instrument contains the entire Agreement between Client and Engineer, except as additionally stated below: LAN proposal to The City of Southlake, dated December 14, 1987. IX. Invalidation: If this Agreement is not executed by Client within -----60---- days of the date tendered, it shall become invalid unless Engineer extends the time in writing. X.
