1987-015RESOLUTION 87-15 STATE OF TEXAS § 7Ar22An) -r § COUNTY OF § CITY OF SOUTHLAKE § AGREEMENT TO DONATE BUILDING WHEREAS, the Southlake Lions Club (Lions) is desirous of donating a building to the City of Southlake (City) at a location within the City to be designated by the City; and WHEREAS, the Lions are willing to assume and pay for all costs incurred in relocating the building and all expenses to be incurred in preparing the site, doing the utility work and making all expenditures required to meet City Codes and to further modify same in accordance with the attached drawings (Exhibit A"); and WHEREAS, the parties desire to enter into an Agreement setting out the terms relative to the donation. NOW, THEREFORE, WITNESSETH: The parties, Lions and City, do hereby agree, contract and covenant as follows: Section 1. That all matters stated in the preamble are found to be true and correct and are incorporated herein as if copied in their entirety. Section 2. The Lions do hereby agree to donate the building that is described within the attached drawings, Exhibit "A", to the City upon the following terms and conditions: A. The Lions shall obtain all necessary permits and satisfy all legal requirements necessary to move said building. B. The City shall designate in writing, as evidenced by a letter from the Mayor, the address and location within the area which the building is to be located. C. The Lions shall be responsible for all costs relative to moving, relocating, placing and remodeling of the building. D. The building shall be remodeled after being placed on the site in accordance with the drawings, Exhibit "A", by the Lions. E. The Lions, as the owner of the building, do hereby release, relieve, quit claim and hold harmless the City, its agents, servants and employees from any and all claims, suits, demands, damages, losses and injuries, including attorneys' fees, arising out of or in any way related to the relocation, placing and remodeling of the building. Lions shall provide adequate liability insurance for the relocation, F. G. H. ATTEST: placement and remodeling, proof of such insurance may -be reviewed by the City. Title to the building shall remain in the Lions until the City formally accepts same upon completion of the relocation, place- ment and remodeling. In the event the building is not relocated, placed and remodeled within one (1) year from the date of execution of this Agreement, the City reserves the right to terminate this Agreement and require the Lions to remove the building from City property at the Lion's expense. Upon acceptance of the building, the City shall adopt rules and regulations relative to its use.
