That Southlake Dove Associates, LLC, a Texas limited liability company ("Grantor"), acting by
and through the undersigned, its duly authorized representative, for and in consideration of ONE
DOLLAR and other good and valuable consideration, paid by the CITY OF SOUTHLAKE, a
municipal corporation of Tarrant County, Texas ("Grantee"), receipt of which is hereby
acknowledged, does hereby grant, bargain, sell and convey to said Grantee, its successors and
assigns, a permanent public right-of-way easement and the right to construct, reconstruct and
perpetually maintain a public street, public sidewalks, and/or drainage facilities and utilities,
together with all necessary appurtenances thereto, and with the right and privilege at any and all
times, to enter said premises, or any part thereof, as is necessary for the proper use of any other
right granted herein and for the purpose of constructing, reconstructing, replacing and maintaining
said public street, public sidewalks, and public drainage and utility facilities, and for making
connections therewith, in, upon, under and across the following described approximately 0.4413
acre parcel of land in Tarrant County, Texas (the "Easement Area") described on the attached
Exhibit "A" and Exhibit "B", each of which are made a part hereof. Grantee's right to use the
Easement Area shall be exclusive, except as set forth below or as Grantee may agree in writing
otherwise.
Grantee acknowledges and agrees that Grantor may grant to others the non-exclusive right to use
all or any portion of the Easement Area, provided such use does not unreasonably interfere with
Grantee's reasonable use of such Easement Area for the purposes herein expressed. Without
limiting any rights which Grantor may otherwise have as a matter of law or in equity, it is understood
and agreed that Grantor expressly reserves unto itself and its tenants, licensees, invitees,
successors and assigns, the right to use the Easement Area for other purposes which do not
interfere with the rights granted herein; provided, however, that neither Grantor, nor its tenants,
licensees, successors or assigns, shall be permitted to erect or construct buildings, structures or
other improvements within the Easement Area except as expressly permitted herein, or otherwise
use the Easement Area in such a way as would unreasonably interfere with Grantee's reasonable
use of such Easement Area for the purposes herein expressed, and neither Grantor, nor its tenants,
licensees, successors or assigns, shall be permitted to construct, install, or place any improvements
in the Easement Area which would unreasonably interfere with Grantee's improvements, or to
construct, install, or place any improvements in the Easement Area which protrude above ground -
level on the Easement Area other than landscaping. Grantor specifically reserves the right to
construct, place, maintain, lay, inspect, protect, operate, and repair alter, substitute, replace and
remove sidewalks (other than Grantee's sidewalks) and landscaped areas on, over, across, and
along the Easement Area, and such activities shall not constitute a breach or violation of the terms
and provisions hereof or constitute interference with said easement, provided that Grantor conforms
to the requirements and limitations expressed herein.
Any such improvements must be constructed, installed, placed, operated and maintained in
accordance with all City of Southlake ordinances and other applicable city, state and federal laws
and regulations, and approved site plans. Except as otherwise expressly permitted herein, neither
Grantor, nor its tenants, licensees, successors or assigns, shall be permitted to make permanent
improvements or alterations within the Easement Area without obtaining any required City of
Southlake permits. Nothing herein shall be construed as a waiver of Grantee's regulatory authority
or a waiver of any required permit requirements. Any construction or installation of permitted
improvements in the Easement Area shall be performed only after Grantor, or its tenants, licensees,
invitees, successors or assigns, as the case may be, consults with and obtains approval by Grantee
to avoid unreasonable interference with vehicular and pedestrian traffic and to protect the public
safety and such approval not to be unreasonably withheld, conditioned or delayed, provided that
Grantor, or its tenants, licensees, invitees, successor or assigns, as the case may be, conforms to
the requirements and limitations expressed herein.
This conveyance is made upon the condition that Grantee and any contractor retained by Grantee
will, promptly after doing any work in connection with the construction, reconstruction, maintenance,
repair or removal of any improvements located within said Easement Area, restore the Easement
Area to the same condition as existed before such work was undertaken other than such changes
as are necessary to construct, maintain, or alter Grantee's facilities described above, and that in
the exercise of the rights and privileges herein granted, Grantee and any person using the
Easement Area under the authority of Grantee will not create a nuisance or do any act detrimental
to said premises. Grantee agrees to bury all municipal utility improvements capable of being buried
to a sufficient depth so as not to interfere with the use of the surface of the land for roadway, right
of way, landscaping or other reasonable uses. This provision shall not prohibit the installation of
above -ground municipal improvements deemed by Grantee to be necessary for use of the
Easement Area as a public right of way, such as street signage and traffic control signage and
signals.
This Easement and the rights and privileges granted hereunder shall terminate when, or at such
time, as the purposes hereof cease to exist, are abandoned by Grantee, or become impossible of
performance.
To have and hold the above described easement, for the purposes and subject to the matters herein
set forth, unto Grantee, its successors and assigns.
