Action
Requested: Approve an Engineering Services Agreement (ESA) with Halff
Associates, Inc. to provide engineering design and bidding services
to replace roadway crossings at Kirkwood Branch and South Fork
Kirkwood in an amount not to exceed $542,800.
Background
Information: The North White Chapel culvert crossing at Kirkwood Branch was
damaged by a significant flood event in September 2018. The road
was closed until a repair project was completed in early 2019 with
the understanding that a more robust project would be undertaken
at some point and time in the future.
This ESA with Halff Associates, Inc will provide preliminary and
final design/engineering and construction phase services to replace
the repaired crossing and a smaller, existing crossing. The culvert
crossings at Kirkwood Branch and South Fork Kirkwood will be
removed and replaced with bridge crossings to provide 100-year
storm level protection. Sections of the asphalt roadway
approaching the planned bridge and water and sanitary sewer lines
will be reconstructed within the project limits. Utility lines will be
replaced in kind, with no upsizing being considered.
Financial
Considerations: Funding for this agreement is budgeted as part of the approved
Capital Improvement Program. This agreement is within the project
budget.

AGREEMENT FOR ENGINEERING SERVICES
THIS AGREEMENT is made this day of
between the City of Southlake, Texas (hereinafter referred
Associates, Inc. (hereinafter referred to as "ENGINEER").

WHEREAS, CITY contemplates the need to make roadway improvements,
including two bridges to N. White Chapel Boulevard from approximately 430 feet north
of Wingate Lane to approximately 200 feet south of Bluestem Drive. This project is to
be known as the N. White Chapel Boulevard Roadway and Bridge Improvements
project and hereinafter referred to as the "Project".
WHEREAS, ENGINEER is qualified, able, and desirous of performing the
necessary engineering work upon which the Project is based and is willing and able to
work with CITY staff to organize and coordinate the professional services necessary to
complete the Project.
NOW, THEREFORE, CITY engages ENGINEER to perform, and ENGINEER
agrees to perform, the engineering work for the Project, as more fully described herein
below, and CITY agrees to pay as compensation, and ENGINEER agrees to accept as
compensation, the payments on the dates and in the amounts herein specified, all in
accordance with the terms more fully set out below and as provided in Attachment A
which is attached hereto and incorporated by reference as if fully set forth herein.
I. ARTICLE
ENGINEERING SERVICES
A. Scope of Work
ENGINEER will provide the supervision, direction, personnel and equipment to
perform the engineering Services outlined in Attachment A in accordance with the terms
set forth in this Agreement and in Attachment A.
B. Definitions
Services refer to the professional services performed by ENGINEER pursuant to
this Agreement.
C. Changes
CITY, without invalidating the Agreement, may order changes within the general
scope of the work required by the Agreement by altering, adding to and/or deducting
from the work to be performed. If any change causes an increase or decrease in
ENGINEER's cost of, or the time required for, the performance of any part of the
Services under the Agreement, an equitable adjustment will be made by mutual

agreement and this Agreement shall be modified in writing accordingly.
D. Coordination with Owner
The CITY shall make available to ENGINEER for use in performing Services
hereunder all existing plans, maps, field notes, statistics computations and other data in
the CITY's possession relative to existing facilities and to the Project.
E. Site and Local Conditions
ENGINEER has the right to examine the site in order to become acquainted with
local conditions and accepts conditions at the site unless otherwise noted in writing to
the CITY. Any coordination or scheduling of work by CITY shall not relieve ENGINEER
from its responsibilities specified hereunder. Necessary arrangement for access to any
site by ENGINEER's employees will be made with CITY.
F. Assignment and Subcontractors/Third Party Rights
The rights and obligations covered herein are personal to each party hereto and
not to any third party and for this reason neither this Agreement nor any contract
hereunder shall be assigned by either party in whole or in part; nor shall ENGINEER
subcontract any of its obligations under this Agreement without the prior written consent
of CITY.
G. Independent Contractor
ENGINEER covenants and agrees that it will perform the work hereunder as an
independent contractor, and not as an officer, agent, servant, or employee of CITY; that
ENGINEER shall have exclusive control of and exclusive right to control the details of
the work performed hereunder, and all persons performing same, and shall be solely
responsible for the acts and omissions of its officers, agents, employees, contractors,
subcontractors, and consultants; that the doctrine of respondent superior shall not apply
as between CITY and ENGINEER, its officers, agents, employees, contractors,
subcontractors, and consultants, and nothing herein shall be construed as creating a
partnership or joint enterprise between CITY and ENGINEER.
H. Disclosure
By signature of this contract, ENGINEER warrants to CITY that it has made full
disclosure in writing of any existing conflicts of interest or potential conflicts of interest,
including personal financial interests, direct or indirect, in property abutting the proposed
Project and business relations with abutting property owners. ENGINEER further
warrants that it will make disclosure in writing of any conflicts of interest that develop
subsequent to the signing of this contract and prior to final payment under the contract.
Finally, Engineer warrants that it has submitted to the City a completed Conflicts of
Interest Questionnaire as required by Chapter 176 of the Texas Local Government
Code.

I. Approval by CITY
Approval by CITY of this Agreement shall not constitute or be deemed to be a
release of the responsibility and liability of ENGINEER, its officers, agents, employees,
and subcontractors for the accuracy and competency of the Services performed under
this Agreement, including but not limited to surveys, designs, working drawings and
specifications and other engineering documents.
Such approval shall not be deemed to be a waiver or an assumption of such
responsibility and liability by CITY for any negligent act, error, or omission in the
performance of ENGINEER's professional services or in the conduct or preparation of
the subsurface investigations, surveys, designs, working drawings and specifications or
other engineering documents by ENGINEER, its officers, agents, employees and
subcontractors, it being the intent of the parties that approval by CITY signifies the
CITY's approval of only the general design concept of the Improvements to be
constructed.
J. Indemnification
ENGINEER SHALL AND DOES HEREBY AGREE TO INDEMNIFY AND HOLD
HARMLESS CITY, ITS OFFICERS, AGENTS, AND EMPLOYEES FROM ANY AND
ALL DAMAGES, LOSS OR LIABILITY OF ANY KIND WHATSOEVER, BY REASON
OF DEATH OR INJURY TO PROPERTY OR PERSON CAUSED BY ANY OMISSION
OR NEGLIGENT ACT OF ENGINEER, ITS OFFICERS, AGENTS, EMPLOYEES,
INVITEES, OR OTHER PERSONS FOR WHOM IT IS LEGALLY LIABLE, WITH
REGARD TO THE PERFORMANCE OF THIS CONTRACT, AND ENGINEER WILL, AT
ITS COST AND EXPENSE, DEFEND, PAY ON BEHALF OF, AND PROTECT CITY
AND ITS OFFICERS, AGENTS, AND EMPLOYEES AGAINST ANY AND ALL SUCH
CLAIMS AND DEMANDS. THE PROVISIONS OF THIS SECTION ARE SUBJECT TO
THE LIMITATIONS OF TEXAS LOCAL GOVERNMENT CODE SECTION 271.904 AND
SHALL BE CONSTRUED TO THAT EFFECT.
K. No Third Party Beneficiary
For purposes of this Agreement, including its intended operation and effect, the
parties specifically agree and contract that: (1) this Agreement only affects
matters/disputes between the parties to this Agreement, and is in no way intended by
the parties to benefit or otherwise affect any third person or entity (except the
indemnitees identified or described in Article I, Section J., above), notwithstanding the
fact that such third person or entities may be in a contractual relationship with CITY and
ENGINEER, or both; and (2) the terms of this Agreement are not intended to release,
either by contract or operation of law, any third person or entity from obligations they
owe to either CITY or ENGINEER.

L. Successors and Assigns
CITY and ENGINEER each bind themselves and their successors, executors,
administrators and assigns to the other party to this Agreement and to the successors,
executors, administrators and assigns of such other party with respect to all covenants
of this Agreement. Neither CITY nor ENGINEER shall assign or transfer its interest in
this Agreement without prior written consent of the other.
II. ARTICLE
CITY'S RESPONSIBILITIES
CITY will:
Provide full information as to CITY's requirements for the Project;
2. Assist ENGINEER by placing at ENGINEER's disposal all information in
CITY's control or knowledge which is pertinent to the Project, including
executed right-of-way easements and final field survey data;
3. Examine all work presented by ENGINEER and respond within
reasonable time and in writing to the material submitted by ENGINEER,
4. Pay all costs incident to advertising for obtaining bids or proposals from
Contractors;
5. Give prompt written notice to ENGINEER whenever CITY observes or
otherwise becomes aware of any defect in ENGINEER's work or in
Contractor's work;
6. Designate in writing a person to act as its representative with respect to
this Agreement, such person having complete authority to transmit
instructions, receive information, and make or interpret the CITY's
decisions;
7. Provide all information and criteria as to the CITY's requirements,
objectives, and expectations for the Project including all numerical criteria
that are to be met and all standards of development, design, or
construction.
8. Provide to the ENGINEER all previous studies, plans, or other documents
pertaining to the Project and all new data reasonably necessary in the
ENGINEER's opinion, such as site survey and engineering data,
environmental impact assessments or statements, zoning or other land
use regulations, etc., upon all of which the ENGINEER may rely; and
9. Arrange for access to the site and other private or public property as
required for the ENGINEER to provide its services.

10. Provide any other information or assistance as outlined in Attachment A
hereto.
III. ARTICLE
COMPENSATION FOR ENGINEERING SERVICES
The CITY shall compensate ENGINEER for services rendered under this
Agreement, in accordance with the following:
For the completion of the work contemplated in Article I, the ENGINEER shall be
paid on a lump sum basis in the amount of $326,600 for Basic Services and on a lump
sum basis in an amount not to exceed $216,200 for Special Services with a total not to
exceed cost ceiling of $542,800 as billed monthly by ENGINEER.
IV. ARTICLE
TIMES OF BILLING AND PAYMENT
The ENGINEER shall bill CITY monthly for any services and expenses incurred
in accordance with the work performed subject to the limits set out in Article III.
Payment shall be due within thirty (30) days of receipt by CITY of a properly prepared
and correct invoice from ENGINEER. ENGINEER's invoices shall be accompanied by
such records or other written proof as CITY deems necessary to verify the billings.
Invoices shall be made to City Finance Department's office at 1400 Main Street,
Suite 440, Southlake, Texas 76092.
If CITY fails to make payment due ENGINEER within thirty (30) days of the day
when payment for services and expenses is due under the terms of this Agreement,
ENGINEER shall be entitled to interest on such unpaid sums at the rate provided in
Chapter 2251 of the Texas Government Code.
V. ARTICLE
ADDITIONAL ENGINEERING SERVICES
In addition to performing the engineering services set out in Article I, hereof,
ENGINEER agrees to perform additional services as requested by CITY from time to
time and CITY agrees to compensate ENGINEER for such services in accordance with
ENGINEER's standard hourly fee and expenses (see Attachment B) for actual time
expended and actual out-of-pocket sums expended, such services to be one or more of
the following:
Make or prepare detailed description of sites, maps, or drawings related
thereto and outside the scope of the Project;

2. Appearances before courts or boards on matters of litigation or hearings
related to the Project;
3. Preparation of environmental impact assessments or statements for any
governmental agency,
4. Miscellaneous engineering work for CITY not related to the Project;
5. To provide resident project construction inspection, unless such inspection
is not required, in writing, by the CITY;
6. Other services agreed to by the parties in writing and incorporated herein.
VI. ARTICLE
STANDARD OF CARE
In performing its professional services, the ENGINEER will use that degree of
care and skill ordinarily exercised, under similar circumstances, by reputable members
of its profession in the same locality at the time the services are provided and in
accordance with any applicable governmental laws, regulations and ordinances.
VII. ARTICLE
PERIOD OF SERVICE
This Agreement shall be effective upon execution by CITY and ENGINEER, and
shall remain in force until work is completed on the Project or until terminated under the
provisions hereinafter provided in Article VIII.
VIII. ARTICLE
TERMINATION
The CITY may terminate this Agreement at any time for convenience, with or
without cause by giving written notice to the ENGINEER. Such termination may be
made effective on such future date as agreed by the parties, but absent such
agreement shall be immediate. Upon receipt of such notice the ENGINEER shall
immediately discontinue all services and work and the placing of all orders or the
entering into contracts for supplies, assistance, facilities, and materials in connection
with the performance of this Agreement and shall proceed to cancel promptly all existing
contracts insofar as they are chargeable to this Agreement.
The ENGINEER, upon termination, shall be paid for all services rendered
through the date of termination together with any additional reimbursable expense then
due.

IX. ARTICLE
OWNERSHIP OF DOCUMENTS
All completed or partially completed reports prepared under this
Agreement, including the original drawings in both paper and electronic
formats, shall become the property of CITY if this Agreement is
terminated. Upon completion and payment of the contract, the final
design, drawings, specifications and documents in both paper and
electronic formats shall be owned by CITY.
2. Reuse, change or alteration by CITY or others acting by or on behalf of
CITY of such documents without the permission of ENGINEER shall be at
CITY's sole risk.
X. ARTICLE
INSURANCE
ENGINEER shall carry and maintain at all times relevant hereto, at ENGINEER's
expense, insurance of the type and of minimum coverage limits as follows:
Workers Compensation - Statutory Employer's Liability - Limits as required
by the State of Texas.
2. Comprehensive General Liability, Bodily Injury and Property Damage
including contractual liability in a combined single limit - $500,000 per
occurrence.
3. Comprehensive Automotive Liability, Bodily Injury and Property Damage
in a combined single limit - $1,000,000 per accident.
Certificates of insurance for the above coverage in a form acceptable to CITY,
evidencing the coverage required above, shall be provided to CITY within ten (10)
business days after execution of this Agreement and prior to issuing Notice to Proceed.
Such certificates shall provide that the insurer will give CITY not less than ten (10) days
notice of any material changes in or cancellation of coverage. In the event any
subcontractor of ENGINEER, with or without CITY's consent, provides or renders
services under this Agreement, ENGINEER shall ensure that the subcontractor's
services are covered by the same insurance limits as set forth above.
ENGINEER shall not commence work under this Agreement until it has obtained
Professional Liability (Errors and Omissions) Insurance as required hereunder and such
insurance coverage has been approved by CITY. Such insurance shall be in the
minimum amount of $1,000,000 and shall include coverage of Contractually Assumed
Liability. The insurance coverage prescribed herein shall be maintained until one (1)
year after CITY's acceptance of the construction project and shall not be canceled
without prior written notice to CITY. In this connection, upon the signing and return of

this Agreement by ENGINEER, a Certificate of Insurance shall be furnished to CITY as
evidence that the insurance coverage required herein has been obtained by
ENGINEER, and such certificate shall contain the provision that such insurance shall
not be cancelled or modified without thirty (30) days prior written notice to CITY.
ENGINEER shall notify CITY within ten (10) days of any modification or alteration in
such Professional Liability (Errors and Omissions) Insurance.
XI. ARTICLE
AUTHORIZATION, PROGRESS AND COMPLETION
CITY and ENGINEER agree that the Project is planned to be completed in
accordance with the schedule provided in Attachment A. ENGINEER shall employ
manpower and other resources, and use professional skill and diligence to meet the
schedule; however, ENGINEER shall not be responsible for schedule delays resulting
from conditions beyond its control. By mutual agreement, CITY and ENGINEER may
modify the Project schedule during the course of the Project and if such modifications
affect ENGINEER's compensation, it shall be modified accordingly, subject to CITY's
approval.
It is understood that this Agreement contemplates full and complete engineering
services for this Project, including any and all Services necessary to complete the work.
For additional Engineering Services, the authorization by CITY shall be in writing and
shall include the definition of the services to be provided, the schedule for commencing
and completing the services, and the basis for compensation as agreed upon by CITY
and ENGINEER.
XII. ARTICLE
NOTICE
Any notice required under this Agreement will be in writing and given either
personally, by registered or certified mail, return receipt requested, or by a nationally
recognized overnight courier service, addressed to the parties as follows:

XIII. ARTICLE
SEVERABILITY
In the event that any provision of this Agreement shall be found to be void or
unenforceable, such finding shall not be construed to render any other provisions of this
Agreement either void or unenforceable. All provisions, which are void or
unenforceable, shall not substantially affect the rights or obligations granted to or
undertaken by either party.
XIV. ARTICLE
VENUE -LAW
Venue of any suit or cause of action under this Agreement shall lie exclusively in
Tarrant County, Texas. This Agreement shall be construed in accordance with the laws
of the State of Texas.

ATTACHMENT "A"
SCOPE OF SERVICES
for
Construction Plans, Specifications and Estimates
N. White Chapel Boulevard Roadway and Bridge Improvements
in
SOUTHLAKE, TEXAS
1. Description:
The Project includes Preliminary and Final Design/Engineering and
Construction Phase services for N. White Chapel Boulevard, an existing 22-
foot wide asphalt roadway from approximately 430 feet north of Wingate
Lane to approximately 200 feet south of Bluestem Drive, in total 1,260 linear
feet. The two existing culvert crossings at Kirkwood Branch and South Fork
Kirkwood will be removed and replaced with bridge crossings to provide 100-
year storm level of protection. See Exhibit 1 for project extents. Roadway
improvements required to transition to bridge deck levels will be included.
Roadway will be reconstructed to the same width as existing. A geotechnical
investigation will be provided to determine the appropriate thickness of the
proposed asphalt pavement and subgrade. Concrete approach and
transitions will be provided at each bridge abutment.
Additionally, water line and sanitary sewer line shall be reconstructed within
the project limits. Utility lines will be replaced in kind, with no upsizing
considered.
2. Assumptions: Professional services shall include only services that are
normal and customary and are not represented as including special services
or those requiring expertise that is greater than that provided by other
service providers.
3. Special Services:
A. Surveying: The Consultant shall provide surveying services, which, in
general, may be defined as normal services applicable to a project of this
type. The following particulars will also apply.
(1) Vertical benchmarks shall be established such that all points of
construction shall be within 500 feet of a benchmark. Benchmarks
should not be subject to loss during construction. Fire hydrants and
similar appurtenances are not to be used for benchmarks. The
surveyor shall establish temporary benchmarks throughout the length
of the project.

(2) Topographic features will be surveyed along with any and all other
features needed for design, review, permitting, construction, and
inspection of the project. Coverage will extend beyond the proposed
rights -of -way far enough to integrate the design with the adjacent
properties.
(3) Existing property corners, iron pins, etc. shall be tied in order to
establish existing rights -of -way. Prior to surveying on private property,
the surveyor shall secure written permission from the property owners
and/or tenant and shall provide the City a copy of said written
permission. Should only oral permission be granted, the surveyor
shall document the permission granted by letter to the property
owner/tenant, with a copy to the City. If permission cannot be
obtained, the City will assist or other arrangements will be worked out.
B. Geotechnical Investigation: The Consultant will subcontract with CMJ
Engineering, Inc. to provide sub -surface investigations in the form of
boring logs. Borings shall be of sufficient depth and spacing to provide
general information needed for the design and construction of the project.
An engineering report will be prepared to present the results of the field
and laboratory data together with analyses of the results and
recommendations.
C. USACE Approvals and Permitting: The proposed project has the
potential to impact waters of the United States regulated by the U.S.
Army Corps of Engineers (USACE), under the authority of Section 404 of
the Clean Water Act (Section 404). The project will also entail the
placement of fill material within the flowage easement of Lake Grapevine.
Clearance for both of these actions must be coordinated through the
USACE Regulatory Branch and USACE Operations Branch, respectively.
a. Task 1: Section 404 Permitting
i. Jurisdictional Determination/Delineation: Halff will
perform a field investigation to confirm the
presence/absence of potential waters of the United
States, including wetlands. The exercise will delineate
the limits of the ordinary high water mark of stream
crossings. The presence/absence of wetlands will be
verified consistent with USACE protocol for wetland
delineations. A brief memorandum will be prepared
describing the methodology and results of the
investigation.
ii. Cultural Resources Assessment: A cultural resources
review and field investigation will be conducted to
complete the requirements of Section 106 of the
National Historic Preservation Act (Section 106). This
task includes a literature review and a check of site

records available in the office of the State Archaeologist.
Based on the area of potential effect, it is not anticipated
that a field investigation will be required, and a
pedestrian survey is not included in this scope.
iii. Section 404 Permitting Assessment: It is anticipated that
the project may be permitted under Nationwide Permit
14 — Linear Transportation Projects (NWP 14). This
scope and fee include preparing and submitting a pre -
construction notification for written verification that the
project may proceed under NWP 14, the contents of
which include:
1. Name, address and telephone numbers of the prospective permittee;
2. Location of the proposed project;
3. A description of the proposed project; the project's purpose; direct and
indirect adverse environmental effects the project would cause,
including the anticipated amount of loss of water of the United States
expected to result from the NWP activity, in acres, linear feet, or other
appropriate unit of measure;
4. Delineation of waters of the United States;
5. Compensatory mitigation plan (Not anticipated);
6. Threatened and endangered species assessment; and
7. Cultural resources assessment.
Task 2: Lake Grapevine Coordination: Halff will prepare a letter of
application on behalf of the City of Southlake to initiate review of the
request with the Lake Grapevine Office. The application will include by
attachment items prepared by other tasks described herein as follows:
• Detailed design plans, including the elevation of the proposed
activity, and design plans for the baseline and finished floor
elevation;
• Plat map showing the location of the proposed action and
relationship with the government boundary and lakeshore (2
copies) elevation;
• Calculations of any excavations and/or fill showing no net loss of
flood storage capacity; and
• A map with the elevations of the activity, cut and fill locations, and
the relationship with the government property line and the flowage
easement controlling elevation.

D. Kirkwood Branch Hydraulic Analysis: The Consultant shall perform
the following:
a. Existing conditions hydraulic model developed and provided to
the City under contract for "Kirkwood Branch Watershed Study
Report" shall be utilized for this project.
b. The hydraulic model shall be updated at the 30%, 60%, and
final milestones to design the optimum bridge abutment
locations, required roadway profile, and illustrate no rise due to
proposed improvements.
c. A scour analysis will be performed following the guidelines
outlined in the Federal Highway Administration's (FHWA)
Hydraulic Engineering Circular No. 18: Evaluating Scour at
Bridges (HEC-18). Halff will utilize the hydraulic design bridge
scour analysis tool within HEC-RAS to evaluate potential scour
depths for proposed bridge piers.
d. Prepare a floodplain development permit application and
submit for City review/approval.
e. Prepare CLOMR application package with complete supporting
documentation. Following the City's review and approval of the
CLOMR application package, Halff will represent the City and
submit the CLOMR application to FEMA.
i. Prepare necessary MT-2 application/certificate forms
including:
Form 1 — Overview and Concurrence
Form 2 — Riverine Hydrology and Hydraulics
Form 3 — Riverine Structures
ii. Prepare templates for public notification, including
individual property owner notification and public notice if
necessary. The City of North Richland Hills will distribute
all notifications to individual property owners and post
any necessary notices.
iii. Submit documentation of Endangered Species Act
(ESA) compliance per CLOMR specific requirement.
iv. Coordinate with the City of Southlake and
FEMA/Technical Reviewer to address comments and
questions.
v. FEMA review fee of $6,750 for the CLOMR is included
under this contract.
Prepare post construction LOMR application package with
complete supporting documentation. Following the City's
review and approval of the LOMR application package, Halff
will represent the City and submit the LOMR application to
FEMA. FEMA review fee of $8,250 for the LOMR is included
under this contract; however, this fee is subject to change at
the time of LOMR submittal. This task also includes post-

construction as -built topo survey to confirm the project was
constructed as planned for the LOMR submittal. Halff will not
begin work on the LOMR until written authorization of notice to
proceed is received from the City.
E. Subsurface Utility Engineering — Halff will perform SUE in accordance
with ASCE Cl/ASCE 38-02 "Standard Guideline for the Collection and
Depiction of Existing Subsurface Utility Data." This standard defines the
following Quality Levels:
• Quality Level -A: Precise horizontal and vertical location of utilities
obtained by the actual exposure (or verification of previously exposed
and surveyed utilities) and subsequent measurement of subsurface
utilities, usually at a specific point. Minimally intrusive excavation
equipment is typically used to minimize the potential for utility
damage. A precise horizontal and vertical location, as well as other
utility attributes, is shown on plan documents.
• Quality Level-B: Information obtained through the application of
appropriate surface geophysical methods to determine the existence
and approximate horizontal position of subsurface utilities. Quality
Level-B data should be reproducible by surface geophysics at any
point of their depiction. This information is surveyed to applicable
tolerances defined by the project and reduced onto plan documents.
• Quality Level-C: Information obtained by surveying and plotting visible
above -ground utility features and by using professional judgment in
correlating this information to Quality Level-D information.
• Quality Level-D: Information derived from existing records or oral
recollections.
(1) Quality Level -A Utility Test Holes (Vacuum Excavation): Up to twenty
(20) test holes will be performed on various utilities at locations
approved by the City of Southlake. Halff will cut up to a 12" square
test hole, excavate down to utility, record the depth to top of utility,
backfill & compact the hole, and restore the surface to its original
condition. An iron rod with cap or "x-cut" will be set to mark the
approximate centerline location of the utility. A jackhammer will be
utilized for work to be performed in asphalt and concrete areas. This
Scope of Services includes all test holes being performed under one
(1) mobilization.
(2) Quality Level-B Utility Designating: Halff will designate the
approximate horizontal position of conductive/toneable utilities within
the project limits using geophysical prospecting equipment and mark
using paint and/or pin flags. We anticipate the designation of
approximately 1,650 linear feet of utilities including buried
communication, electric, natural gas, petroleum pipeline, water,
wastewater/sanitary sewer, and storm drain/storm sewer. Designation
of irrigation lines, HDPE lines, gathering lines, asbestos concrete

and/or pvc lines, as well as pvc lines without tracer wire or access are
not part of this Scope of Services.
Because of limited utility record information and the possibility of non-
conductive/un-toneable utilities, Halff cannot guarantee all utilities will
be found and marked within the project limits.
(3) Quality Level-C Surveying: Quality Level-B Utility Designation paint
markings, pin flags, and above ground utility appurtenances as well
the iron rod with cap or "x-cut" for Quality Level -A Test Holes will be
surveyed and tied utilizing project survey control provided by City of
Southlake.
(4) Quality Level-D Records Research: Available Records will be
provided to Halff by the City of Southlake. Halff will perform additional
utility record research as needed to successfully complete the project.
Because there are situations where the utility does not have a metallic
composition, a metallic tracer line attached, or access to insert a
tracer line, the approximate location of the utility may be determined
by the use of utility records and direct correspondence with the utility
owner/representative. In these areas, the information will be
considered Quality Level-D, depicted according to utility record
information only.
(5) SUE Field Manager / Professional Engineer: A SUE Field Manager
will be on -site for a portion of this project for field crew supervision,
field quality control, and coordination with on -site personnel. A
Professional Engineer will be responsible for QA/QC, management of
the contract, coordination with the project team and signing the final
deliverables if required.
(6) SUE Deliverables: Deliverables for the Quality Level -A Test Hole
excavations will be an 8.5-in. x 11-in. Test Hole Data Form for each
Test Hole performed indicating depth, size, location, and other notable
characteristics of the utility.
(7) Permitting: Street Cut permits will be coordinated with the City of
Southlake as required.
(8) Work Zone Traffic Control: Halff will provide standard temporary work
zone traffic control consisting of cones and free-standing signage for
this project. This Scope of Services does not include lane closure(s),
flag person(s), changeable message board(s), arrow board(s) and/or
engineered traffic control plans.
F. Special Structural Details: If limited ROW requires, the Consultant shall
provide any and all structural details, notes, and specifications necessary
to install the water line on the bridge.
G. Public Meetings: The Consultant shall prepare the necessary exhibits
and a roll drawing to present at a Public Meeting. The Consultant will
also attend one (1) Public Meeting to discuss the project if necessary.

4. Basic Services:
A. Construction Plans: The Consultant shall develop construction plans for
review, permitting, bidding, construction, inspection and record keeping.
In general, construction plans shall be consistent with normal practice for
projects of this nature. The following particulars will also apply. The
construction plans will consist of numerous sheets ordered as follows:
(1) Cover Sheet and Sheet Index: The cover sheet shall include a location
map. Additionally, the cover sheet shall show the project name, project
number, date, City logo, Consultant's name, address, and telephone
number and other items as may be specified. Following the title sheet
shall be a sheet index with drawings numbered consecutively and without
subscripts.
(2) Project Layout Sheet(s): The project layout sheet(s) will be drawn to a
scale of 1 " = 50' and laid out with the north arrow up or to the right. The
purpose of the project layout is to depict the project in a simplified view.
Major items of work will be shown without excessive detail. Additionally,
survey control points shall be shown.
(3) Project General Notes and Legend: These sheets will include a listing of
abbreviations, legend, and general notes.
(4) Typical Sections: Typical sections shall be drawn to scales of 1 " = 5' h
and 1" = 2' v and shall depict a view looking north or east. As a
minimum, typical sections will be drawn showing the relationship of the
proposed street and existing and proposed improvements. Typical
sections will include existing roadways, right-of-way lines, etc., along with
all proposed highway improvements and will depict all significant items of
work.
(5) Plan and Profile Sheets (Paving, Water and Sanitary Sewer): Plan -profile
sheets will be arranged from south to north and from west to east, with
the north arrow up or to the right on the sheet. Plan -profile sheets will be
drawn to scales of 1" = 20' h and 1" = 4' v. Stationing will be from south
to north or west to east with the beginning station being set at
approximately 1+00. Each plan -profile sheet will include no more than
500 feet; thus, leaving ample margins both left and right. The plan and
profile station will align vertically on the sheet with the proposed
centerline drawn parallel to the profile grid. When there is a centerline
curvature, the plan -profile should be drawn so that as much of the plan
view is in alignment as possible. Plan -profile sheets shall depict all
existing and proposed items pertinent to the project.
(6) Grading Plans: Halff will provide grading plans drawn at a scale of 1 "=20'.

(7) Drainage Plans: Halff will provide a drainage area map and calculations
to support design of roadside ditch sections and/or flumes as necessary
to appropriate convey runoff from the proposed improvements and
existing adjacent topography.
(8) Bridge Plans: Halff will design two bridges in accordance with TxDOT
standards. Whenever possible, the design will utilize TxDOT standard
details. Construction will follow the 2014 Standard Specifications for
Construction and Maintenance of Highways, Streets, and Bridges with
amendments as required. Halff will provide the following documents
during the course of work:
a. 30% Design Package
i. No structural documents will be provided at this stage, but
limited design will be performed prior to this submittal to
confirm sizing of major elements.
b. 60% Design Package
i. Bridge Layouts
ii. Typical Sections
iii. MSE Wall Plan and Profiles
c. 90% Design Package

i. All sheets from the 90% design package will be provided
after accounting for comments from City of Southlake staff
or representative.
(9) Detail Sheets: The City's standard drawings will be used as a beginning
point in developing standard details for this project. They will be
reviewed and modified for this project. Where other agency standards
are used, they shall be reduced as necessary to fit on the City's standard
sheet format with complete title block.
(10) Miscellaneous: Construction plans will also address erosion control,
utility adjustments, traffic control (including detours, road closures,

signing, barricading, etc.), pavement markings and signage, and all other
improvements.
(11 ) Cross Sections: Cross sections shall be drawn to scales of 1 " = 10' h
and 1 " = 5' v on sheets of 1 " grids H and V. They shall be arranged from
bottom to top of the sheet looking up station and shall show existing and
proposed features and improvements. Generally, no more than eight (8)
sections per sheet are to be plotted. Each section should extend beyond
the easement and rights -of -way a sufficient distance to clearly show the
relationship between the proposed improvements and the existing
properties. Full sections will be drawn at maximum spacings of 50 feet.
(12) Review Plans: The Consultant shall develop conceptual plans and
profiles and estimates of probable cost for the 30% milestone. A rolled
schematic will be provided for review and comment and to determine the
feasibility of the project and confirm constructability and cost prior to
developing preliminary plans. Preliminary plans shall then be prepared
and submitted at the 60% milestone. Final plans shall be prepared and
submitted at the 90% and 100% milestone. Also, the Consultant may
submit plan sheets or working drawings to the City for review and
comment to reduce the number of revisions that otherwise would be
required. During development of the plans, the Consultant shall attend
meetings as needed. The Consultant shall, in company with the City,
perform at least one plans -in -hand review.
(13) Design: The design of the project shall be in general accordance with the
City of The Southlake ordinances, standard details, and good Consulting
practices. During the design phase, the Consultant shall contact various
utility companies and obtain information relating to existing utility lines.
The design should avoid major utility relocations, where practical. When
required, proposed relocations or replacements will be shown in plan and
profile.
(14) Prints: The Consultant shall provide prints of construction plans for
review and permitting. Five (5) sets of half-size plans will be submitted to
the City for each review stage. The Consultant will provide utility
companies with half-size copies of 60% plans for review. The Consultant
will provide up to eleven (11) sets of half-size prints for bidding and
construction. Electronic files in PDF format shall be provided to the City
for use by City staff during the bidding process.
(15) General: Construction plans shall be furnished full-size and half-size.
Overall dimensions of full-size construction plans shall be 22" x 34". The
City's standard format shall be used. Up to two (2) full-size and five (5)
half-size final construction plans shall be furnished to the City. Up to two
(2) full-size and six (6) half-size final construction plans shall be furnished

to the Contractor. Electronic files in PDF and DGN or DWG format shall
be provided to the Contractor for use during construction.

be furnished on hard copy and by electronic file.
C. Estimates: Estimates of probable cost will be developed at each
milestone submittal.
D. City Council Coordination: The Consultant shall not be required to
attend any City Council meetings under this contract.
E. Construction Control Staking: The Contractor will provide construction
staking.

F. Bidding, Construction, Closure:
(1) Bidding — During the bidding phase, the Consultant will prepare bid
documents and assist the City in advertising the project for bids. The
Consultant will address technical questions and prepare addenda and
issue to the bidders. The Consultant shall attend a pre -bid meeting and
prepare minutes. The Consultant will tabulate bids and make
recommendation for award of contract.
(2) Construction:
(a) Attend a pre -construction meeting and monthly progress meetings as
required. Document each meeting with written minutes.
(b) Visit the project site at appropriate intervals as construction proceeds
to observe and report on the progress and quality of the executed
work. In performing these services the Consultant will endeavor to
protect the City against defects and deficiencies in the work of the
Contractor. However, the Consultant cannot guarantee the
performance of the Contractor, nor be responsible for the actual
supervision of the construction operations or for the safety measures
that the Contractor takes or should take.
(c) Review shop drawings and Contractor submittals.
(d) Review laboratory test reports on materials and equipment.
(e) Prepare and negotiate Change Orders between the Contractor and
the City.
(f) Prepare record drawings from information supplied by the Contractor.
(g) Attend final inspection and prepare a punch list report.
(3) Closure — The Consultant shall prepare "record" plans, incorporating all
changes and known variations to provide the City the best possible set of
record drawings. The final record drawings shall be furnished in .tif and
.pdf format on CD. CADD files shall be furnished on CD as well.
G. Miscellaneous: Miscellaneous services not provided for herein and not
generally associated with a project of this type will be paid for under an
amendment to this Agreement and for an additional fee.
5. Schedule:
A. Completion of design surveys, Level B SUE and geotechnical
investigation: 60 calendar days from date of written authorization to
begin work.
B. Completion/furnishing 30% conceptual schematic, bid quantities, and
construction cost estimate: 90 calendar days from date of written
authorization to begin.

C. Completion/furnishing 60% preliminary plans, specifications, bid
quantities, and construction cost estimate: 150 calendar days from date

and construction cost estimate: 210 calendar days from date of written
authorization to begin, excluding City review time.
E. Submission of plans for coordination with Lake Grapevine Office shall
occur at the 90% stage. Timing is contingent on review time at the lake
office, estimated at 90 days.
F. Completion/furnishing 100% final plans, specifications, bid quantities, and
construction cost estimate: 240 calendar days from date of written
authorization to begin, excluding City review time.
G. Bidding services: 60 calendar days from city's approval of final plans.
H. Construction services: In accordance with construction schedule
I. Closure: 60 calendar days from the date of construction completion.

Attachment "B" defines the basis of compensation to the Consultant for the
services rendered.
A. Basic Fee Services — The basic fee for the services as described in
Exhibit "A" will be $326,600 which includes printing, direct costs and
computer charges normally associated with production of these services.
The basis of compensation for Basic Fee services shall be as follows:
1. $85,770 for Phase I — Conceptual Design Phase (30% submittal)
2. $85,770 for Phase II — Preliminary Design Phase (60% submittal)
3. $85,770 for Phase III —Pre-Final Design Phase (90% submittal)
