That the undersigned, GAHC3 Southlake TX Hospital, LLC, a Delaware limited
liability company, GRANTOR herein, for and in consideration of the sum of Ten
($10.00) Dollars and other good and valuable consideration in hand paid by the
CITY OF SOUTHLAKE, home rule municipal corporation of the County of
Tarrant, State of Texas, GRANTEE herein, the receipt and sufficiency of which is
hereby acknowledged and confessed, does hereby grant, sell and convey unto the
said GRANTEE an easement for the sole purpose of installing, repairing,
maintaining, altering, replacing, relocating, rebuilding, removing, and operating
a public water main in, into, upon, across, under and through all that land in
Tarrant County Texas described as follows, to-wit:
approximately 374 square feet, being 0.009 acres,through Block 1, Lot
1R of the Southlake Medical District,with a property address of 421 E.
SH 114, City of Southlake, Texas as more particularly described in
Exhibit "A", and shown on Exhibit "B" attached hereto and
incorporated herein,
together with the right of ingress and egress as necessary for such purposes.
GRANTOR covenants and agrees that GRANTOR and GRANTOR's
representatives, successors and assigns shall at no time erect, place or construct,
or cause to be erected, placed or constructed in, upon, under, over or across the
easement area granted herein any temporary or permanent structures, Provided,
however, that notwithstanding anything to the contrary herein, GRANTOR reserves
the rights to(i)use the land within the easement area for purposes not inconsistent with
GRANTEE'S use of the easement area, (ii) use the land under the public water main
(starting at a depth at least 20 feet below grade),and(iii)pave the land over the public water main
for vehicular travel and or parking, and ingress and egress to GRANTOR's land, in
each case provided such use shall not unreasonably interfere with the exercise by
GRANTEE of the express rights hereby granted.
GRANTOR covenants and agrees that GRANTEE shall have the right to excavate
and fill upon said easement area and to remove from said easement area, any
fences, buildings or other obstructions as may now be found upon said easement
area; provided however, in each case GRANTEE shall promptly restore (a) the
surface of the easement area back to grade with GRANTOR'S adjacent property,and
(b) all of GRANTOR'S paved areas in the easement area and GRANTOR'S land
damaged by GRANTEE'S exercise of its rights herein.
It is further intended that the Water Easement herein granted to the GRANTEE

shall run with the land and be perpetual and permanent, but it is subject to lapse and
termination as provided in this paragraph. The easement shall continue only for so
long as GRANTEE maintains a public water main in working order and condition
within the easement area. Should GRANTEE ever voluntarily cease to use the
easement area for a working public water main for a period in excess of six
consecutive months,then the easements granted herein shall be deemed null and void
(excluding cessation due to the need for replacement or repair, in which case the
easement shall not lapse or be null and void; provided however, if such replacement
or repair has not been achieved, and the public water main is not supplying water
therefrom,within one year from the cessation,then the lapse shall be deemed to have
occurred and the easements herein shall be deemed null and void), and thereafter
GRANTOR shall have the right to require GRANTEE to execute, and record in the
public records,within thirty days' of GRANTOR'S written request thereof,a release
of the easements herein granted.
The Water Easement, rights and privileges granted herein are n o n-exclusive, and
GRANTOR covenants that it will not hereafter convey any conflicting rights
within the easement area covered by the grant to any other person. By
acceptance of this Water Easement, GRANTEE acknowledges and agrees that its
rights hereunder may be subject and subordinate to other parties' existing rights as
filed of public record, but only to the extent the same are valid,subsisting, and affect
the easement area.
Nothing contained herein shall ever be construed to place upon GRANTOR any
manner of liability for injury to or death or persons or for damage to,contamination
or loss of property arising from or in any manner connected with the act, conduct,
or negligence of GRANTEE in the construction and maintenance of the public water
line.

BEING a tract of land situated in the Larkin Chivers Survey,Abstract No.300,City of Southlake,Tarrant
County,Texas,same being a portion of a Lot 1R, Block 1,Southlake Medical District,an addition to the City of
Southlake,Tarrant County,Texas as shown on the plat recorded in Document Number D213057720, Plat
Records,Tarrant County,Texas(PRTCT), and being more particularly described by metes and bounds as
