In consideration of the mutual covenants and agreements herein, and other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged by the parties,EPC hereby grants, sells and conveys, insofar as it has the right, title and interest to do so, to GRANTEE, its permitted successors and assigns,the following non-exclusive rights and easement on the Property: 3.1. The right to lay, construct, operate,inspect,maintain,repair,renew, substitute, change the size of and remove a pipe, conduit or other line and all appurtenances thereto, including but not limited to markers, valves, and corrosion control equipment, for the transportation of water, at a location shown on Page 4 of Exhibit A attached hereto. 3.2. The right of ingress and egress in, on, over, across and through the Property for any and all purposes reasonably necessary to the exercise by GRANTEE of the rights and easements herein granted. 4. GRANTEE must obtain prior written approval from EPC for all activity to be performed on or in the Property. GRANTEE shall give EPC forty-eight (48) hours prior notice, via voice-to-voice contact (voice-mail or email message is insufficient) prior to any planned non-emergency excavation or construction activity on the Property. GRANTEE shall give EPC notice, via voice-to-voice contact, for any emergency activity on the Property as soon as possible. An authorized EPC representative must be on site during use of any mechanized excavating or construction equipment on the Property. Any proposed change in grade or cover must have prior written approval from EPC. GRANTEE must contact EPC Area Manager for authorization (contact information shown below) described in this paragraph and/or this Easement. 5. EPC must approve the construction plans attached hereto as Exhibit B and any changes to and/or future plans for any water line,pipe, conduit,cable,wire, etc.,placed on the Property. The buried water line shall be installed adhering to all applicable codes and requirements governing such installations. The buried water line of GRANTEE must cross existing buried lines of EPC at an angle between 45 and 90 degrees, maintained across the entire width of the crossing, and at a separation of no less than 24" at all times. GRANTEE shall furnish a 6" wide burial warning tape, 12-18" above all new non- metallic lines and extend such tape within 25 feet of any existing buried line. Where physically possible, signs shall be installed at each edge of the right-of-way along the Property boundary to locate and identify owner,type of service and emergency phone numbers. 7. GRANTEE assumes the risk of,and,to the extent permitted by applicable law,shall protect,indemnify, defend, and save EPC harmless from and against all claims, loss, liability or damages arising from or related to death,personal injury, environmental harm, damage to property, or any other injury of any kind, resulting from GRANTEE's operations, use of the Easement and/or presence on the Property. GRANTEE is responsible for any future erosion repairs needed due to its activities, or lack of proper erosion control measures, which result in EPC having to take corrective measures to prevent degradation. If GRANTEE fails to undertake erosion repairs, EPC shall make such repairs; and GRANTEE shall promptly reimburse EPC for the costs of such repairs. 8. GRANTEE shall include the following warning on all documents containing reference to this Easement where crossing EPC's pipeline: WARNING!!! Explorer's High-Pressure Petroleum Products Pipeline. At least 48 hours before any construction within 25 feet of Explorer's pipeline, contact Explorer Pipeline Area Manager,Aaron Peltier, 918-591-3162 (office), 713-252-1997(cellular),866-780-3598 (fax). 9. EPC shall have the right to use and enjoy the Property;provided,EPC shall not unreasonably interfere with or impair,the exercise of the rights and privileges herein granted to GRANTEE. If GRANTEE's water line obstructs a future need of EPC, GRANTEE agrees to relocate its water line at its sole cost and expense. 10. GRANTEE shall provide a water main extension in the Easement on the Property that can provide an EPC service connection to the City of Southlake water system. 11. In the event GRANTEE ceases to use its water line for a period of three (3) consecutive years,the line will be presumed abandoned-in-place, this Easement will be void, and all rights granted herein shall revert to EPC. Maintaining active corrosion protection, or responding to one-calls, or providing routine/emergency maintenance constitutes "use"for the purposes of this paragraph. 12. This Easement shall be binding upon the permitted successors and assigns of the parties hereto. The rights and easements herein granted to GRANTEE shall not be assigned without the prior written consent of EPC. 13. This Easement is to be construed in accordance with the laws of the State of Texas, without giving effect to any choice of law principles that impose or attempt to impose the law(s)of another jurisdiction. 14. This Easement may be executed by the parties hereto in any number of counterparts, each of which shall be deemed an original instrument and shall have the same force and effect as if all parties hereto had in fact executed a single instrument.
