GRANTOR covenants and agrees that GRANTOR and GRANTOR'S heirs, representatives, successors and assigns shall at no time erect, place or construct, or cause to be erected, placed or constructed in, into, upon, over, across or under any easements granted herein any temporary or permanent structures, and it is further agreed that the City of Southlake shall have the right to excavate and fill upon said permanent easement, any fences, buildings or other obstructions as may now be found upon said permanent easement. It is further intended that the permanent right of way and easement herein granted to the City of Southlake shall run with the land and forever be a right in and to the land belonging to GRANTOR,and GRANTOR'S successors and assigns,and said grant is expressly excepted from any right of reversion of said premises under any prior deeds in GRANTOR'S chain of title. HOME WARRANTIES and RESIDENTIAL SERVICE CONTRACTS ALAMO TITLE COMPANY does not sell,promote or procure home warranties or residential service contracts and assumes no liability or responsibility in regard to the same.Home warranties and residential service contracts cannot be secured until after the closing is complete,then the Purchasers and Sellers must send a complete application to the warranty or residential service contract company.Further,ALAMO TITLE COMPANY makes no representation or guarantee that home warranties or residential service contracts coverage has or will be issued in connection with this transaction.The undersigned hereby accept full responsibility for obtaining any home warranty or residential service contract protection required in this transaction.The parties hereby release and agree to indemnify ALAMO TITLE COMPANY from any and all liability in connection with securing any home warranty or residential service contract required in this transaction. COMPLIANCE AGREEMENT TITLE AND CLOSING AGREEMENT Page-3- The undersigned agree to comply with all provisions of the real estate contract,Lender's closing instructions,or other documents executed in connection with the closing of this transaction. The undersigned further agree to fully cooperate,adjust,and correct any errors or omissions and to execute any and all documents needed or necessary to comply with all provisions of the above mentioned real estate contract, Lender's closing instructions or other documents executed in connection with the closing of this transaction, including the payment of attorney's fees incurred in enforcing the terms of this compliance agreement. ARBITRATION All claims,disputes or controversies between the undersigned parties and Alamo Title Company and/or its attorneys and representatives,including,but not limited to,those arising out of or relating to our services in connection with this transaction or this Agreement(except for claims against a title insurance policy issued in connection with this transaction)and Michael S.Newman,Attorney at Law,PLLC and Michael S.Newman,Attorney at Law,will be submitted to binding arbitration governed by the procedures of the Texas General Arbitration Act,Texas Civil Practice and Remedies Code,Chapter 171 for State Law claims. Federal Law claims must be submitted to the National Arbitration Forum and must be governed by the Federal Arbitration Act,9 U.S.C.§§1-16,as amended.The arbitration fees must be shared equally by the parties.The decision of the arbitrator will be final and binding upon the parties. The arbitration must take place in Fort Worth,Texas for State Law claims or the nearest National Arbitration Forum for Federal Law claims.If any party commences litigation in violation of this Agreement,such party must reimburse the other party for its cost and expense incurred in such litigation.This Agreement and transaction will be governed by Texas Law and,as applicable,Federal Law. RECEIPT OF COPIES The undersigned parties acknowledge that we have received copies of all the documents signed by us at the closing relating to the Property described above. Due to space restrictions and the cost of storage,ALAMO TITLE COMPANY and Michael S.Newman,Attorney at Law, PLLC will not retain copies of all the documents the undersigned is receiving today. It is the sole responsibility of the undersigned and is not the responsibility of ALAMO TITLE COMPANY to maintain the records delivered today. In the event the undersigned needs copies of the documents in the future,they must be obtained from third parties, such as a lender or other provider involved in this transaction. THIS DOCUMENT REPRESENTS THE FINAL AGREEMENT BETWEEN THE UNDERSIGNED AND ALAMO TITLE COMPANY and MICHAEL S.NEWMAN.ATTORNEY AT LAW.PLLC CONCERNING THE MATTERS ADDRESSED HEREIN AND MAY NOT BE CONTRADICTED BY EVIDENCE OF PRIOR,CONTEMPORANEOUS,OR SUBSEQUENT ORAL AGREEMENTS OF THE PARTIES.THERE ARE NO UNWRITTEN ORAL AGREEMENTS, WARRANTIES OR REPRESENTATIONS BETWEEN THE PARTIES. NO EXPRESS OR IMPLIED AGREEMENT, WARRANTY, REPRESENTATION OR WAIVER CONCERNING THE MATTERS ADDRESSED HEREIN MAY BE MADE BY ANY OFFICER, AGENT OR EMPLOYEE OF ALAMO TITLE COMPANY WITHOUT THE WRITTEN CONSENT OF THE BOARD OF DIRECTORS OF THE COMPANY. Newman, Attorney at Law, PLLC ("We", "Us" or"Our")may collect nonpublic personal information about you only in connection with providing you with the title and closing services that you TITLE AND CLOSING AGREEMENT Page-4- request.The type of nonpublic personal information that we collect vary according to the services that we perform for you,and may include: • Information that we receive from you(such as your name,address,income,assets,social security information,and other financial or household information); • Information about your relationship arid past history with us and others,(such as the types of legal services we provide to you,your invoice balances and payment history); • Information that we receive,with your authorization,from third parties such as accountants,financial advisors, insurance agents,banking institutions and others. How We Handle Your Information We do not disclose any public or non-public personal information about you that we have collected to anyone outside of our firm,except as authorized by you or required by law.For example,with your consent,we may disclose personal information to a third-party contractor,such as an appraiser or accountant,who is assisting us in providing services to you. In addition, we will release information to the extent required by law or regulation. We do not sell client information to anyone or disclose client information to marketing companies. How We Protect Your Information We restrict access to public and nonpublic personal information about you that we have collected to those employees in our company who need to know the information to provide services to you.All of our employees are required to maintain the confidentiality of all non public personal information about you.We maintain physical,electronic,and procedural safeguards that comply with both federal law and the rules of our industry to protect the public and nonpublic personal information that we collect about you. ATTORNEY REPRESENTATION NOTICE The Law Office of Michael S.Newman,Attorney at Law,PLLC("We","Us"or"Our")is an authorized Fee Attorney approved by Alamo Title Company,and is fully authorized to conduct this real estate closing transaction. The Law Office of Michael S.Newman,Attorney at Law,PLLC will charge an"Escrow Fee",which is normally split between the Sellers and Purchasers,unless the parties agree otherwise. The Escrow Fee is a fee,or charge,to compensate The Law Office of Michael S.Newman,Attorney at Law,PLLC for its time and services provided in connection with the handling of the real estate transaction from the date of inception of the contract to the closing date. It is estimated that the Escrow Fee will be an equal amount charged to each of the parties(Purchasers and Sellers),unless the parties have contractually agreed otherwise. Purchasers and Sellers acknowledge that this amount is an estimate,only,and that the amount could increase based upon the complexities and time and attention to details that may be required in this particular matter. The Law Office of Michael S.Newman,Attorney at Law,PLLC may prepare legal documents necessary and required as part of the transaction, including,but not limited to warranty deeds,releases,affidavits corporate authorizations,UCC searches and UCC documents. Legal fees will be apportioned to the parties requesting, authorizing or needing such legal service. Legal fees are typically paid at closing out of the closing proceeds. As with any other insurance product,The Law Office of Michael S.Newman,Attorney at Law,PLLC may receive a portion of the title policy premium in connection the issuance of the title policy herein. This amount is separate and apart from any escrow fee that is charged in connection with the closing of this real estate transaction. The Law Office of Michael S.Newman,Attorney at Law,PLLC may have prepared some or all of the legal documents involved in this transaction. These documents were prepared at the request of the lender and/or Title Company and from information supplied by them.We have not assisted or rendered legal advice to Sellers or Purchasers with respect to this transaction.If Sellers or Purchasers has any questions about the meaning of any document or their legal rights Sellers and/or Purchasers should retain personal legal counsel for advice in this transaction. RESPONSIBILITY FOR PAYMENT OR FEES: Purchasers and/or Sellers acknowledge their obligation to pay the closing fees incurred in connection with this transaction.
