Subject: Item 8A - Resolution No. 19-013, authorizing the City Manager
to enter into non-disclosure agreements on behalf of the City.
Action
Requested: Approve Resolution No. 19-013, authorizing the City Manager to
enter into non-disclosure agreements on behalf of the City.
Background
Information: The purpose of this item is to seek Council’s approval to grant
the City Manager the authority to execute non-disclosure
agreements (NDA) on behalf of the City. To date, all NDA’s
have required Council to approve and execute. The Office of
Performance Excellence conducts quarterly business reviews
(QBR) with each of our defined strategic technology partners.
NDA’s allow our strategic partners to provide the City with
contents of their current financial status, future technology
roadmaps, and other confidential information which otherwise
might not be available for our review. QBR’s help ensure that
the City of Southlake can strategically plan for any new or
upcoming changes that might either positively or negatively
affect daily operations. NDA’s also apply to projects
associated with software selections, consulting services, and
request for information/proposals related to the potential
purchases of technology, applications and/or services. This
resolution will enable the city to obtain critical information
related to our current and/or potential future strategic partners
in a timely manner resulting in the ability to facilitate a more
agile decision-making environment.
The process outlined in this Resolution is as follows:
1. All NDA’s must be reviewed and approved by the City
Attorney
2. 14 days prior to executing the non-disclosure
agreement, the City Manager will notify the City

Council of his or her intent to execute the agreement
and identify all other parties to the agreement;
3. Within 30 calendar days after all parties to a
non-disclosure agreement have executed the
agreement, the City Manager must notify the
City Council of the fully executed agreement
and identify all other parties to the agreement;
4. The City Manager may choose to submit any
NDA to the City Council for its consideration and
approval.

Considerations: There are no direct financial impacts as a result of this
resolution.
