Requested: City Council approval of the annual purchasing agreement
with Ed’s Electric Service for electrical installation and repair
services
Background
Information: The City has used Ed’s Electric for electrical installation and
repair services since 2007.
In 2008, the City of Southlake entered into an Interlocal
Purchasing Agreement with the City of Grand Prairie for the
purchase of various commodities or services. Through the
Interlocal Agreement, the City of Southlake may use Ed’s
Electric for electrical installation and repair services. A copy of
the Interlocal Agreement is attached to this memo.
In June 2016, the City of Grand Prairie released a request for
bid for citywide electrical installation and repair services. The
bid was awarded to Ed’s Electric and the two parties entered
into a one-year agreement with four (4) one-year renewal
options. To date, the contract has been renewed one time. A
copy of the 2018-2019 renewal letter from the City of Grand
Prairie is attached to this memo.
Over the last three years, the services provided by Ed's
Electric have exceeded $50,000 annually; therefore, requiring
City Council approval of the agreement.
As the City continues to expand its parks system the need for
electrical installation and repair services has also increased. In
addition, the infrastructure in some of the City’s older parks
has aged and requires more frequent repairs or replacement.

Ed’s Electric also provides installation and repair services for
the Public Works Department, and for community events.
As requests for electrical services have increased, so has
annual spending towards the Ed’s Electric agreement:
FY 2014: $ 53,700
FY 2015: $ 40,900
FY 2016: $107,800
FY 2017: $181,400
FY 2018: $ 84,120
Since service requests are exceeding $50,000 annually, staff
is requesting City Council’s approval of the annual purchasing
agreement with Ed’s Electric per the City’s purchasing
guidelines.
Financial
Consideration: Funding for the purchase of electrical installation and repair
services is provided for in the FY 2019 General Fund,
Southlake Parks Development Corporation Fund, Strategic
Initiative Fund and Utility Fund budgets.
Strategic Link: This item is linked to the City’s Strategy Map related to the
focus area of Performance Management & Service Delivery
and meets the corporate objectives to Collaborate with select
partners to implement service solutions and Invest to provide
and maintain high quality public assets.

MASTER INTERLOCAL COOPERATIVE AGREEMENT
BETWEEN THE CITY OF GRAND PRAIRIE AND THE CITY OF SOUTHLAKE
THIS AGREEMENT is made on thel5th day of July. 2008, between the City of
Southlake, State of Texas, and the City of Grand Prairie, Texas, each referred to herein as
participating governments.
WHEREAS, the respective participating governments are authorized by the Interlocal
Cooperative Act, V.T.C.A. Government Code, Chapter 791, to enter into joint contracts and
agreements for the performance of governmental functions normally associated with the
operation of government such as purchasing of necessary materials and services;
WHEREAS, it is deemed in the best interest of all participating governments that said
government do enter into a mutually satisfactory agreement for the purchase of certain materials
and services for the City of Southlake.
WHEREAS, the parties, in performing governmental functions or in paying for the
performance of governmental functions hereunder shall make that performance or those payments
from current revenues legally available to that party;
NOW, THEREFORE, the parties hereto, in consideration of the mutual covenants and
condition contained herein and pursuant to the authority permitted under the Interlocal
Cooperation Act, promise and agree as follows:
I. PURPOSE
The purpose of this Agreement is to authorize participation of the City of Southlake in
the City of Grand Prairie's goods and services contracts. Participation in this cooperative
program will be highly beneficial to the taxpayers of the City through anticipated saving to be
realized.
II. DURATION OF AGREEMENT
This Agreement shall be in effect from the date of execution until terminated by either
party to the agreement.
III. RELATIONSHIP OF PARTIES
It is agreed that the City, in receiving products and/or services specified in this
agreement, shall act as an independent purchaser and shall have control of its needs and the
manner in which they are acquired. Neither the City, its agents, employees, volunteer help or any
other person operating under this contract shall be considered and agent or employee of the City
of Grand Prairie and shall not be entitled to participate in any pension plans or other benefits that
the City of Grand Prairie provides its employees.
Nothing in this agreement shall prevent any participating government from accepting and
awarding bids for commodities subject to this agreement individually and in its own behalf:

IV. PURCHASE OF GOODS AND SERVICES
All products and services shall be procured by the City of Grand Prairie in accordance
with procedures governing competitive bids and competitive proposals.
The participating government will be able to purchase from those contracts established by
City of Grand Prairie where notice has been given in the specifications and successful bidder has
accepted terms for Cooperative Purchasing Agreement for local governments.
The participating governments hereto agree that the ordering of products and services
through this agreement shall be their individual responsibility and that the successful bidder or
bidders shall bill each participating government directly.
The participating governments agree to pay successful bidders directly for all products or
services received from current revenues available for such purchase. Each participating government
shall be liable to the successful bidder only for products and services ordered by and received by it,
and shall not, by the execution of this agreement, assume any additional liability-
The City of Grand Prairie does not wan-ant and is not responsible for the quality or delivery
of products or services from successful bidder. The participating government shall receive all
warranties provided by successful bidder for the products or services purchased..
In the event that any dispute arises between individual participating government and a
successful bidder, the same shall be handled by and between to be executed by their officer thereon
that day and the year first above written.

AMENDMENT TO PRICE AGREEMENT
CITY OF GRAND PRAIRIE

KNOW ALL MEN BY "THESE PRESENT'S:
COUNTY OF DALLAS
THIS AMENDMENT is made and entered into this date by and between the CITY OF
GRAND PRAIRIE, a Texas municipal corporation (hereinafter referred to as the "CITY", and
ED'S ELECTRIC SERVICE (hereinafter referred to as "VENDOR").
WHEREAS, the CITY and VENDOR have entered into a price agreement to provide
electrical services per bid resulting from vendor's response to RFB #16088, submitted by Ed
Schwarz; and
WHEREAS, the above referenced agreement was for an initial term of one year with the
option to renew for four additional one year periods, totaling $3,750,000.00 if all extensions
were exercised. This Contract was effective as of June 22, 2016, and was to terminate at
midnight on June 30, 2017, unless the parties mutually agreed in writing to extend the term of
the Contract through an allowable renewal option, or, unless otherwise terminated as provided in
provided in paragraph XVI of the original contract; and
WHEREAS, the first of four available renewal options was executed on April 11, 2017
and extended the term of the contract through June 30, 2018; and
NOW, THEREFORE, for and in consideration of the mutual acts and covenants set out
herein,the CITY and VENDOR agree as follows:
1. The parties mutually agree to extend the term of the contract and execute the second of
the four available renewal options and extend the contract expiration to midnight on
June 30, 2019 at which time all of the work called for under this Contract must be
completed unless the parties mutually agree in writing to extend the term of the
Contract through an additional allowable renewal option, or, unless otherwise
terminated as provided in provided in paragraph XVI of the original contract; and
2. The estimated annual amount to be paid to VENDOR under such contract shall remain
the sum of$750, 000.00,to reflect the contract renewal; and
3. This shall constitute an Authorization for extension of price agreement as set out in the
agreement between the parties, and an amendment to such contract. All of the terms
and conditions of the original contract shall remain in full force and effect, as amended
hereto, unless set out otherwise herein.
