Item 4C M E M O R A N D U M May 2, 2017 TO: Shana Yelverton, City Manager FROM: Jill Lind, Senior Marketing Manager SUBJECT: Approve Contract Spending with Cubic Creative Inc. in an amount over $50,000 but not to exceed $69,000 _______________________________________________________ Action Requested: The purpose of this item is to seek City Council approval to expand an existing contract with Cubic Creative Inc. in the amount of $19,000 in order to create an aligned brand messaging strategy, or a branded house hybrid approach, that will begin with branding and messaging for The Marq Southlake. To successfully market the facility and meet cost recovery goals, message consistency, collaboration and channel integration is key. This approach will allow us to ensure that marketing efforts and dollars are aligned with our master brand (City of Southlake) while also communicating the unique services and offerings of the Marq Southlake. Background Information: The City currently serves as the overarching master brand for Southlake with a number of subset brands such as economic development, public safety, visitor branding and our newest subset, The Marq Southlake. This structure sets us up as a “branded house hybrid” and requires a strategic approach to our message and marketing strategy. Additionally, with the projected opening of The Marq Phase 2 in 2018, driving sales to meet cost recovery goals is imperative. Rapid growth, increased competition and shifting customer demands make marketing and branding difficult to navigate. Changes represented by the emerging growth of competing destinations, the expansion of competitors and funding accountability present constantly evolving challenges and opportunities for Southlake to maintain its market share. A strategic approach to targeting, positioning and branding are critical to ensure maximum return on investment for City efforts and brand exposure. Cubic Creative has successfully created the brand messaging for visitors coming to Southlake. Under the current contract, City Council Meeting Date – May 2, 2017 Page 2 of 3 Cubic provides management of digital advertising targeted to the visitor audience as well as ad design and other creative services. With their expertise in these fields and their experience working within Southlake, they can deliver an evolved branded house hybrid strategy beyond the visitor context that will include deliverables necessary to successfully marketing The Marq Southlake and the City. Financial Considerations: Currently, the City contracts with Cubic for $50,000 in the Hotel Occupancy Tax Fund to provide digital advertising management and related creative services for our visitor engagement efforts. The total amount requested for this contract expansion is $19,000, and the proposed funding source is the FY 2017 Community Enhancement and Development Corporation Fund (CEDC) budget, which included $19,000 for marketing services. No budget increase is being requested. Rather, this item is a request to allow total spend with Cubic to exceed the City Manager’s expenditure authority, with a total spend cap at $69,000. The deliverables listed below will provide necessary design, creative and strategy tools which, after development this year; will be immediately incorporated into The Marq Southlake FY 2018 advertising and marketing initiatives. These tools will be essential in driving facility membership and rentals, and meeting overall revenue goals approved in the facility pro forma by City Council. FY 2017 deliverables:  The Marq Southlake Brand Strategy: Creation of a defined branded house marketing and communication brand strategy for the facility and its interests that is centered around generating membership and rental revenues for prospective targeted audiences.  Creative Design Refinement: Facility marketing and communication design pieces such as logo and advertisement creative work will be refined based on internal and external audience interests and needs.  Brand Book Guidelines: The brand book will serve as a guideline that will outline the facility’s brand messaging elements including: logo use, marketing applications, brand standards, voice, tone, profile and positioning. Strategic Link: This item is linked to the City’s Strategy Map within the focus area of Performance Management & Service Delivery, and meets the corporate objectives to provide attractive & unique spaces for enjoyment of personal interests (C3), enhance the sense of community by providing excellent customer service and citizen engagement opportunities (C6) and Adhere to financial management principles and budget (F1). Project Overview: The City of Southlake is requesting Proposals with the intent of awarding a contract for the purchase of goods and services contained in Appendix A – Scope of Services. B. Questions: Following are contacts for questions as identified. i. RFP Clarifications: All questions related to requirements or processes of this RFP should be submitted in writing to the Purchasing Manager identified in section 2 below. ii. Scope of Service Questions: All questions related to the scope of services should be submitted in writing to the contact person(s) noted in Appendix A – Scope of Services. iii. Replies: Responses to inquiries which directly affect an interpretation or effect a change to this RFP will be issued in writing by addendum and mailed to all parties recorded by City as having received a copy of the RFP. All such addenda issued by City prior to the submittal deadline shall be considered part of the RFP. The City shall not be bound by any reply to an inquiry unless such reply is made by such formal written addendum. iv. Acknowledgement of Addenda: The Proposer must acknowledge all addenda by signing and returning such document(s) or by initialing appropriate area of the Proposal. C. Notification of Errors or Omissions: Proposers shall promptly notify the City of any omissions, ambiguity, inconsistency or error that they may discover upon examination of this RFP. The City shall not be responsible or liable for any errors and/or misrepresentation that result from the solicitations which are inadvertently incomplete, ambiguous, inconsistent or obviously erroneous. D. Conflict of Interest Questionnaire (Form CIQ): A person or business, and their agents, who seek to contract or enter into an agreement with the City, are required by Texas Local Government Code, Chapter 176, to file a conflict of interest questionnaire (FORM CIQ) which is found in Appendix C. The form must be filed with the City Secretary no later than seven (7) days after the date the person or business begins contract discussions or negotiations with the City, or submits an application, response to a request for proposals or bids, correspondence, or other writing related to any potential agreement with the City. 2. Tax Exempt Status: City purchases are exempt from State Sales Tax and Federal Excise Tax. Do not include tax in the Proposal. City will furnish Excise Tax Exemption Certificate upon request. B. Public Inspection of Proposals: The City strictly adheres to the Texas Public Information Act (Texas Government Code Chapter 552.001, et seq.) and all other governing statutes, regulations, and laws regarding the disclosure of RFP information. Proposals are not available for public inspection until after the contract award. If the Proposer has notified the City, in writing, that the Proposal contains trade secrets or confidential information, the City will generally take reasonable steps to prevent disclosure of such information, in accordance with the Public Information Act. This is a statement of general policy only, and in no event shall the City be liable for disclosure of such information by the City in response to a request, regardless of the City’s failure to take any such reasonable steps, even if the City is negligent in failing to do so. 4. RFP Withdrawals and/or Amendments A. RFP Withdrawal: The City reserves the right to withdraw this RFP for any reason. B. RFP Amendments: The City reserves the right to amend any aspect of this RFP by formal written Addendum prior to the Proposal submittal deadline and will endeavor to notify all potential Proposers that have registered with the City, but failure to notify shall impose no obligation or liability on the City. 5. Proposal Submittal Requirements A. Submittal Packet – Required Content: If submitting hard-copies, the Proposer must submit one (1) signed original Proposal and five (5) copies. This submittal packet shall be submitted in a sealed envelope with a completely signed and executed page B-1 affixed to the outside of the envelope. If submitting electronically, the Proposer must visit www.securebidusa.com and search for “Southlake, Texas.” Once an account is created, the Proposer can submit its Proposal electronically by selecting the appropriate Bid Identification. B. Submittal Deadline: The deadline for submittal of Proposals shall be as identified on page ten _10_ of Appendix B-Proposal. It is the Proposer’s responsibility to have the Proposal correctly marked and hard-copies delivered to the City Secretary’s Office or electronically submitted by the submittal deadline. No extensions will be granted and no late proposals will be accepted. C. Proposals Received Late: Proposers are encouraged to submit their proposals as soon as possible. The time and date of receipt as recorded in the City Secretary’s Office shall be the official time of receipt. The City is not responsible for late delivery of mail or other carrier. Late Proposals will not be considered under any circumstances. D. Alterations or Withdrawals of Proposal: Any submitted Proposal may be withdrawn or a revised proposal substituted if a written notice is submitted to the City Secretary prior to the submittal deadline. Any interlineations, alteration, erasure or other amendment made before the submittal deadline, must be signed or initialed by the Proposer or the Proposer’s authorized agent, guaranteeing authenticity. Proposals cannot be altered, amended or withdrawn by the Proposer City of Southlake - RFP1402B180JL140006 - Page 4 of 19 after the submittal deadline, unless such alteration, amendment or withdrawal notice is approved in writing by the Purchasing Manager. E. Proposal Format: All Proposals must be prepared in single-space type, on standard 8-1/2” x 11” vertically oriented pages, using one side of the paper only. Pages shall be numbered at the bottom. Entries shall be typed, or legibly written in ink. The City only accepts electronic submissions via www.securebidusa.com. Any other format (via telephone, fax, email, etc.) may be rejected by the City at its discretion. F. Validity Period: Once the submittal deadline has passed, any Proposal shall constitute an irrevocable proposal to provide the commodities and/or services set forth in the Scope of Services at the price(s) shown in the Proposal on the terms set forth in the Proposal, such proposal to be irrevocable until the earlier of the expiration of ninety (90) days from the submittal deadline, or until a contract has been awarded by the City. 6. Proposal Evaluation and Contract Award A. Proposal Evaluation and Contract Award Process: An award of a contract to provide the goods or services specified herein will be made using competitive sealed proposals, in accordance with Chapter 252 of the Texas Local Government Code and with the City’s purchasing policy. The City will evaluate all proposals to determine which proposers are reasonably qualified for the award of the contract, applying the anticipated evaluation factors and emphasis to be placed on each factor as identified in the Scope of Services. The City may, at its option, conduct discussions with or accept proposal revisions from any reasonably qualified proposer. The City reserves the right to determine which proposal will be most advantageous to the City. B. Completeness: If the Proposal is incomplete or otherwise fails to conform to the requirements of the RFP, City alone will determine whether the variance is so significant as to render the Proposal non-responsive, or whether the variance may be cured by the Proposer or waived by the City, such that the Proposal may be considered for award. C. Ambiguity: Any ambiguity in the Proposal as a result of omission, error, lack of clarity or non- compliance by the Proposer with specifications, instructions and all conditions shall be construed in the favor of the City. In the event of a conflict between these standard RFP requirements and details provided in Appendix A – Scope of Services or Appendix B – Proposal, the Appendices shall prevail. D. Unit Prices and Extensions: If unit prices and their extensions do not coincide, the City may accept the price most beneficial to the City, and the Proposer will be bound thereby. E. Additional Information: City may request any other information necessary to determine Proposer’s ability to meet the minimum standards required by this RFP. F. Partial Contract Award: City reserves the right to award one contract for some or all the requirements proposed or award multiple contracts for various portions of the requirements to different Proposers based on the unit prices proposed in response to this request, or to reject any and all Proposals and re-solicit for Proposals, as deemed to be in the best interest of City. G. Terminate for Cause: The occurrence of any one or more of the following events will justify termination of the contract by the City of Southlake for cause: i) The successful proposer fails to perform in accordance with the provisions of these specifications; or City of Southlake - RFP1402B180JL140006 - Page 5 of 19 ii) The successful proposer violates any of the provisions of these specifications; or iii) The successful proposer disregards laws or regulations of any public body having jurisdiction; or iv) The successful proposer transfers, assigns, or conveys any or all of its obligations or duties under the contract to another without written consent of the City. v) If one or more of the events identified in Subparagraphs G i) through iv) occurs, the City of Southlake may, terminate the contract by giving the successful proposer seven (7) days written notice. In such case, the successful proposer shall only be entitled to receive payment for goods and services provided before the effective date of termination. The successful proposer shall not receive any payment on account of loss of anticipated profits or revenue or other economic loss resulting from such termination. vi) When the contract has been so terminated by the City of Southlake, such termination shall not affect any rights or remedies of the City then existing or which may thereafter accrue. H. Terminate for Convenience: This contract may be cancelled or terminated at any time by giving vendor thirty (30) days written notice. Vendor may be entitled to payment for services actually performed; to the extent said services are satisfactory. Scope of Services Project Overview: The City of Southlake desires to hire a highly respected, successful brand development firm which specializes in branding cities and regions, to help define the city's strengths and assets, and develop an effective, professional brand, thereby giving the city a stronger and more viable image and unified message as it markets to attract tourists, events and meetings, business investment, workforce and new City of Southlake - RFP1402B180JL140006 - Page 7 of 19 residents. It is important the brand promise and subsequent materials work for all of these marketing audiences, as well as to improve the overall image and perception of Southlake. The City seeks a firm which has demonstrated success in developing a destination brand identity for other municipalities. Expected services include: Conducting community research and analyzing results, strategic planning and creative development. Identifying a strong destination brand is the goal of the project. About Southlake: In 1956, the City of Southlake consisted of 1.62 square miles of land. On April 4, 1987, Southlake citizens adopted a home-rule charter creating the current council-manager form of government. The City of Southlake currently consists of approximately 22 square miles of land and has just over 27,000 residents. Southlake is located in North Central Texas, situated 23 miles northeast of Fort Worth and 25 miles northwest of Dallas. Dallas-Fort Worth International Airport is only a few short miles to the southeast, and Lake Grapevine borders the city to the north. State Highway 114 runs diagonally through the middle of the city, heading east through Las Colinas and into downtown Dallas and west toward the Alliance Airport corridor. Southlake experienced rapid population growth between 1990 and 2000 with a 205 percent increase in population during that period, among the highest in Texas. Although still robust, growth has slowed in recent years. The ultimate build-out population, estimated at 35,000 could be reached by 2030. Southlake has become a premier community in the Dallas-Fort Worth metropolitan area. The City’s dedication to quality development, sound fiscal policies and effective strategic management has made it an exemplary community. These attributes have led to the development of several high quality facilities within the City such as Town Hall, Department of Public Safety (DPS) Headquarters and more recently, the DPS North Training Facility. In order to continue this level of quality and development it is imperative to have a plan in place to guide the City and meet the needs and demands of its residents. As a result, today Southlake is known around the country as an outstanding place to live and raise a family. Southlake has consistently been ranked as one of the best places to live by D Magazine and Fort Worth Magazine. The Dallas Business Journal reported on a 2012 quality of life study by On Numbers in which Southlake was listed as the top DFW city and third among 1,145 cities throughout the southern United States. In 2013, the Dallas Morning News reported Southlake as one of the Best Neighborhoods in DFW, with an overall rating of five stars. Project Background: In 2009, the Southlake City Council approved an Economic Development & Tourism Strategic Plan creating a roadmap for their Economic Development & Tourism vision. The Tourism recommendations support the overall mission of the division which is to enhance resident quality of life and business vitality through the promotion of the tourism, convention and hotel industry in the City. The implementation of the Tourism recommendations is intended to generate overnight visitation to Southlake by attracting meetings, events and leisure travelers to the City. Goal T3 of the EDT Plan specifically calls for development of a focused message to ensure a successful destination image. The City of Southlake currently features one hotel with more than 248 rooms and more than 19,000+ square feet of flexible meeting space. The 130–acre Southlake Town Square is home to the Hilton Southlake Hotel and Southlake Town Hall as well as numerous other shops and dining options. City of Southlake - RFP1402B180JL140006 - Page 8 of 19 Scope of Services: This brand development project will address recommendations in the Southlake 2030 Economic Development & Tourism Master Plan to develop and promote a focused destination message. Since this brand will be the City's promise to the outside world, it needs to be professionally developed. Development should be based on intensive research which includes input from both those inside and outside of the community so current perceptions of Southlake are understood and addressed with any proposed strategy. Firm will work with the City to develop the brand and to recommend implementation of the brand in future marketing efforts. At this time the City does not have a fixed budget for these services but is requesting the Firm submit a cafeteria style implementation cost with their plan to help create the overall pricing plan. The action plan should consist of three components; Branding, Development and Marketing. Branding The selected firm will conduct the needed research and interviews to create, present and execute ideas/concepts for the community of Southlake’s brand identity and subsequent template materials including guidelines for long-term use. Development The firm will work with the City and its partners to facilitate the brand development process to insure it is inclusive and representative of the various public and private organizations which we hope will use the brand in future marketing efforts. Marketing Additionally, existing and upcoming tourism-related products must be considered in the development of the brand and messaging to reflect the tourism climate of the City. The branding strategy will be applied to future marketing plan elements including:  Websites  Social Media  Advertising  Online  Consumer  Travel Trade  Meetings / Conventions  Billboard  E-Newsletters  Tradeshow Booth  Meeting / Convention Bid Packets  Promotional Items  Official Publications: Visitor Guide, Meeting Planner Guide, Tour Planner, Sports Facility Guide, rack brochures, etc.  Other items to be determined Required deliverables include: 1) Brand action plan which addresses the required three components (branding, development and marketing) including priorities, timeline and implementation strategy. REQUIRED PROPOSAL INFORMATION. IN ORDER FOR A PROPOSAL TO BE CONSIDERED COMPLETE, AND TO BE EVALUATED FOR A CONTRACT AWARD BY THE CITY, PROPOSER MUST SUBMIT ALL OF THE FOLLOWING INFORMATION: 1. Proposed Products and/or Services A. Product or Service Description: Proposers should utilize this section to describe the technical aspects, capabilities, features and options of the product and/or service proposed in accordance with the required Scope of Services as identified in Appendix A. Promotional literature, brochures, or other technical information may be used. B. Additional Hardware Descriptions: Proposers should also include in this section a detailed description of what additional hardware and/or software, if any, would be required by the City in order to fully utilize the goods and/or services proposed. C. Guarantees and Warranties: Each Proposer shall submit a complete copy of any warranties or guarantees provided by the manufacturer or Proposer with the Proposal submitted. D. Project Schedule/Delivery Date: Proposer must provide a project schedule noting all projected completion dates for segments of the Project, from start-up to completion, and all delivery dates for goods covered by the RFP. The Proposal must show the number of days required to deliver and install the product or equipment after the receipt of the City’s Purchase Order. 2. Cost of Proposed Products and/or Services A. Pricing: Pricing shall reflect the full Scope of Services defined herein, inclusive of all associated cost for delivery, labor, insurance, taxes, overhead, and profit. 3. Term of Contract and Option to Extend Any contract resulting from this RFP shall be effective for twelve months from date of award. The City anticipates that contract shall be renewed pursuant to the availability of funds and at the discretion of the City. The following clauses shall be included in the contract: A. Option Clause: It is agreed that City will have the option to extend the contract for up to four (4) additional years, in one-year intervals. To exercise this option, the City shall serve notice 30 days prior to contract termination or to the end of any one-year extension. The Option to Extend will not be considered if funding is unavailable or if the contractor’s past performance is not within the industry standard. B. Escalation Clause: Should market conditions prevail which dictate an increase, the successful contractor may submit documentation requesting permission to increase pricing no later than 30 days after receiving notice from the City of its intent to extend the agreement. Escalation may only occur at the time of renewal and only upon securing the approval of the City in writing. Requests for price adjustments must be solely for the purpose of accommodating an increase in the contractor’s cost, not profits. Vendors shall show in this quote their anticipated percent of escalation if/when the option to extend is exercised. The percent quoted will be a maximum. In addition, the percentage proposed will be a factor in determining the best value to the City. It is the average price over the period of the contract that will be the price factor considered in the evaluation of this quote. Price Increases Upon Extension: If approved by the City, the Contractor shall modify the rates charged by the Contractor to reflect any changes shown in the comparative statement delivered to the City. The maximum increase allowed under this provision shall be four percent (4%) per year. The City shall have authority, in its reasonable discretion, to determine the validity of any change in Contractor’s rates. City cannot exercise the Option to Extend with any price increases unless the Vendor completes the section of the Quote requesting anticipated percentage of annual escalation. Miscellaneous A. Independent Contractor: Proposer agrees that Proposer and Proposer’s employees and agents have no employer-employee relationship with City. Proposer agrees that if Proposer is selected and awarded a contract, City shall not be responsible for the Federal Insurance Contribution Act (FICA) payments, Federal or State unemployment taxes, income tax withholding, Workers Compensation Insurance payments, or any other insurance payments, nor will City furnish any medical or retirement benefits or any paid vacation or sick leave. B. Assignments: The rights and duties awarded the successful Proposer shall not be assigned to another without the written consent of the Purchasing Manager. Liens: Proposer shall indemnify and save harmless the City against any and all liens and encumbrances for all labor, goods, and services which may be provided to the City by Proposer or Proposer’s vendor(s), and if the City requests, a proper release of all liens or satisfactory evidence of freedom from liens shall be delivered to the City. Gratuities / Bribes: Proposer certifies that no bribes in the form of entertainment, gifts, or otherwise, were offered or given by the successful Proposer, or its agent or representative, to any City officer, employee or elected representative, with respect to this RFP or any contract with the City, and that if any such bribe is found to have been made this shall be grounds for voiding of the contract E. Financial Participation: Proposer certifies that it has not received compensation from the City to participate in preparing the specifications or RFP on which the Proposal is based and acknowledges that this contract may be terminated and/or payment withheld if this certification is inaccurate. Project Overview: The City of Southlake is requesting Proposals with the intent of awarding a contract for the purchase of goods and services contained in Appendix A – Scope of Services. B. Tax Exempt Status: City purchases are exempt from State Sales Tax and Federal Excise Tax. Do not include tax in the Proposal. City will furnish Excise Tax Exemption Certificate upon request. B. Public Inspection of Proposals: The City strictly adheres to the Texas Public Information Act (Texas Government Code Chapter 552.001, et seq.) and all other governing statutes, regulations, and laws regarding the disclosure of RFP information. RFP Withdrawals and/or Amendments A. RFP Withdrawal: The City reserves the right to withdraw this RFP for any reason. B. RFP Amendments: The City reserves the right to amend any aspect of this RFP by formal written Addendum prior to the Proposal submittal deadline and will endeavor to notify all potential Proposers that have registered with the City, but failure to notify shall impose no obligation or liability on the City. 5. Proposal Submittal Requirements A. Submittal Packet – Required Content: All proposals must be submitted electronically. The Proposer must visit www.securebidusa.com and register. Once registered for this complimentary service, the Proposer may submit Proposal Documents electronically by selecting the appropriate Proposal Identification. B. Submittal Deadline: The deadline for submittal of Proposals shall be as identified on page _10_ (ten) of Appendix B-Proposal. It is the Proposer’s responsibility to have the Proposal Documents correctly electronically submitted by the submittal deadline. No extensions will be granted and no late submissions will be accepted. C. Proposals Received Late: Proposers are encouraged to submit their proposals as soon as possible. The time and date of receipt as recorded within the SecureBid electronic system shall be the official time of receipt. The City is not responsible for late submission regardless of the reason. Late Proposals will not be considered under any circumstances. D. Alterations or Withdrawals of Proposal Document: Any submitted Proposal may be withdrawn or a revised proposal substituted prior to the submittal deadline. Proposal Documents cannot be altered, amended or withdrawn by the Proposer after the submittal deadline, unless such alteration, amendment or withdrawal notice is approved in writing by the Purchasing Manager. Proposal Document Format: All Proposal Documents must be prepared in single-space type, on standard 8-1/2” x 11” vertically oriented pages, numbered at the bottom. The City only accepts electronic submissions via www.securebidusa.com. Any other format (via telephone, fax, email, etc.) may be rejected by the City at its discretion. F. Validity Period: Once the submittal deadline has passed, any Proposal Document shall constitute an irrevocable bid to provide the commodities and/or services set forth in the Scope of Services at the price(s) shown in the Proposal Document. Such proposal shall be irrevocable until the earlier of the expiration of ninety (90) days from the submittal deadline, or until a contract has been awarded by the City. 6. Proposal Evaluation and Contract Award A. Proposal Evaluation and Contract Award Process: An award of a contract to provide the goods or services specified herein will be made using competitive sealed proposals, in accordance with Chapter 252 of the Texas Local Government Code and with the City’s purchasing policy. The City will evaluate all proposals to determine which proposers are reasonably qualified for the award of the contract, applying the anticipated evaluation factors and emphasis to be placed on each factor as identified in the Scope of Services. The City may, at its option, conduct discussions with or accept proposal revisions from any reasonably qualified proposer. The City reserves the right to determine which proposal will be most advantageous to the City. B. Completeness: If the Proposal is incomplete or otherwise fails to conform to the requirements of the RFP, City alone will determine whether the variance is so significant as to render the Proposal non-responsive, or whether the variance may be cured by the Proposer or waived by the City, such that the Proposal may be considered for award. C. Ambiguity: Any ambiguity in the Proposal as a result of omission, error, lack of clarity or non- compliance by the Proposer with specifications, instructions and all conditions shall be construed in the favor of the City. In the event of a conflict between these standard RFP requirements and details provided in Appendix A – Scope of Services or Appendix B – Proposal, the Appendices shall prevail. D. Unit Prices and Extensions: If unit prices and their extensions do not coincide, the City may accept the price most beneficial to the City, and the Proposer will be bound thereby. E. Additional Information: City may request any other information necessary to determine Proposer’s ability to meet the minimum standards required by this RFP. F. Partial Contract Award: City reserves the right to award one contract for some or all the requirements proposed or award multiple contracts for various portions of the requirements to different Proposers based on the unit prices proposed in response to this request, or to reject any and all Proposals and re-solicit for Proposals, as deemed to be in the best interest of City. G. Terminate for Cause: The occurrence of any one or more of the following events will justify termination of the contract by the City of Southlake for cause: i) The successful proposer fails to perform in accordance with the provisions of these specifications; or ii) The successful proposer violates any of the provisions of these specifications; or iii) The successful proposer disregards laws or regulations of any public body having jurisdiction; or City of Southlake - RFP1506B180JL150015 - Page 5 of 19 iv) The successful proposer transfers, assigns, or conveys any or all of its obligations or duties under the contract to another without written consent of the City. v) If one or more of the events identified in Subparagraphs G i) through iv) occurs, the City of Southlake may, terminate the contract by giving the successful proposer seven (7) days written notice. In such case, the successful proposer shall only be entitled to receive payment for goods and services provided before the effective date of termination. The successful proposer shall not receive any payment on account of loss of anticipated profits or revenue or other economic loss resulting from such termination. vi) When the contract has been so terminated by the City of Southlake, such termination shall not affect any rights or remedies of the City then existing or which may thereafter accrue. Scope of Services Purpose The purpose and intent of this request for proposal is to enter into an annual contract with a qualified full service advertising agency that can furnish counsel, carry-out placement of a web advertising campaign to support the tourism mission of the City of Southlake. Services will include, but are not limited to, developing an advertising strategy primarily for, but not limited to, internet advertising. Typical project services will include consultation, research, strategy, placement, conversion studies and project management. The City reserves the right of final approval of any media placement. The City anticipates spending up to $50,000 per fiscal year for advertising services. City of Southlake - RFP1506B180JL150015 - Page 7 of 19 As the primary advertising resource for the City of Southlake’s Tourism efforts, the targeted responsibilities of the Economic Development & Tourism Department and its advertising efforts are categorized according to the following:  General Consumers primarily from Texas, Oklahoma, Arkansas and Louisiana  Meeting professionals – association, corporate, government and SMERF (Social, Military, Educational, Religious and Fraternal) markets  Sports groups, amateur athletic organizations  Travel trade, including tour operators, wholesalers, travel agents, etc.  Consumer, trade, lifestyle and sports media  Local media and consumer awareness  City of Southlake/resident awareness Services Required: The agency will need to thoroughly understand the travel and tourism industry and all channels of media in order to develop a comprehensive media plan for the leisure, convention and sports markets to generate interest in the destination, ultimately resulting in more hotel bookings. The development of consumer promotions and experience in interactive, social and mobile applications is critical.
