Background
Information: Public Works is recommending that the City abandon a portion of a
permanent waterline easement. The permanent waterline
easement to be abandoned is recorded in Volume 12954, Page
233 of the Deed Records of Tarrant County. The easement was
established for a waterline to serve the Sabre Campus. The
easement was granted to the City in 1997 by separate instrument.
A portion of the easement needs to be abandoned as it will be
located under the building foundation for the new TD Ameritrade.
The water line has been rerouted by TD Ameritrade. A portion of
the permanent waterline easement must be abandoned so that
there are no clouds on title during future property transactions.
This item was approved at 1st reading on the August 2, 2016
agenda.
Financial
Considerations: The filing fee for recording the Quit Claim Deed in Tarrant County
records will be the only cost associated with the abandonment of
the easement.
Strategic Link: The easement abandonment links to the City's strategy map
relative to Corporate Focus Area of Quality Development.

THAT, INTERNATIONAL BUSINESSV4QCOES CORPORATION, a New York
corporation and 300 CONVENT STREET CORP01MON, a Texas Corporation (collectively
referred to herein as "Grantor"), for and sideration of the sum of TEN AND N01100
DOLLARS ($10.00) and other good and valu eration to Grantor in hand paid by the CITY
OF SOUTHLAKE, a municipal corporate in the County of Tarrant, State of Texas
("Grantee"), the receipt of which to GnuW i acknowledged, has granted and conveyed, and
by these presents does grant and convey, ee, an easement for the purpose of constructing,
inspecting, repairing, maintaining, rep! ng, ging, removing and operating a subsurface line to
transport water, withal{ incide q and. appurtenances (the "Waterline") in, into, upon,
over, across and under a certain ermanet waterline easement (the "Permanent Waterline
Easement"), situated in Tatra xas and more particularly described in Exhibit A, which
is attached hereto and made a er f; together with the right of reasonable ingress and egress
across a 30' wide temporary n easement, which shag be located wholly within the future
right of way of Kirkwood vd. which shatl be parallel to the 15' wide Permanent Waterline
Easement (the "Tempor ction Easement!), situated in Tarrant County, Texas, as shown
in Exhibit B, which is art eto and made a part hereof (the Permanent Water Line Easement
and Temporary Ct Easement are collectively referred herein as the "Easement").
The FqWent is ecuted by Grantor and accepted by Grantee, subject to the following
stipulations, termftbds0ditions, to -wit:
I. Grantee agrees that the Waterline shag be installed and maintained in accordance with
its own zoning codes and permits for the City of Southlake, State of Texas, and with all applicable
state and federal laws, codes and pertnits, including Federal wetland laws.
2. Grantor reserves itself, its successors and assigns, all rights in and to the above
described tract of land and the right to use and enjoy the same for any purpose not inconsistent with
the purpose for which this Easement is granted, including, without limitation, the right of Grantor to
construct new buildings or structures, or renovate, remove or replace existing buildings or structures,
as well as the right to plant, remove or install landscaping, plants, grass, signs, fences, posts, lights,
asphalt, concrete, tar or similar material so as to use the surface area of the Easement for streets,
curbs and driveways, subject to the rights herein granted.
3. Grantee shall use all reasonable efforts to not interfere with Grantor, its tenants,
invitees, successors or assigns, during periods of constructing, inspecting, operating, repairing,
maintaining, replacing, changing, removing and operating the Waterline..

Tarrant County Real Property Records and/or the Denton County Real Property Records or which
an on -the -ground inspection would reveal, and (d) any encroachments, protrusions, taxes for 1997
and subsequent years, and/or zoning, platting or other governmental requirements that affect the
land.

AN ORDINANCE VACATING AND ABANDONING A PORTION OF
A PERMANENT WATERLINE EASEMENT PREVIOUSLY
GRANTED TO THE CITY BY INTERNATIONAL BUSINESS
MACHINES CORPORATION AND 300 CONVENT STREET
CORPORATION, WHICH EASEMENT IS FILED AS INSTRUMENT
NO. D197198042 AND RECORDED IN THE DEED RECORDS OF
TARRANT COUNTY; DECLARING THAT SUCH EASEMENT IS
UNNECESSARY FOR USE BY THE PUBLIC; AUTHORIZING THE
MAYOR TO EXECUTE A QUITCLAIM DEED RELEASING AND
ASSIGNING THIS EASEMENT TO THE OWNERS OF THE FEE
ESTATE; PROVIDING A SEVERABILTY CLAUSE; AND
PROVIDING AN EFFECTIVE DATE.
WHEREAS, the City of Southlake, Texas ("the City") is a home rule city acting
under its power adopted by the electorate pursuant to Article XI, Section S of the Texas
Constitution and Chapter 9 of the Local Government Code; and
WHEREAS, on or about October 24, 1997, International Business Machines
Corporation and 300 Convent Street Corporation, granted a permanent waterline easement
("the easement") to the City, which easement is filed of record as Instrument No.
D 197198042 and recorded at The Deed Records Of Tarrant County, Texas; and
WHEREAS, the City Council of the City of Southlake, after careful study and
consideration, has determined that a portion of the easement is not being used by, nor
useful or convenient to the public in general, and that the public would be better served and
benefited by its vacation and abandonment; and
WHEREAS, in order to remove any question as to the continued interest in
the easement, the City desires to execute a quitclaim deed releasing and assigning
all title and control in said easement to the owners of the fee estate on which the easement
is located.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF
THE CITY OF SOUTHLAKE, TEXAS:
SECTION 1
The City Council finds that a portion of the permanent waterline easement
g r a n t e d t o t h e C i t y on or about October 24, 1997, by International Business Machines
Corporation and 300 Convent Street Corporation, which easement is filed of record as
Instrument No. D197198042 and recorded in the Deed Records of Tarrant County, Texas,
and which is attached hereto as Exhibit A, is not being used by, nor useful or convenient to
the public in general and that the public would be better served and benefited by the
vacation and abandon of a portion of the easement.

SECTION 2
The Mayor of the City of Southlake, Texas, is hereby authorized and empowered
to execute a quitclaim deed to the above-described easement to the current owner of the
fee estate on which the easement is located, specifically, TD Ameritrade Services
Company.
SECTION 3
After the quitclaim deed is executed, the City Secretary is authorized and instructed
to file it in the deed records of Tarrant County, Texas.
SECTION 4
It is hereby declared to be the intention of the City Council that the phrases, clauses,
sentences, paragraphs and sections of this ordinance are severable, and if any phrase,
clause, sentence, paragraph or section of this ordinance shall be declared unconstitutional
by the valid judgment or decree of any court of competent jurisdiction, such
unconstitutionality shall not affect any of the remaining phrases, clauses, sentences,
paragraphs and sections of this ordinance, since the same would have been enacted by the
City Council without the incorporation in this ordinance of any such unconstitutional
phrase, clause, sentence, paragraph or section.
SECTION 5
This Ordinance shall be in full force and effect from and its passage, and it so
ordained.

careful study and consideration, has determined that a portion of an existing permanent waterline
easement granted to the City by International Business Machines Corporation and 300 Convent
Street Corporation, filed with the County Clerk of Tarrant County, Texas as Document No.
D197198042, and recorded in the deed records of Tarrant County, Texas, is not being used by, nor
useful or convenient to the public in general, and therefore constitutes a public charge without a
corresponding public benefit, and the public would be better served and benefited by its vacation
and abandonment.
Therefore, for and in consideration of the above findings and for other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the City of
Southlake, Grantor, does hereby assign and convey and forever quitclaim unto the current owner
of the fee estate on which such easement is located, specifically, TD Ameritrade Services
Company, Grantee, and its successors or assigns, all of the City's right title, and interest, if any,
in and to the real property described in the attached Exhibit A and shown on the attached Exhibit
B.
In accordance with governing law, the undersigned has been authorized to execute this
conveyance by Ordinance No. 1160, passed by the City Council of the City of Southlake on
, a copy of which ordinance is attached hereto as Exhibit C and
incorporated herein by reference.
This deed shall convey any right, title and interest, if any, owned by Grantor in and to the
above described property unto the said Grantee, so that Grantee, and its heirs and assigns, shall
have and hold such property conveyed, if any, forever, and so that neither Grantor nor Grantor's
successors or assigns shall have, claim or demand any right or title to the aforesaid property,
premises or appurtenances or any part thereof.
