Subject: Item 4J: Consent agenda item to approve the terms and
conditions of a program to promote economic development
and stimulate business and commercial activity in the City;
authorizing the Mayor to execute a Community Services
Agreement with The Southlake Chamber of Commerce; and
providing an effective date.
Action
Requested: Approve Consent Agenda item as noted above.
Background
Information: The City of Southlake has had Community Services
Agreements with the Southlake Chamber of Commerce
since 1999 that have outlined cooperative economic
development efforts. The agreements have met the
Southlake 2030 Plan and Economic Development Master
Plan goal ED3.1, of continuing to build strong partnerships
with the Chamber by sharing tasks and engaging more of
the community in those efforts.
This year's FY 2016 agenda item proposes a renewal of the
expanded agreement approved in FY 2015 with only slight
modifications to ensure meeting target goals and the
addition of one work item. The new work item includes the
Chamber's participation in the newly created, Southlake Kids
Interested in Leadership (SKIL). The Chamber will also
provide a scholarship to one student as part of the program.
The FY 2016 proposal specifies a scope of service for each
work item to be completed; the 2030 EDT Master Plan
references and recommendations; the Chamber's Strategic
Plan link; Key Accountability Indictors; and City/Chamber of
Commerce Service Provisions.
The FY 2015 agreement represented the first full fiscal year
for the Director of Economic Development and Tourism to
work with the Chamber of Commerce on joint projects. Many
of the items added to the FY 2015 agreement materialized
as an experiment in program development, implementation
methodology and scheduling between City and Chamber
staff. Items such as the Business Retention & Expansion
Survey still to be completed for FY 2015 will again be
completed in FY 2016, but initiated earlier in the program
cycle.
The Scope of Service items for FY 2015 are shown below
with performance outcomes highlighted in the Key
Accountability Indicator column. The items that were new for
FY 2015 are also indicated under the appropriate services.
The FY 2016 project performance targets and additional
details for enhancements are included in the attached
appendix. Those outcomes will be evaluated at the end of
FY 2016.

no substantive changes but does propose several

Financial
Considerations: The proposed agreement includes funding for the Southlake
Chamber of Commerce in the amount of $15,000 which is
consistent with funding amounts in previous agreements.
With the adoption of the FY 2016 budget, City Council
approved $7,500 in the General Fund Economic
Development departmental budget and $7,500 from the
Hotel Occupancy Tax Fund.
Separately from this agreement, up to another $10,000 is
earmarked through the Community Event Participation
Policy (CEPP) and an additional $7,500 from Hotel
Occupancy Tax funds specifically to support the Oktoberfest
event and marketing efforts.
Strategic Link: The item links to the city's strategy map relative to focus
areas of partnerships and quality development. The specific
corporate objectives that are met by this cooperative
agreement are: to collaborate with select partners to
implement service solutions, attract and keep businesses to
drive a dynamic and sustainable economic environment; and
enhance the sense of community by providing excellent
customer service and citizen (business) engagement
opportunities. The critical business outcome is to optimize
resources through collaboration and partnerships to reduce
costs and add service value.

AND
SOUTHLAKE CHAMBER OF COMMERCE

COUNTY OF TARRANT §
THIS AGREEMENT is entered into by and between the City of Southlake,
Texas, a home rule municipal corporation located in Tarrant County and Denton
County, Texas, acting by and through its duly authorized Mayor (hereinafter
referred to as "City"), and the Southlake Chamber of Commerce, a non-profit
corporation of Texas, acting by and through its duly authorized President
(hereinafter referred to as "Chamber"), an organization exempt from taxation
under Section 501(c)(6) of the Internal Revenue Code.
WHEREAS, the mission of Chamber is to be the preeminent resource to
help businesses in Southlake succeed;
WHEREAS, City and Chamber desire to enter into an Agreement whereby
Chamber and City collaborate to help fulfill the respective missions of each
organization;
WHEREAS, City and Chamber desire to collaborate in order to attract and
keep top -tier businesses to drive a dynamic and sustainable economic
environment; and
WHEREAS, City has performed a study that indicates that over 50% of
the visitors to the Oktoberfest held in City come from outside of City.
NOW, THEREFORE, City and Chamber, in consideration of the mutual
undertakings set forth in this Agreement, do hereby covenant and agree as
follows..
SECTION 1
SCOPE OF SERVICES & JOINT PROJECTS
Chamber shall provide certain services and shall cooperate in good faith to
complete the joint City and Chamber projects as outlined in Section A of the
attached Appendix, which is incorporated into this Agreement for all purposes.
SECTION 2

SECTION 3
GOVERNANCE
Chamber shall be solely governed by its Board of Directors, who shall meet in
accordance with Chamber's bylaws and articles of incorporation. The time, date,
place and agenda of the Board of Directors' meetings shall be the responsibility
of Chamber's Board of Directors.
SECTION 4
CONSIDERATION
In recognition that City elected to engage Chamber to provide services as
outlined in the attached Appendix, rather than provide such services directly, City
agrees to pay a sum not to exceed USD $15,000 according to the following
itemization:
• $7,500 of Economic Development & Tourism budget funds as a one-time
annual payment to the Chamber of Commerce, to be paid no later than
November 1, 2016.
• $7,500 of Hotel Occupancy Tax Funds to support Tourism efforts,
publications, City Directory and support of visitor amenities. Such payment
shall be made no later than November 1, 2016.
SECTION 5
REPORTING
A Chamber representative will meet monthly with the City's Director of Economic
Development & Tourism regarding the performance measures outlined in the
attached Appendix and evaluate the progress toward target measures.
Adjustments to implementation to achieve the measures may only be made at
the discretion of the Director of Economic Development.
SECTION 6
INSURANCE AND INDEMNIFICATION
CHAMBER AGREES TO INDEMNIFY, HOLD HARMLESS AND DEFEND
CITY, ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, FROM AND
AGAINST ANY AND ALL CLAIMS OR SUITS FOR PROPERTY DAMAGE OR
LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH, TO ANY AND ALL
PERSONS, OF WHATSOEVER KIND OR CHARACTER, WHETHER REAL OR
ASSERTED, (INCLUDING, WITHOUT LIMITATION, REASONABLE FEES AND
EXPENSES OF ATTORNEYS, EXPERT WITNESSES AND OTHER
CONSULTANTS), ARISING OUT OF OR IN CONNECTION WITH, DIRECTLY
OR INDIRECTLY, THE NEGLIGENT ACT OR OMISSION OF CHAMBER, ITS
OFFICERS, EMPLOYEES AND AGENTS, IN THE PERFORMANCE OF
SERVICES UNDER THIS AGREEMENT. CHAMBER SHALL NOT BE
REQUIRED TO INDEMNIFY CITY, ITS OFFICERS, AGENTS, AND
EMPLOYEES FOR ANY DAMAGES OR LIABILITY FOUND BY A COURT TO
HAVE ARISEN FROM THE NEGLIGENT ACT OR OMISSION OF CITY, ITS
OFFICERS, AGENTS OR EMPLOYEES, EXCEPT TO THE EXTENT OF ANY
APPLICABLE INSURANCE COVERAGES.
SECTION 7
INDEPENDENT CONTRACTOR
In performing the services required by this Agreement, Chamber is acting as an
independent contractor, and shall not be deemed an employee, agent or partner
of City. City shall have no power to direct or supervise Chamber's activities in
carrying out its responsibilities under this Agreement. Neither party shall have the
authority to make binding representations or agreements on behalf of the other.
SECTION 8
TERM OF AGREEMENT AND REVIEW OF PERFORMANCE
A. The term of this Agreement shall be for a period beginning October 1,
2015 and ending September 30, 2016.
B. At the end of the term, City will undertake a review of the Chamber's
performance based upon performance and quality measures outlined in
the attached Appendix.
C. Notwithstanding any provision herein to the contrary, either party may
terminate this Agreement upon 30 days written notice to the other. Upon
termination, Chamber shall return to City any unexpended funds paid
pursuant to this Agreement.
SECTION 9
NO WAIVER OF GOVERNMENTAL IMMUNITY
Notwithstanding any provision of this Agreement to the contrary, nothing
contained in this Agreement shall be construed to limit or waive any
governmental or sovereign immunity of City, or any immunity applicable to its
officers, agents, servants or employees. To the extent there may be a waiver of
immunity under state law, the remedies available to enforce this Agreement are
limited to mandamus, specific performance or injunctive relief. All other
remedies, including suits for damages and recovery of attorney's fees, are
specifically waived by both parties.
SECTION 10
CITY OF SOUTHLAKE — STRATEGIC LINK
City has adopted a Strategic Management System to improve the organization's
ability to define and execute its strategy. Effective strategic management
systems provide the mechanism to link the mission, strategy, department goals,
citizen perceptions, and service delivery efforts in a continuous feedback loop.
Chamber, its mission and the services outlined in the attached Appendix, Section
A link to City's strategy through the following strategic objectives:

SECTION 11

officials, staff, and employees of City conduct themselves in pursuit of the
mission and vision. All business conducted with City shall adhere to City's

While perceived failure to adhere to, comply with, or take action consistent with
these values should be reported to an appropriate City official, staff member, or
employee, such action or failure to act shall not be considered a breach of this
Agreement.
SECTION 12
MISCELLANEOUS
This Agreement sets forth all the agreements between the parties and no
modification shall be effective unless reduced to writing and signed by both
parties to this Agreement.
This document may be executed in duplicate originals.
