Baker, Sr. Director of Planning and Development Services SUBJECT: Approve a contract service agreement with Pruitt Consulting, Inc. for building plan review services not to exceed $65,000. Action Requested: City Council approval of a professional services contract agreement Pruitt Consulting, Inc. for building plan review services on commercial, industrial, educational, institutional and residential not to exceed $65,000. Background Information: The City Manager has the authority to contract for expenditures up to $50,000. It is anticipated with the large volume of building permit applications/plans to be received by the City through fiscal year 2015 that $50,000 in expenditures will be exceeded. Any expenditure over $50,000 must be approved in advance by City Council. Due to the significant increase during the past few years in building related plan review and permit activity and the complexity of some of these reviews due to the nature of the project (hotel/assistant living/multi-story office/recreation center), the City of Southlake executed a professional services agreement with Pruitt Consulting Inc. to provide additional building, energy, MEP, and similar building related code plan review expertise and inspections. Pruitt Consulting, Inc. is headquartered in Fort Worth, and is a nationally recognized, innovative code consulting firm specializing in building, life safety, energy and accessibility codes and standards. The company has over 30 years of experience in the application of codes and standards. Contracting with Pruitt Consulting, Inc. has allowed the City to review larger industrial, commercial and office related permits and plans more efficiently and effectively. Pruitt Consulting has the necessary credentials and experience to ensure successful and code compliant design. In fiscal year (FY) 2015 through 3 quarters (October 1, 2014 through June 30th 2015), the City has issued 204 new residential permits and 23 new commercial permits. Permit revenue through 3 quarters of the FY15 is $1,720,322 and the total number of all building related permits issued through 3 quarters in FY 2015 is 2,149. As indicated by the graphs and table below, permit activity remains high. No. Date Approved Q 7 / ac) AGREEMENT FOR CONSULTING SERVICES THIS.AGREEMENT is made this 17 day otA4tos , 2014 by and between the City of Southlake, Texas (hereinafter referreCITY"), and Pruitt Consulting, Inc. (hereinafter referred to as "FIRM"). WHEREAS, CITY contemplates the need to provide additional plan review services on commercial, industrial, educational, institutional and residential projects for CITY for building code related requirements. WHEREAS, CITY may request FIRM to review proposed amendments and updates to the City's building related codes; WHEREAS, CITY may request FIRM to conduct accessibility review for projects valued less than $50,000 at an additional fee; WHEREAS, FIRM is qualified, able, and desirous of performing the necessary consulting work upon which the agreement is based and is willing and able to work with CITY staff to organize and coordinate the professional services necessary to fulfill the requirements of the agreement. NOW, THEREFORE, CITY engages FIRM to perform, and FIRM agrees to perform, the consulting work for the services, as more fully described herein below, and CITY agrees to pay as compensation, and FIRM agrees to accept as compensation, the payments on the dates and in the amounts herein specified, all in accordance with the terms more fully set out below and as provided in Attachment A which is attached hereto and incorporated by reference as if fully set forth herein. I. ARTICLE CONSULTING SERVICES A. Scope of Work FIRM will provide building, energy, MEP and similar building related code plan review, inspections, and code consulting in regards to proposed amendments to the building related codes and as otherwise requested by CITY. CITY shall remain the final authority on all code interpretations and determinations of issuance of building permit But FIRM will provide comments on plan review for consideration by CITY in issuing of permit. B. Fee Arrangement Page 1 Plan reviews and re -reviews, along with code consulting, will be performed at the hourly rates below. Principal Time: $175.00 per hour Plan Review Time: $150.00 per hour Structural Review: Cost plus 10% Administrative: $65.00 per hour Firm may increase fees by up to 2% on a yearly basis with thirty (30) days written notice. Mileage at rates set by the Internal Revenue Service. Travel time: At hourly rates above The FIRM shall perform the services outlined in this agreement for the stated fee arrangement. C. Dispute Resolution Any claims or disputes made as a result of consulting services between the CITY and Firm shall be submitted to non-binding mediation. CITY and FIRM agree to include a similar mediation agreement with all contractors, subcontractors, sub -consultants, suppliers and fabricators, thereby providing for mediation as the primary method for dispute resolution between all parties D. Independent Contractor FIRM shall perform services hereunder as an independent contractor, and not as an officer, agent, servant or employee of the CITY, and FIRM shall have the exclusive right to control services performed hereunder by FIRM, and all persons performing same, and shall be responsible for the negligent acts and omissions of its officers, agents, employees and sub -firms. Nothing herein shall be construed as creating a partnership or joint venture between CITY and FIRM, its officers, agents, employees and sub -firms; and the doctrine of respondeat superior shall have no application as between CITY and FIRM. E. Firm's Representations: FIRM hereby represents, promises and warrants to CITY that Firm is financially solvent and possesses sufficient experience, licenses, authority, personnel and working capital to complete the services required hereunder. FIRM warrants to CITY that it has made full disclosure in writing of any existing conflicts of interest or potential conflicts of interest, including personal financial interests, direct or indirect, in property and business relationships relating to the services being provided hereunder. FIRM further warrants that it will make disclosure in writing of any conflicts of interest which develop subsequent to the signing of this agreement and prior to final payment under the agreement. Page 2 F. Prompt Performance by Firm: All services provided by FIRM hereunder shall be performed in accordance with the degree of care and skill ordinarily exercised under similar circumstances by competent members of such profession in the State of Texas applicable to the services contemplated by this agreement, and FIRM shall be responsible for all services provided hereunder whether such services are provided directly by FIRM or by any consultants hired by FIRM. FIRM shall perform all duties and services and make all decisions called for hereunder promptly and without unreasonable delay and will give this project such priority in its office as is necessary to cause FIRM's services hereunder to be timely and properly performed. G. Reviews Initial plan reviews will be performed within 10 business days of receipt of complete documents and all required information to perform reviews_ All reviews will be prepared in a format suitable to the FIRM and the CITY. The FIRM will be responsible for coordinating all phases of plan review and delivering the completed pian review to CITY via email. Plan Review reports shall be permitted to be delivered directly to the applicant or the applicable design professional. The FIRM will be permitted to contact permit applicants and design professionals directly to resolve any issues or for clarification of submittal documents. Plan Review reports shall be delivered directly to the City building official, however, the FIRM may copy the building permit applicant/design professional of the results of the reviews performed, An emphasis on free flow of information must be maintained to quickly resolve any compliance issues. The first re -review will be performed within 10 business days of receipt of corrected/revised submittal documents. Additional reviews as required will be performed within 5 business days of receipt of revised/required construction documents at the hourly rates noted in section B. H. Submittal Documents Submittal documents will be in a format and quantity necessary to properly perform the plan review and distribute to applicable plans examiners. A minimum of two sets of printed plans and a set of PDF set of plans will be required. Additional sets may be necessary for structural, MEP or accessibility review. PDF submittals will be in a format acceptable to the FIRM and the City will generally require PDF files to be saved by corresponding sheet numbers. Energy compliance submittals will be required in a format acceptable to the FIRM and the CITY and will generally require submittals to identify all elements including windows, Page 3 doors, lighting fixtures, water heaters and other required items. Envelope submittals will be required to be by appropriate orientation with each door or window type and quantity being identified and labeled in the report. Projects Valued Less than $50,000 - Accessibility Review For projects that cannot demonstrate the construction plans have been reviewed and approved according to the Texas Architectural Barriers Act, a separate plan review will be provided to confirm compliance with the accessibility provisions contained in the International Building Codes as adopted by the City. J. Indemnification FIRM AGREES TO INDEMNIFY AND HOLD HARMLESS THE CITY, ALL OF ITS OFFICERS, COUNCIL MEMBERS, AND EMPLOYEES FROM AND AGAINST ALL CLAIMS, ACTIONS, SUITS, DEMANDS, PROCEEDINGS, COSTS, DAMAGES AND LIABILITIES, INCLUDING REASONABLE ATTORNEYS' FEES, COURT COSTS AND RELATED EXPENSE, ARISING OUT OF, CONNECTED WITH, OR RESULTING FROM ANY NEGLIGENT ACTS OR OMISSIONS OF FIRM OR ANY EMPLOYEE, SUBCONTRACTOR, OR ANYONE FOR WHOM FIRM IS LEGALLY LIABLE. FIRM AGREES TO PROTECT AND INDEMNIFY THE CITY, ALL OF ITS OFFICERS, COUNCIL MEMBERS, AND EMPLOYEES, FROM ALL CLAIMS, ACTIONS, SUITS, DEMANDS, PROCEEDINGS, COST, DAMAGES AND LIABILITIES INCLUDING REASONABLE ATTORNEY'S FEES, COURT COSTS AND RELATED EXPENSES, ARISING OUT OF ANY INFRINGEMENT OF PATENTS OR COPYRIGHTS ARISING FROM THE CONTRACTOR'S PERFORMANCE UNDER THE VENDORS CONTRACT, K. Certifications Guarantees and Warranties: The FIRM shall not be required to execute any document that would result in its certifying, guaranteeing or warranting the existence of conditions whose existence the Firm cannot ascertain. CITY will: I1. ARTICLE CITY'S RESPONSIBILITIES Provide full information as to CITY's requirements for the Project; 2. Examine all work presented by FIRM and respond within reasonable time and in writing to the material submitted by FIRM; 3. Give prompt written notice to FIRM whenever CITY observes or otherwise becomes aware of any defect in FIRM's work or in Contractor's work; Page 4 6. Designate in writing a person to act as its representative with respect to this Agreement, such person having complete authority to transmit instructions, receive information, and make or interpret the CITY's decisions; 7. Provide all information and criteria as to the CITY's requirements, objectives, and expectations for the Project including all numerical criteria that are to be met and all standards of development, design, or construction; 8. Provide to the FIRM all previous studies, plans, or other documents pertaining to the Project and all new data reasonably necessary in the FIRM's opinion, such as site survey and engineering data, environmental impact assessments or statements, zoning or other land use regulations, etc., upon all of which the FIRM may rely; and 9. Arrange for access to the site and other private or public property as required for the FIRM to provide its services. Ill. ARTICLE TIMES OF BILLING AND PAYMENT Invoices for the FIRM's services shall be submitted upon completion of such services or on a monthly basis. Invoices are due on receipt of invoice, subject to the provision of the Prompt Payment Act, Texas Government Code Chapter 2251. If the invoice is not paid within thirty (30) days of data of invoice, FIRM may, without waiving any claim or right against CITY, and without liability whatsoever to CITY, terminate the performance of the service. FIRM's invoices shall be accompanied by such records or other written proof as CITY deems necessary to verify the billings. Invoices shall be mailed to _City Finance Department's office at 1400 Main Street, Suite 440 Southlake, Texas 76092, or emailed to the specified email address. IV. ARTICLE CITY OBJECTION TO PERSONNEL If at any time after entering into this agreement, CITY has any reasonable objection to any of FIRM's personnel, or any personnel of consultants retained by FIRM and assigned to the project, FIRM shall promptly propose substitutes to whom CITY has no reasonable objection, and FIRM's compensation shall be equitably adjusted to reflect any difference in FIRM's costs occasioned by such substitution. V. ARTICLE PERIOD OF SERVICE This Agreement shall be effective upon execution by CITY and FIRM, and shall remain in force until work is completed on services or until terminated under the provisions hereinafter provided in Article VIE. Page 5 VI. ARTICLE EXPENSES Expenses including printing are billed at cost. Mileage is billed at time of travel IRS mileage rates. VII. ARTICLE TERMINATION OF SERVICES This agreement may be terminated by CITY or FIRM at any time by providing thirty (30) days written notice to the other party. Upon receipt of such notice, FIRM shall immediately discontinue all services and work in connection with the performance of this agreement. In the event of termination, CITY shall pay FIRM for all services rendered to the date of termination, and all reimbursable expenses. VIII.ARTICLE OWNERSHIP OF DOCUMENTS All documents produced by FIRM under this agreement will become the property of CITY but may be used by FIRM for any other purposes subject to any applicable laws restricting such use. IX. ARTICLE INSURANCE FIRM shall maintain throughout the period of this agreement and for a period of three years thereafter, a standard form of errors and omissions insurance with FIRM's current insurance company in amounts satisfactory to CITY. FIRM shall also maintain insurance coverage for commercial general liability and automobile liability in forms and amounts satisfactory to CITY. FIRM shall assure that any and all consultants engaged or employed by FIRM carry and maintain similar insurance with reasonably prudent limits and coverage in light of the services to be rendered by such consultants. FIRM shall submit to CITY proof of such insurance in amounts satisfactory to CITY. The maintenance in full current force and effect of such form and amount of insurance, in such amount as CITY shall have accepted, shall be a condition precedent to FIRM's exercise or enforcement of any rights under this agreement. Insurance policies required for FIRM shall include a provision requiring written notice to CITY at least thirty (30) days prior to any cancellation, non -renewal or material modification of the policies. CITY shall be named as an additional insured on all insurance policies, except workers compensation and professional liability, required herein. X. ARTICLE LEGAL CONSTRUCTION In case any one or more of the provisions contained in the agreement shall be for any reason held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof and this agreement shall be construed as if such invalid, illegal or unenforceable provision had never been included. To the extent the terms and conditions in the Attachment to this agreement conflict with this agreement, this agreement controls. XII. ARTICLE SIGNATURE For the purposes of the agreement a facsimile or electronic signature shall be considered the same as an original signature. XIII. ARTICLE GOVERNING LAW AND VENUE The validity of this agreement and of any of its terms or provisions, as well as the rights and duties hereunder, shall be governed by and construed in accordance with Texas law. Throughout this section are charts and graphs illustrating trends in the number of permits processed. DEVELOPMENT HIGHLIGHTS Overview of the Development Process in Southlake The City of Southlake development process consists of several steps, many of which take place before construction begins. The Planning and Development Services Department handles all of the development applications within the City. Applications vary and include items from processing sign permits and zoning changes to site plans and plat revisions. Often with development projects, City staff will recommend that an applicant participate in a Town Hall Forum; these are coordinated through a program called SPIN. SPIN, which stands for Southlake Program for the Involvement of Neighborhoods, allows for the citizens of Southlake to interact with developers and ask questions about a project before the applicant presents to the Planning and Zoning Commission, and ultimately City Council. This method of citizen engagement gets residents directly involved with the development process. SPIN Town Hall Forums are optional meetings that are scheduled by developers. The next step after a SPIN meeting, depending on the type of planning application, would be a Planning and Zoning Commission meeting, and then City Council for a final decision upon the particular case. Depending on the type of application, an item may require more than one City Council hearing. After an approval from City Council, an item is legally permitted to move to construction, and operate within the parameters of City Council approval. At that point, attaining the building permits and related documentation is required. The numbers to the left, 217 and 191, represent the following planning applications; Master Sign Plan, Concept Plan, Zoning Change, Zoning Board of Adjustment applications, and Sign Variances. *Google Analytics defines a pageview "as a view of a page on your site that is being tracked by the Analytics tracking code. If a user clicks reload after reaching the page, this is counted as an additional pageview. If a user navigates to a different page and then returns to the original page, a second pageview is recorded as well." The expansion of commercial growth in terms of square footage slowed, likely as a result of the nationwide economic climate during the Great Recession. However, in 2012, the City began to see an increase in growth. FY 2014 represents the largest amount of commercial square footage permitted in the five- year trend analysis illustrated above. The percentage increase in commercial square feet permitted between FY 2013 and FY 2014 was 249%. The percentage increase in residential square feet permitted in Southlake between FY 2013 and FY 2014 was 9%. The table below combines residential and commercial square feet permitted over the last five years to highlight the total square footage permitted within the City. One of these is the regulation of signage within the City. The three types of sign permits in the City are attached, monument, and temporary sign.
