Dove Road in an amount not to exceed $95,000. Action Requested: Approve Supplement Agreement No. 1 with Baird, Hampton & Brown, Inc. (BHB) to provide engineering design services to construct a 12 -inch water line along S. Pearson Lane and Union Church Road and a 12 -inch water line on E. Dove Road in an amount not to exceed $95,000. Background Information: The purpose of this project is to upgrade the existing 6 -inch diameter water line to a 12 -inch diameter water line to improve system flow and for water supply enhancement. The project limits are as follow: S. Pearson Lane — south of Chesapeake Lane to Union Church Rd; Union Church Road — S. Pearson Lane to Siena Drive; and E. Dove Road — east of Estes Park Drive to west of N. Carroll Avenue. The design for the project began in 2015 with an original contract amount of $124,325. The project was stalled due to funding for easement acquisition. Plans are 95% complete and once the easement tracts are acquired, the project will be finalized and prepared for bidding and construction. Under Supplement Agreement No. 1 with BHB, the scope of services include design services for easement acquisition for water line access and construction administration services in an amount not to exceed $95,000. The project scope will allow for the purchase of required easements to complete the final design phase. In addition, BHB will complete final design plans, bidding, and construction phase services. Improvements to S. Pearson Lane, Union Church Road and E. Dove Road were identified as part of the City's Water System Master Plan. Page 1 of 2 Item 4E Financial Considerations: Funding for this agreement is budgeted as part of the approved Capital Improvement Program. This agreement is within the project budget. WITNESSETH THAT: WHEREAS, the City and the Engineer entered into a contract on August 18, 2015, to acquire professional engineering services for the need to construct a 12 -inch water line along South Pearson Lane and Union Church Road and a 12 -inch water line on East Dove Road at Victoria Lane; and WHEREAS the City desires to change the scope of the project to allow for payment of future "Additional Services" as defined in Section 2 of the Agreement; NOW THEREFORE, it is hereby agreed between the parties hereto that the contract of 12 -inch water line South Pearson Lane and Union Church Road and 12 -inch water East Dove Road, be modified as follows: SCOPE OF CHANGE The scope of the project is to provide services for easement acquisition for water line access. This will allow the project to move through the final design phase and to the construction phase. The scope will also include construction administration services through the construction phase. Further information and details can be found in Attachment A. COMPENSATION The total amount of additional compensation under this contract is $94,965, as shown in Attachment B. The original contract was approved on August 18, 2015 for the amount of $124,325. TIME OF COMPLETION Engineering services to be rendered hereunder shall be complete at such time for a duration of 60 weeks. ORIGINAL CONTRACT All requirements of the aforesaid contract of 12 -inch water line South Pearson Lane and Union Church Road and 12 -inch water East Dove Road, and this Supplement Agreement No. 1, shall remain in full force and effect. President ATTACHMENT A BASIC ENGINEERING SERVICES for WATER DISTRIBUTION SYSTEM IMPROVEMENTS S. Pearson Lane & Union Church Road and E. Dove Road at Victoria Lane City of Southlake The City of Southlake has identified two locations requiring improvements to the public water distribution system. These improvements consist of (1) completing of the water distribution system loop at S. Pearson Lane and Union Church Road, which includes a 2,550 LF segment, a 550 LF segment and a 375 LF segment of 12 -inch water line; and (2) replacing 1,100 LF of an undersized (6 -inch) water line with a new larger diameter (12 -inch) line on East Dove Road at Victoria Lane; refer to the enclosed Exhibit E. All these water line segments are needed to complete and/or upgrade the city's water distribution system, and provide increase flow volumes and improved water pressures. The proposed improvements will include fire hydrants, valves, and other appurtenances to provide a complete and functional system meeting today's standards. Engineering and construction documents preparation for these improvements were completed in 2016, and the project has been on -hold while the required easements are being secured. The final construction plans identified a total of ten easements to accommodate the proposed improvements. Of these, four appear to be owned by the same persons, and one is owned by the City of Southlake. As requested, we propose to assist with easement acquisition, completing the construction plans, bidding, and providing limited construction administration services for the water system improvements. For the actual solicitation of the easements, we propose to work with Stateside Right of Way Services, a local firm that specializes in easement and right-of-way acquisition. The scope of work for BASIC Engineering Services involves finalizing the Project Plans, Specifications, Contract Documents and Estimates for the above-described water line improvements. GENERAL A. The ENGINEER shall be responsible for dispersing all plans and specifications from its office to prospective bidders, and maintaining a Bidders List. C. Assist the CITY in the opening and tabulation of the construction bids for the PROJECT and recommend to the CITY the proper action on all proposals received. D. Assist in the preparation of formal Contract Documents and in coordinating their execution by the respective parties. E. Conduct, in company with the Contractor and the CITY, a final inspection of the PROJECT for conformance with the design concept of the PROJECT and compliance with the Contract Documents; and approve in writing final payment to the Contractors. F. Prepare Record Drawings, with the assistance of the CITY's Resident PROJECT Representative, to reflect available information as to how the work was constructed. The CITY's Resident PROJECT Representative will provide the ENGINEER a red -lined set of drawings depicting changes during construction. The ENGINEER shall revise original design drawings, noting changes during construction, and submit one (1) printed sets of Record Drawings and one set of electronic files in pdf format, to the CITY. Dove Road at Victoria Lane City of Southlake The scope of work for SPECIAL Engineering Services involves providing assistance with easement acquisition, and limited construction support services. The scope of work for these Special Services is more generally described as follows: I. EASEMENT ACQUISITION — through sub -consultant Stateside Right -of -Way Services A. Stateside will complete negotiations for fee and easement acquisitions through Final Offer Letter and Closings. Stateside will set up and maintain paper files as well as electronic files on each property (may be referred to as parcel). Files will include copies of correspondence, completed notices and forms, title, appraisal report (if requested), copies of informational documents such as County Appraisal District print out, Secretary of State print out, and title research backup. B. Initial Offer Packet: Upon written approval by BHB the Stateside Right of Way Agent (Agent) will notify the property owners in writing of the City of Southlake's interest in acquiring their property and the approved offer amount for that interest. This packet will be hand delivered or sent by certified mail, return receipt requested to the owner's current address. All individuals who may be affected by this project will be given an opportunity to meet and discuss the procedures to which they may be interested or by which they may be affected. C. In negotiating with the owners of the subject land, it is assumed that the owner will in turn negotiate with any lessees or others who may own any interest in the land or improvements, and settle any lease or lease hold interests prior to closing. D. Counteroffer: During negotiations, if a property owner provides appraisal information or a counteroffer, either written or verbal, which the landowner believes is relevant to the acquisition, the Agent may forward the information to the appraisal firm for analysis. The Agent will discuss with BHB a recommendation for review. The Agent will provide an appropriate response to the property owner based upon the City of Southlake and BHB's decision. E. Final Offer Letter: If negotiations reach an impasse, the Agent will prepare a Final Offer Letter restating the terms of the offer and submit to the City of Southlake and BHB for approval. Upon written approval by the City of Southlake and BHB, the Agent will send the Final Offer Letter to the property owner via certified mail, return receipt requested. LIMITED CONSTRUCTION ADMINISTRATION A. Represent the CITY in the non-resident administration of the PROJECT, as requested. In this capacity, the ENGINEER shall have the authority to exercise whatever rights the CITY may have to disapprove work and materials that fail to conform to the Contract Documents when such failures are brought to the ENGINEER's attention. This function of ENGINEER shall not be construed as supervision of the PROJECT and does not include on-site activities other than occasional site visits to observe overall PROJECT conditions or when specifically requested by CITY to visit on site for a particular matter. It particularly does not involve periodic, exhaustive or continuous on-site inspection to check the quality or quantity of the work or material; nor does it place any responsibility on the ENGINEER for the techniques and sequences of construction or the safety precaution incident thereto, and ENGINEER will not be responsible or liable in any degree for the Contractor's failure to perform the construction work in accordance with the Contract Documents. B. Consult and advise the CITY; issue such instructions to the Contractor as in the judgment of the ENGINEER are necessary; and prepare routine change orders, if required. C. Review samples, catalog data, schedules, shop drawings, laboratory, shop and mill tests of material and equipment and other data which the Contractor is required to submit, only for conformance with the design concept of the PROJECT and compliance with the information given by the Contract Documents; and assemble written guarantees which are required by the Contract Documents. Provide any existing data the CITY has on file concerning the PROJECT, if available. II. Provide any available Record Drawings for existing streets and drainage facilities, if available. III. Provide any available Record Drawings for existing water and sanitary sewer mains, if available. IV. Assist the ENGINEER, as necessary, in obtaining any required data and information from local franchise utility companies. V. Provide standard details in digital format. VI. Assist the ENGINEER by coordinating with the franchise utility companies and addressing potential conflicts prior to construction. VII. Assist the ENGINEER by requiring appropriate utility companies to expose underground utilities within the Right -Of -Way, if/when required. VIII. Give prompt written notice to ENGINEER whenever CITY observes or otherwise becomes aware of any development that affects the scope or timing of the ENGINEER's services. Dove Road at Victoria Lane City of Southlake I. COMPENSATION For and in consideration of the services to be rendered by the ENGINEER, the CITY shall pay, and the ENGINEER shall receive, the compensation hereinafter set forth for the Design and Construction Phases of the work and additionally for Special Engineering Services and/or Additional Engineering Services. All remittances by CITY of such compensation shall either be mailed or delivered to the ENGINEER's office. A. Compensation for the Basic Engineering Services (Plans, Specs & Estimates and limited Construction Support Services) shall be a lump sum fee of $26,505.00 The Design phase portion of the Basic Engineering Services shall be computed at approximately 60% of the total Basic Services Charge; and the Construction phase portion of the Basic Engineering Services shall be computed at approximately 40% of the total Basic Engineering Services Charge. Payment for the Design phase portion of the Basic Engineering Services shall be due in monthly installments in the proportion to that part of the services in the Design phase which have been accomplished. Final payment for services authorized in the Design phase shall be due at the completion of these services. Payment for any requested Assistance, Construction Support Services of the Special Services, shall be due in monthly installments and per the contract hourly billing rates schedule. B.
